Subject: Retainership as Pre-Sales Associate (Trainee)

Further to our discussions, we are pleased to avail your services as a

Pre-Sales Associate on Retainership basis at Radiant Offshore
Consultancy LLP (Company) and its Brand / Associate / Subsidiary
Companies. This arrangement is initially for a minimum tenure of 12
months, commencing from 27th of February 2019 and will end on 26th
February 2020. This arrangement shall be renewed for a further period
on such terms and conditions as may be mutually agreed upon and will
be communicated to you in writing.

1. As Company is in the business of market research and consulting

services, it needs from time to time to retain services of Associates for
Marketing, Business Development, Contact List preparation, Lead
Generation and other business development related activities.
Company desires to engage you for the provision of services in the
areas of Market Research, Market Reports, Custom Research, and
Market Intelligence.

2. That you shall act as an Associate and have an independent status

and not be an employee for any purposes. The Associate shall retain
sole and absolute discretion in the manner and means of carrying out
their activities and responsibilities for the Company. You shall use
reasonable diligence to promptly perform the services prescribed
herein. It is being warranted by Associate that you have no
commitments or obligations that will conflict with or otherwise interfere
with or impede the performance of your services to the Company.

3. That Monthly Professional fee is fixed amount of INR 10,000. Please

note: income tax and other related statutory compliances are your
responsibility and the company will not be liable for the same. In
providing services, you shall not be acting as an employee or agent of
the Company. It shall have in no authority, express or implied, to
obligate Company in any manner whatsoever.

4. That you are expected to maintain strict secrecy regarding the

business affairs of the firm and shall not divulge the same to any
outside party. As an associate you further agree to take all reasonable
precautions to prevent any unauthorized disclosures of any
Confidential Information. In the event that the Associate or its Agents
become legally compelled to disclose any of the Confidential
Information, then the same shall be promptly notified to the Company
using best means and provide reasonable co-operation to company in
its efforts to lawfully avoid or limit disclosure and preserve the
confidentiality of the Confidential Information in such circumstances.
You understand that any breach of this provision, or that of any
Confidentiality and Non-Disclosure Agreement, is a material breach of
the Company’s policies.

5. In case of any failure on your part to comply with the stipulations as

enumerated under clauses 2 and 4 apart from making you liable for
legal action, will make you liable to forfeit all the remaining dues
payable by the firm to you.

6. Neither party shall be liable to the other party for special, indirect,
consequential, or incidental losses or damages of any kind or nature
whatsoever, including but not limited to lost profits, lost records or
data, lost savings, loss of use of facility or equipment, loss by reason of
facility shut-down or non-operations of increased expense of
operations, or other costs, charges, penalties, or liquidated damages,
regardless of whether arising from breach of contract, warranty, tort,
strict liability or otherwise, even if advised of the possibility of such loss
or damage or if such loss could have been reasonably foreseen.

7. Any controversies between the parties involving the construction or

application of any of the terms, provisions, or conditions of this
arrangement, shall on written request of either parties served on the
other, be submitted first to mediation and then if still unresolved to
binding arbitration. Said Mediation or Arbitration shall comply with
and be governed by the provisions of the arrangement unless the
Parties stipulate otherwise. The arbitration proceedings shall be held at
Raipur.

8. That you shall retain all rights to pre-existing ideas, processes,

procedures, and materials used by you in developing or providing
products and/or services to Company.

9. The terms and conditions mentioned hereunder shall be governed by

the Central laws as well as laws applicable in the State of Chhattisgarh.

10. This arrangement may be terminated by either party by providing

one-month notice. You are to attend to your set responsibilities during
the ‘notice period’ of one month.

11. Your appointment is purely on Retainership basis and you shall not
claim any employer-employee relationship.
As a token of acceptance of the above terms and conditions, you are
requested to sign the duplicate copy of this letter and return to us.
