Dip Spin applied coatings: Internally driven fasteners (recess drive), fasteners with internal cavities such as nuts, parts with extruded, closed‐end holes, parts with through‐holes, fasteners
with fine pitch threads and other similar features trap excess material in the cavities, which the spinning process does not completely remove. If the dip spin process is used to apply coatings
to fasteners with these design features, a percentage of the fasteners may have recess fill, clogged holes, bubbled coating, and/or thread bridging. As a result, fasteners with these finishes
and designs may experience issues with form, fit, and function. Baseline testing can be performed to determine percentage of recess fill

GENERAL TERMS AND CONDITIONS

This Quotation, Customer’s signed Purchase Order, and the provisions hereof constitute the entire agreement between the parties. Any changes, alterations, waivers or modifications with
respect either to the job performed or the terms of sale, or any other matter set forth in the aforementioned documents must be set forth in writing, signed by a duly authorized
representative of RIE Coatings (RIE) and the Customer. These terms and conditions shall apply to any agreement not referenced herein, but applicable to the processing of any materials or
merchandise.

RIE Coating’s standard payment terms are Net 30. Any deviation from this must be negotiated and agreed upon by RIE in writing.

Customer shall complete a Purchase Order for each and every work order or sale placed with RIE and is responsible for ensuring the accuracy and completeness of each Purchase
Order submitted. Any part requiring separate identification due to color, process or quantity for processing shall be listed as an individual line item.

Customer requested partial outbound shipments of the same product requiring separate documentation and handling will be considered an individual item. UNLESS
INSTRUCTED OTHERWISE, RIE WILL NOT COMBINE DIFFERENT PRODUCTS TO AVOID MINIMUM LINE CHARGES.

Dissimilar product supplied by customer in mixed condition will be quantity verified by weight only. Individual item quantities will not be piece counted or acknowledged as
shortages. Customers supplying mixed product that cannot be processed together will be charged $50 per hour handling fee for RIE sorting or returned to the customer at customer
expense.

Customer is responsible for ensuring that all parts provided to RIE have surface conditions conducive to the surface finishing represented on this Quote.

Expedited orders, when accepted by RIE, will incur a minimum additional charge or "Expedite Fee" per individual item. RIE will establish expedite fees on a case by case basis.
Customer agrees that an Expedite Fee will be a condition of RIE accepting expedited order(s).

Unless specifically requested in writing on customer purchase order, RIE is not responsible for maintaining lot integrity.

Compliance certificates will incur a fee per certificate based on current pricing levels. If no certification specifications are provided, RIE’s default testing plan consists of a visual
inspection on a sample of the processed parts. Customer hereby agrees that failure to provide specific testing and certification requirements constitute an agreement that no testing in
addition to the default plan described herein is necessary.

Post order entry Customer requested return shipping changes causing reconfiguration of out‐bound documentation and packaging will require prior Customer Service approval and
incur a minimum $50.00 handling charge. RIE will not accept inbound FREIGHT COLLECT shipments without prior approval. Processing will not begin until errant freight collect inbound
shipments have been corrected. Outbound FREIGHT PAID and ADD shipping charges incurred by RIE will be invoiced at cost plus 10 percent due net 10 days. Unless specifically requested
on each Customer Purchase Order, RIE will NOT authorize return shipping insurance NOR accept responsibility for loss or damage by Customer’s chosen carrier. All Freight is FOB
customer and RIE WILL NOT BE RESPONSIBLE FOR DAMAGES DUE TO SHIPPING.

LIMITED WARRANTY RIE warrants that processing and finishing shall meet customer’s specifications supplied in writing with the order and that such processing and finishing shall be free from
defect in material workmanship. We do not warrant that material furnished by customer is suitable or fit for processing and finishing.

You acknowledge and agree that the actual use by others of parts processed by RIE is beyond our control and we do not warrant our processing or finishing for any use by you or by third
parties. THIS WARRANTY IS EXPRESSELY MADE IN LIEU OF ANY AND ALL OTHER WARRANTIES EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR
A PARTICULAR PURPOSE.

Our liability for any loss or damage of any nature, including without limit, direct, indirect and consequential damage, is limited to the customer’s cost of the material or merchandise or our
processing and finishing price for such material, whichever amount is the lesser. Claims against invoiced services MUST be reported within 60 days or all charges will be considered valid and
payable.

Any material found upon inspection by us to be defective in workmanship or material will be refinished by us without charge upon delivery to us FOB our plant, provided that such materials
are returned in the same condition as when originally shipped by us.

All customers’ merchandise in our possession shall be subject to a general lien for all monies owing by the customer to us, whether or not due or payable, and whether or not such monies are
owing to us for work, labor or services rendered, or materials or equipment used in connection with such merchandise.

All items are to be FOB RIE’s dock. Price is valid for the lot of parts processed and is subject to change thereafter. It is the customer’s responsibility to review this quote for accuracy. This
quote is valid for the processes listed and based upon documentation provided. Customer is responsible for ensuring that parts have a surface condition deemed acceptable for metal
finishing. Customers requiring special treatment for delicate or close tolerance parts must give written instructions on the Purchase Order.
Quotations are open for acceptance 3 months from issuance. After 3 months, price and terms are subject to change without notice. RIE reserves the right to update prices prior to 3
months if supply costs increase excessively. The specific processes, parts, and quantities listed in this quote are based solely upon information provided to RIE by the customer. Customer
must notify RIE if this quote is not complete and accurate. Customer is responsible for ensuring that all parts it provides to RIE have surface conditions conducive to the metal finishing
represented on this quote.

RIE Coatings has no control over any electroplating process performed prior to sending to RIE and therefore, will not be responsible for any coating failure caused by the electroplating
process. This includes, but is not limited to, adhesion of any coating to the zinc/chromate caused by wax, poor chromate, or any other type of contamination. RIE Coatings will not be
responsible for rework or parts costs associated with failures caused by zinc electroplating.

Customer is responsible for providing RIE with written notification that parts require special treatment because they are delicate or close tolerance. A revised or new quote may be required for
special packaging or handling. If certification is requested, a $25 minimum charge per Purchase Order will be added to the Invoice.

RIE reserves the right to rework parts that do not meet customer requirements. Liability for rework is limited to the cost of rework up to the original cost of the materials applied and work
performed. Customer is responsible for all freight charges, unless otherwise agreed to by RIE.
