SECTION I. General Information

Pursuant to the provisions of the NHL Enterprises, LP ("NHLE") Retail License Agreement, Licensees are required to submit a royalty report and related payments on the twentieth (20th) day following each month or on the
forty-fifth (45th) day following the quarter (whichever is applicable) during the term of the license (and the sell-off period if applicable), unless otherwise specified.
Licensees must use the worksheets "1. Royalty Reporting Template" and "2. Statement of Certification" to report sales and related royalty information for the contract number identified at the top of the page.
The Royalty Reporting Template and Statement of Certification must be submitted for each reporting period (month/quarter, whichever is applicable) and will include a series of information for each licensed product sold in
that period which identifies the (A) Product, (B) Attribute Code, (C) Description, (D) Assets, (E) Player Designation, (F) SKU Number, (G) Territory, (H) Customer, (I) Units, (J) Price, (K) Gross Sales, (L) Net Sales, (M) Royalty, (N)
Sales Date, and (O) Contract Number.
The following worksheets are included in this EXCEL workbook and contain information/data specific to the contract number identified at the top of the page.

Customer Name: Identifies major "customers or retailers" and Other for each channel category and group (if applicable).
9. Sample Template: Sample of a completed Royalty Reporting Template that is ready for submission.
10. Sample Certification: Sample of a completed Statement of Certification that is ready for submission.
11. Check Remittance Form: Form to be used by Licensee remitting payments by check.
12. Wire Remittance Form: Form to be used by Licensee remitting payments by wire transfer or ACH.

SECTION II. Instructions for Completing the Royalty Reporting Template:

Save this Contract's blank Royalty Reporting Template and Statement of Certification, found in "1. Royalty Reporting Template" and "2. Statement of Certification", on your computer/network. Use this to prepare the
Royalty Report each month/quarter (as applicable).
For each reporting period, prepare a "Royalty Reporting Template" for those products that had sales in the period by entering the required information.
Populate the Royalty Reporting Template information "sequence" for each Product that had sales in the period being reported.
Information series Columns to be Completed:
A. Product: Products licensed per the Retail Licensing Agreement. Locate the product title in column A of the "4. Product" sheet that corresponds to the product sold.
B. Attribute Code: If applicable, identify the appropriate attribute code in column B of the sheet "4. Product" that accurately reflects the Licensed Product sold.
Enter a description of the item sold in this column. Include identifying descriptors such as the type of product sold (i.e. fabric, material, color, gender, etc.) and property (i.e.
C. Description:
NHL Team name, NHL Shield, Stanley Cup, Winter Classic, etc.).
"NHL Marks" authorized to be included on Products per the Retail Licensing Agreement, such as NHL Team logos, All-Star logo, Stanley Cup logo, etc. If the product contains
D. Assets: more than one team, enter Multi-Team as the Asset. If the product includes a team and an NHL event, enter both Assets in this column separated with the pipe delimiter

NA Licensed Product is not authorized to incorporate the names and/or likenesses of NHL Players or NHL Alumni.
Licensee is authorized to sell products with the name and/or likeness of current NHL Players and the Product sold incorporates the name
NHLPA and/or likeness of current NHL Player(s).
Non-Player Licensee is authorized to sell products with the name and/or likeness of current or former NHL Players and the Product sold does not
incorporate the name and/or likeness of current or former NHL Player(s).
Licensee is authorized to sell products with the name and/or likeness of former NHL Players and the Product sold incorporates the name
Alumni
and/or likeness of former NHL Player(s).
Licensee is authorized to sell products with the name and/or likeness of current and former NHL Players and the Product sold incorporates
NHLPA and Alumni
the name and/or likeness of current and former NHL Player(s).
Some examples are as follows:

1. If Licensee has the right to produce notebooks with or without current player images, the sales for each would be reported separately. The notebooks with player images
should be designated as "NHLPA" in the "Player Designation" Column and the notebooks with no player images (i.e., Team Logos) should be designated as "Non-Player" in the
"Player Designation" Column.
2. If a licensee is authorized to sell Christmas ornaments featuring NHL Alumni players' names and likenesses, ornaments sold featuring the Alumni should be designated
"Alumni" in the Player Designation" Column and ornaments that do not feature the name and likeness of an Alumni player should be designated "Non-Player" in the "Player
Designation" Column.
F. SKU Number: SKU Number for each Product. This is intended to be the Licensee's SKU number.
Territory(s) Licensee is authorized to sell in per the Retail Licensing Agreement. For the Product sold, enter (copy) the appropriate Territory Description from column A of the

H. Customer:
There can only be one customer per line. For the same Product sold to multiple customers, create multiple entries broken out by customers.
I. Units: Enter the number of Units of the Product that was sold, less any returns. If returns are more than units sold, enter a negative number.
J. Price: Enter net sales price per unit for the Product that was sold.
K. Gross Sales: Enter Gross Sales of the Product that was sold, before discounts. If there were no discounts for the Product sold, Gross Sales will equal Net Sales.
L. Net Sales: Enter the Net Sales of the Product that was sold. Net sales is the Gross Sales less normal and reasonable cash and quantity discounts and returns for credit.
M. Royalty: Calculate and enter the royalty for the Product that was sold, based on the appropriate royalty rate specified in the Retail Licensing Agreement.
Enter the date of sale for Product in this associated row. The date of sale must fall between the Period Start Date and Period End Date entered on the Statement of
N. Sales Date: Certification (See Section III. Instructions for Completing the Statement of Certification, below, for more details.) If the actual date of the sale is not known, enter the last date
of the reporting period.
O. Contract Number: NHLE Contract Number assigned on Retail Licensing Agreement.
