CONFIDENTIALTTY A,FID NON-DISCLOS'URE AGREEMENT

This Confide*tiality antl Non-disclosure Agreement ithe "fureement") is enterEd into

benveen the prties named?n the schedule hereof.

U&{EREAS the parfies may drsclose Confidential Infonnation (as defined below) to each
other ftr the Pennrfied Purpose as defined rn the sclredule hereof. The parties therefore enter
into tlus Agreement for the due protectron of such Confidertial Informatron.

THE PARTIES HEREBY AGREE AS FOLLO\{S:

l. Defi nitisn of Con{ideotial lnforn*tion

ll 'Confidential lnformation" means any and all confidential busrness, technrcal,

financial and propnetary urformahon drsclosed by a party (the "'Discloser') to the
receiving party (the *Recipienf), that relates to the Permitted Purpose, or that,
aithough aot related to the Psmined Purpse, is nevertheiess disclosed as a rezult of the
parties' drscussions in thx regard, and that should reasonabtry have been understood by
the Recipreut to be proprietary and confidential to the Discloser or to a thrd party,
because of the cucumstances of disclosure or the nature of the informatron rtself.

1.2 Confidential Informafion rncludes Bade ssrets, fiaancral iaformaton, pricing,

productron procedures, data, designs, know-how,. arart<eting and sales daa, product
mfonnation, recrpes and fonnulae. C.onfidenhal Iafosnatron rncludes tangrble and
rntangible rnformation (whether m vrfitten, oral or electronic forrn) that, grven the
nat$re of the rnformation sl ss"sllglstances surroundrag its d.isclosure,.;vould reasonably
be considered Confidentrat Infunnation regardless of whether rt rs identffied as berng
Confidental Iuformaton at the hme of disclosure.

I.3 Confideutial Infonnation shall not rnclude inforuration that: (a) is rn the public
domain prior to disclosure by the Discloser; (bi becomes part of the public domain, by
publication or otheruruse, through no unauthonzed act or omission on the part of the
Reupient; (c) rs rigbtrully and lawfully obtarned by Recrpient free of aay obhgation of
confidenhahty before drsclosure; (d) is rndependently developed by Rwipreat wrthoul
relyin g on Dscloser' s C onfi dentral Inform ation.

2.2 Drssemmahon of C&fiaentia Informatron shall be lmited to employees or agerts or

adwsors of the Recerer who need to know sueh rnformation for the performance of the
Permitted Purpose and who have prevrously agree{ erther as a condition to
eroployment or m order to obtarn the Confidentral Infomauon, to be bound by terms
and conditions substanhally srmilar to &e terms and coo&trons hereunder

2.3 Reupient shall protect *re Coafideutial Infonnation from unauthorized use and
unauthorized disclosure by exercising a reasonable degree of care, wlich in no evetrt
shall be less then the same degree cf care rvhich the Recrpient exercises to protect its
own confidential rnformation. Reuprent shall immediately give notice to Discloser of
any utauthorized use or unauthonzed disclosure of Confidential Informatron. Recipient
agr€es'*s assst m rsmedying any unauthonzed use or unauthonzed drsclosure of
Confide*tial Informatioa obtafud by Recipient pursuant to thrs Agreement.

3. Injunctive Relief

Recipieut acknowledges that any tryongful disclosure of Confidetrtial Infonnatioa may

cause immediate and rreparable hum to Drscloser that rs not adequately compensahle
m monetmy damages. In the event of a wrongful disclosrre, Reciprent shatl give notice
to Discloser imme&ately upon discovery of tlre disclosure and shall take all necessary
steps to limrt the extent of sach disclo$re. Discloser may seek rqlunctive rehef in any
court of conpetentSunsdiction for the b,reach or threatened brreach of this Agreement m
addrtiam to any other rernedies ia larr or at equity If any legal actioa is brougl* to
enforce this Agreeme,nt, the Drscloser shall be entrtled to recerve fis attorneys' fsss,
co*rt costs and other expffises> it ad&tion to any other rehef it roay receive. Tlus
provisron does not alter any o&er remedres available to Dscloser

4. Compclled Disclosure

Reciprent may disclose Confidentral Inforrration to the extent requred by law, but
Reopient must grve Discloser prompt written nofice of the requrred disclosure so thm
Discloser may. at its expense, seek a protective order or other relief with respect to such
Confi dential lnformation.

5. Term

This Agreennent shall take effect from the Effechve Date and shall remarn vahd and
effective untress termrnated by the mutual written oons€,nt of both parties.

6. Ownership of Conliden tial I nformation

6.1 All'nghts rn the Confidential Inforrnaton, including but not lim:ted to any intellectual
property rights, of the Discloser shall remarn the ssle and exclusive property of the
Drscloser

6.2 Recipient agrees that aothing contarned herein shall be consfued as grantrng any
proFrty rights, by hcense or o*tenrnse, in any Confidential Inforrnatiou of Dscloser to
tlre Recrpreat.

6.3 Confidential Infonnatron shall not be reproduced in any form except as requrred to
accomplish the Permrfied Purpose of thrs Agreement. Any reproducfion of any
Confidential Informatron of Discloser by Recipient shall remain the properfy of
Discloser and shall cotrtam propnetaryrights uotrc€s asd confidentialrty legends, unless
othenvise authonzed m wnfing by Dscloser

6.4 At the request of Drscloser or upon terminahon of thns Agreement. wluchever oocurs
first, Reclptent'shall retum tc Discloser or destroy all written, tangible or o&swise
accessible material in any form containing or reflecting any Confidential Information
{includrng all copreq $rmmafies, cxcsrpts, exrasts or ot}er reproduehons). At the
request of Drscloser, Recrprent will provrde written ceruficahon of such destruetlon.

6.5 Ttre obligairon to retrrrn or desffioy Confidentral Infonnatron shall not apply to
comput€r records asd files which have been created pursuant to automattc electroruc
architing IT back-up or mtemal disaster recovery procedures, provided &at any
retaraed Corfidential fuformatron shall not be accessible or used for any purpose except
for applicable regulatory, compliance or other legitimate requirements.

1. No Representation

7l Discloser does not make any re,presentahon as to the accuracy or courpleteness of the
Confrdeuual Inforrration disclosed to Recipient.

7_2 No party has any obhgahon to enter mto any trausaction by virtue of srgning thrs
Agreement. This Agreemurt does not create any partnership,3omt venture or any other
such relafionship between the partres hereto.
