As well as being certified to ISO9001, we continuously ensure that our
business operations are held to the highest standard.
Ongoing technical training and development, a dedicated R&D
department and investment in advance assembly and testing
equipment has also allowed us to be recognised as a “manufacturing
plant for Vds approved products according to Vds 2344”.

GENERAL TERMS OF SALES
1) Validity of the general terms of sale All sales of Tecnosicurezza products shall be deemed to have been carried
out in accordance with these general terms of sale and every placing of a Purchase Order to Tecnosicurezza
implies express acceptance of these general terms on the part of the purchaser, even if the text of the general
terms of sale has not been duly signed and returned by the purchaser to Tecnosicurezza. Any departure from
or changes to the general terms of sale shall have legal effect only if expressly accepted in writing by the seller.
2) Orders and offers Orders placed by the purchaser with the seller amount to contractual offers and cannot be
revoked by the purchaser for a period of 30 days from their receipt by the seller. Offers sent by the seller for the
products and the prices indicated therein shall be valid for a period of 30 days from the time of their receipt by
the addressee, provided no other specific term is indicated. The contract of sale shall be deemed concluded
only when the confirmation of the order is sent by the seller, or by the performance of delivery of the products.
3) Subject matter of the sale The sale comprises only the goods and performance of actions specified in the order
as may be confirmed in the order confirmation; each additional performance shall be the subject of a new
contract.
4) Prices The selling prices are those that shall be indicated in Tecnosicurezza's current price list. The aforesaid
prices shall be “ex works” and net of taxes and duties, which may be added to the contractual price.
5) Delivery and transportation The delivery terms are in no case essential for the validity of the contract. The
purchaser accepts that any delay in delivery of the goods with respect to the date approximately indicated may
in no case give rise to claims or to the requirement to pay compensation for damages. In any case delivery is
subject to prompt settlement of sums agreed and already due. The risk of transport of the assets shall be borne
by purchaser.
6) Payments Payments shall be made at the time of delivery of the goods, and only and exclusively to agents
expressly authorised by the seller, unless the contract expressly provides for some other method of payment.
In the event of failure to make payment, even only partially, by the established due dates, the very failure to make
the payment of itself, and hence with no need for any express placing in default, shall mean: a) that the
purchaser shall owe the seller delay interest at the European Central Bank rate as of the most recent financial
transaction on the first natural day of the current year (as indicated in the Official State Bulletin) plus 7
percentage points, from the due date to the date of actual settlement; b) the seller may stop any further supplies
forthwith even if they relate to other contracts; c) the purchaser may be requested to pay immediately any other
pending sums, with the seller thus being entitled to demand immediate payment of the whole debt due for all
supplies carried out and not yet settled for all different contracts of sale concluded with the buyer, d) the seller
shall have the right to demand of the purchaser, in addition to delay interest provided for in the previous

paragraph, all costs incurred for the collection of the receivables, as a consequences of the failure to make
payment.
7) Complaints about the goods The purchaser is bound to check the identity of the products delivered as against
those indicated in the order and to verify that they have the contractually agreed characteristics, while being
under a duty to report any failings and/or defects by fax, annexing a stamped copy of the delivery document for
the goods as signed by the carriers, sending a copy to the seller within 15 days of delivery of the goods in
question, where after such term has elapsed with no report or complaint having being been made, no action can
be brought with regard to the delivery of the goods. In any case the liability of the seller for any fault or defects
or for poor quality of the goods will be limited to the duty to replace those actually affected in relation to what
was contractually agreed, within a reasonable time, with the remedy of compensation for any further damages
expressly excluded.
8) Guarantee The product guarantee is for 24 months from delivery and does not include the assembly or
disassembly of the products considered defective, nor does it extend to damages consequential upon incorrect
or unsuitable use of the products, with the obligation only being to repair or to replace any defective products.
In any case the products considered defective shall be returned to the seller's premises for testing, for repair or
for replacement if necessary. The purchaser is responsible for the cost of shipping the defective item to us. The
seller does not guarantee the products if the tests show they have been modified, altered or repaired by persons
not expressly authorised to do so.
9) Returned goods The seller shall not for any reason accept returns of goods unless the parties have an express
written agreement to this effect. The only returned goods that may be accepted shall be defective goods,
provided that the report of the defect has been made in the terms and manner provided for in article 7 of the
general terms of sale.
10) Competent court and applicable law The parties agree that any disputes of any kind relating to this contract
shall be a matter for Italian law and shall be for the exclusive competence of the Court of Verona, with the
exclusion of any other court of jurisdiction that may be competent to hear the case.
