CONFIDENTIALITY AGREEMENT

With reference to the Invitation to Bid dated {INSERT DATE OF PRE-BID MEETING} of Petron
Corporation – Refining Division (herein called OWNER or PBR) for the {INSERT PROJECT NUMBER
AND NAME}, the undersigned Contractor, {INSERT NAME OF COMPANY}, with address at
{INSERT ADDRESS}, hereby warrants under oath that:

1. CONTRACTOR shall hold in confidence and not divulge to third parties, any technical or
confidential information disclosed, directly or indirectly, to CONTRACTOR by OWNER or by its
Licensors in regards to the Project, including any changes or suggested changes with respect to the
Project or any processes, process data or correlation or any drawings or design showing the
equipment, devices and machinery in which and by which the processing is to be performed or
carried out, which are provided by OWNER or by its Licensors, without OWNER’s prior approval
so long as and to the extent that such information is not in the public domain, or was prior to receipt
from OWNER or its Licensors already in the possession of CONTRACTOR, or is not received by
CONTRACTOR, after receipt from OWNER or its Licensor, from a third party who does not
require CONTRACTOR to hold it in confidence and who did not acquire such information directly
or indirectly, from OWNER or its Licensors. For the purpose of the provision of this paragraph,
disclosure relating to Project which are specified, e.g. as to equipment, product or operating
conditions, shall not be deemed to be in public domain or in the possession or CONTRACTOR
merely because they; or individual features thereof, are embraced by general disclosures in the
public domain or are in the possession of CONTRACTOR, unless the combination itself and its
principle of operation are in the public domain or in the possession of CONTRACTOR.

2. CONTRACTOR agrees that it will not, without the written permission of OWNER, use the
Confidential Information to be held in confidence by CONTRACTOR under Paragraph 1 hereof for
any purpose other than the purpose of this Agreement. Confidential Information received from
OWNER is to be for a specific project and is not be duplicated or used or construct any other
facility other than the project for which the original disclosure was made, without the express
written permission of OWNER. Nothing contained in this Paragraph 2 shall deny CONTRACTOR
the right to use information received from a third party; provided, however that such information
was not obtained by said third party, directly or indirectly, from OWNER under an obligation of
confidence.

3. All documents, drawings and writings of any kind provided to CONTRACTOR by OWNER or on
OWNER’s behalf pursuant to this Agreement and all copies thereof shall be returned promptly to
OWNER as specified in the Bid Documents.

4. The above obligation of Confidentiality and no-use shall terminate ten (10) years after the date of
this Agreement.
