SCHEDULE- B: - SCOPE OF SERVICE

1. INTRODUCTION

Al-Khafji Joint operations (KJO) intends to establish a service contract for the maintenance of all
CCTV systems installed inside KJO facilities as indicated in Attachment 1 to this Schedule.

GENERAL DESCRIPTION OF THE SERVICE

1.1. The Contractor shall provide technical support (technician & helper) for managing all
systems as set out in Attachment 1 to this Schedule and carrying out the necessary
preventive and corrective maintenance, including analysis, trouble shooting, and
knowledge transfer/guidance for local staff to manage all systems and equipment
stipulated in this Scope.
1.2. The Contractor shall conduct monthly inspection and ensure that all equipment, systems
and other components are in good working condition. A comprehensive test shall be
conducted and a detailed report shall be submitted to KJO.
1.3. The Contractor shall respond to any corrective maintenance requirement immediately
upon receiving the maintenance call, within 24 hours of registering the call, and submit a
report detailing the nature of trouble, cause and solution provided with the current status
of the system.
1.4. The Contractor shall be responsible for any installations/uploading of the software updates
in client site (KJO) or any updates online.
1.5. The service contract shall cover all CCTV systems as detailed in Attachment 1 (Onshore
& Offshore areas).
2. SPECIFIC DESCRIPTION OF THE SERVICE
2.1. The Contractor shall be responsible for the maintenance of all CCTV Systems installed in
KJO facilities including additional installation of equipment, shifting and replacement of
equipment, preparation of data base inventory of equipment of all CCTV system and sub-
system to the Company. The CCTV system includes all Cameras, Housing, Monitoring
System, Control units, Recording units, and Immediate Power supply system.
2.2. The Contractor shall assign experienced and qualified technical staff (technician & helper)
during the Service Period. The Company shall order the required number of technician,
helper charges during the course of the Service Period.

2.3. The Contractor or his duly authorized representative and technical staff shall be available
at all times, including weekends and holidays (24x7x365) as and when required by the
Company to ensure expeditious resolution of problems.
2.4. Maintenance service include preventive and corrective maintenance of all listed items.
This will also include periodic cleaning, testing and calibration of relevant equipment or its
components.
2.5. The Contractor shall provide to the Company all the data base inventory of equipment
installed in the Company facilities within a period of six (6) months from the Service
Commencement Date.
2.6. The Contractor shall provide performance report (periodically) during the Service Period.
2.7. The Contractor shall be responsible for the installation/re-installation/programming/re-
programming of CCTV system/ devices and control panel devices required for the
operation of such system. In case the Contractor is required to obtain technical support
from the manufacturer or his /authorized service personnel, the Contractor shall ensure
such services and reinstate the system in normal condition within 7 days from the date of
such request from the Company.
2.8. It is the responsibility of the Contractor to identify all the required software licenses for the
systems mentioned in Attachment 1 and to provide and renew any missing licenses for the
same.
2.9. The required technicians shall have Diploma in Electrical/Electronic or Diploma in
Communication. He must have minimum of three (3) years of experience in the field of
CCTV and security system.
2.10. All assigned personnel shall be less than 40 years of age, healthy and physically fit for the
service under the Contract. All assigned personnel shall possess a valid driving license in
Saudi Arabia.
2.11. Prior for dispatching or assigning the personnel for the performance of this Contract, the
Contractor shall submit complete sets of CVs along with the documentary evidence of
qualification and experience for the personnel to KJO. KJO will conduct a personnel
interview to ensure the technical capability of the personnel.
2.12. The performance of Contractor’s staff will be subject to evaluation by KJO. The Contractor
shall act immediately on KJO recommendations or directions for corrective action to
ensure satisfactory performance.
2.13. The Contractor shall obtain prior approval from KJO for the replacement or termination of
Contractor’s personnel.

2.14. When Contractor’s personnel are found to be unsuitable or incompetent to perform their
duties, the Contractor shall provide replacement at his cost immediately upon the request
of the Company.
2.15. The Contractor shall provide the suitable accommodation & medical insurance for its
personnel.
2.16. The Contractor shall establish a periodic maintenance checklist (monthly, semi-annually,
and annually) and submit detailed report along with the completed checklists on all routine
maintenance and inspection activities conducted. Individual report shall be submitted on
all corrective/emergency repair and maintenance activities.
2.17. The Contractor shall respond to the registered call or trouble ticket immediately within 24
hours of registering the call. The Company shall impose a penalty of USD 100.00 per day
(or part of a day) if the Contractor does not solve the reported problems within 48 Hrs.
2.18. The Contractor shall be fully responsible for performing the maintenance services
conducted by its personnel.
2.19. The Contractor shall coordinate all matters and activities with Company Representative
and shall accept his solutions or decisions to resolve any kind of issues with the system.
2.20. The Contractor shall provide support services to the Company for a period of three (3)
years ( subject to the provision mentioned under Section 3 below -Service Period) twenty
four (24) hours a day and seven (7) days a week.
2.21. The Contractor shall, at his cost and responsibility, guide and support KJO employee to
carry out repair and maintenance of the products mentioned in the Attachment herein.
Whenever requested by the Company.
2.22. The Contractor shall provide all the necessary tools for the maintenance of the System
but not limited to provide the communication facilities (wireless/radio).
2.23. The Contractor shall provide a detailed report upon the completion of every activity. Such
report will include at a minimum the following:

a) Findings
b) Impact of such findings
c) Recommendations
d) Action plan including schedule for implementing the recommendations and the role
expected from KJO and/or the Contractor under each task
2.24. Key contact person(s)/authorized representative:

 The Contractor shall assign a key contact person(s)/ authorized representative whose
main role will be to manage this Support Contract on behalf of the Company and act as
a first level of contact for all queries associated with the Support.

 There shall be single point of contact for the Contractor in connection with requests for
emergency corrective maintenance calls all times, including after office hours,
weekends and holidays.
 The personnel(s) assigned should have experience in the management and
administration of the day to day requirements of the services.
 In the event that there is a change in the key contact personnel assigned to the
Company, the replacement personnel must have equivalent, or a higher level of
experience in the management and administration of the day to day requirements of the
services.
 The replacement of key personnel must be provided with sufficient information to
ensure the continued smooth operation of the service provided to the Company.
 The Contractor shall provide the name, contact details and qualifications of the person
who will be the single point of contact for the entire duration of the contract with their
technical proposal.
2.25. If the Contractor refuses to provide support and maintenance to the Company and/or the
support and maintenance to the Company is delayed, for reasons that the Contractor does
not have a valid contract with the vendor and/or due to the reasons attributable to
Contractor/Vendor, Contractor agrees and understands that the Company shall have the
right to contact the vendor without involvement of the Contractor for support and
maintenance services during the Service Period and the same shall be at the cost and
expense of the Contractor.
2.26. The Contractor shall perform support and maintenance tasks based on best industry
practices and standards.
2.27. If the technical staff deployed for this Contract has not reported to work or refuses to
work on any day, the Company has all the right to impose a penalty of United States Dollar
One Hundred Dollars (US$ 100) for each day and in addition, the Company shall also have
the right to deduct daily rate of technical staff (technician & helper).
2.28. The Company has the full right to terminate any Contractor employee assigned to the
Company for this Contract if his job competencies and/or behavior do not satisfy Company’s
work performance requirements.
2.29. The Contractor shall replace/substitute any Contractor employee assigned to the Company
for this Contract deemed by the Company to be incompetent, disobedient to the Company’s
work rules, regulations or instructions or otherwise acts or behaves in a way that is
detrimental to the Company’s interest with a person acceptable to the Company within thirty
(30) days from receipt of the Company’s written notice to do so. Such incompetent person

as so judged by the Company shall be deemed as absent in calculating the payment from
the Company to the Contractor after the said 30-day notice period.
2.30. In the event the Contractor fails to provide an acceptable replacement/substitute, the
Company shall deduct from any payment to the Contractor the amount equal to twice the
relevant daily rate of technical staff (technician & helper) as penalty for each day that
passes after the thirty (30) day notice period.
2.31. The Contractor shall not change Contractor employee assigned to the Company for this
Contract without prior written approval or request of the Company.

3. SERVICE PERIOD
The Service Period set out in Article 3 of the Form of Agreement shall be continuous for an initial
period of twelve (12) months. Beyond the initial twelve (12) months, it shall be at the option of the
Company to require the Contractor to continue the services, which shall be based on the issuance
of a written instruction (Service Order) for a minimum period of three (3) months, and for further
periods as per the requirement of the Company. The Company shall issue such service order with
an advance notice of thirty (30) calendar days from the commencement date of the extended service
