The effect of COVID-19 in Corporate Governance, business ethics & CSR- corporate social
responsibility.

A brief of COVID-19:
During November in 2019 world face an unknown virus. It known as a corona virus
(COVID-19). This virus spread over the world from Hubei province in China. After few
month it covers whole world. This is now most pandemic period of the world. The effect of
COVID-19 not only stay in human life but also effect in the business world (Yoshikawa,
2020). Whole business world and economy suffer this effect and now also bear the crisis
moment. Almost 1.5 million people died and about 40 million people effect during the last 11
months. WHO and its associated member work to protect this virus and they try to develop
successful vaccine to overcome such a pandemic situation.

Introduction:
Corporate governance is a combination of multiple values. It is accommodation of corporate
behaviour, fairness, precision, sustainable corporate accountability and responsibility. It is
process by which authority develop rules, regulation, policy and ensure practices of all policy
to manage organization .organizational performance mostly depend on effect of corporate
governance (Yoshikawa, 2020). But during COVID-19 the role of corporate governance fully
change. Sustainable growth of organization mostly depend on positive corporate governance
butcorporate governance suffer a lot due to COVID-19. Due to COVID-19 effect authority
can’t play actual role. They can’t develop better communication like before. Online activity
can’t fully utilize their demand. Business ethics highlight ethical dilemmas in the process of
controversial business activities. It works with multiple business situation, business role in
society, process of stock traded and business governed activity. Conducting ethical approach
in the process of business is called business ethics. It may quite different according business
and social perspective. It works with not only boosting business image but also ensure clean
in legal perspective. But COVID-19 change corporate ethical role. Due to economic crisis,
corporate world quite change their ethical practice. Some corporation practice unethical
activity to gain more profit during pandemic situation. But some corporation ensure better
service and best ethical practice to save human during COVID-19 crisis. CSR means
corporate social responsibility (Yoshikawa, 2020). It is an approach by which organization
ensure transparent value of business, corporate citizenship, ecological sustainability, moral
development and charity of business corporation. Business organization ensure sustainable
ethical values with employees, stockholder, customer, society, environment, government and
other stakeholder of the organization. During Covid-19 situation the role quite change. Most
of the company small and medium and some large company skip practice of CSR activity.
Most of the company face economic crisis. They loss their regular production and selling
activity. That’s why CSR activity is quite challenging during pandemic situation.

Corporate Governance during COVID-19

During first week, I would learn about corporate governance and its details activity.
Corporate governance is a set of multiple activity like policies, processes, customs, law and
other approach which directly affected corporation controlled, direction and administration. It
is a combination of multiple values (Yoshikawa, 2020). But what is happen now? There are
quite difference the practice of corporate governance due to COVID-19. It is consider as an
accommodation of corporate behaviour, fairness, precision, sustainable corporate
accountability and responsibility (Yoshikawa, 2020). But pandemic change whole scenario.
COVID-19 affect process to develop rules, regulation, and policy and ensure practices of all
policy to manage organization .Organizational performance mostly depend on effect of
corporate governance. Sustainable growth of organization mostly depend on positive
corporate governance (Crane, 2019). Due to pandemic hamper the performance development
program and sustainable growth of the organization.

Actors of corporate governance during COVID-19

There are multiple group involve in the process of corporate governance. Shareholder, CEO,
board director and management authority consider as regulatory body of the corporate
governance. Beside these employees, suppliers, customers, creditors and community also
consider as an actors of corporate governance in large scale (Yoshikawa, 2020). During
Covid-19 the role of actors quite change and company also make sure quite change in the
process of regulatory in pandemic situation. CEO face multiple challenge due to COVID-19
and he needs to develop new business role and strategy to overcome such situation.

Shareholder
Shareholder invest in the organization by purchasing organizational stocks. They take
financial benefits (Yoshikawa, 2020). Though they are not directly take part in the
management activity but their selective authority represent their right and other activity
(Crane, 2019). They collect all information materials and select their authority by providing
vote. But due to COVID-19 role of shareholder and their benefit fully change. Now they
can’t arrange their election process and can’t change their board committee. They also can’t
get enough dividend and other benefits due to COVID-19.

Board of director during COVID-19

In corporate governance director play key role. They develop all types of directional policy,
organizational strategy, appoint employees, manage input and output activity of the
organization, supervise employee and take all types of organizational accountability and
responsibility (Crane, 2019). Due to COVID-19 director face multiple challenge. He face
new work environment, complex situation and take a lot of pressure to meet the demand of
stakeholder, corporate citizenship, society and community. He need to change entire business
model due to COVID-19.

Management during COVID-19

CEO is the head in the management board. They maintain operational activity of the
organization. They develop plan, organize activity, provide direction and ensure controlling
of organizational performance Crane, 2019). Organizational business affairs, strategy, risk
and financial activity maintain by management board(Yoshikawa, 2020). To operate
organization in COVID-19, management authority face multiple problem in employee
management, cybersecurity, it system, multiple protocol in communication process.
Authority face challenge in financing source, customer and supplier’s relationship, challenge
to use emergency fund due to COVID-19. Now company take importance outsourcing
employee and try to official work by using online platform.
Beside all other parties of corporate governance have particular interest and they have direct
or indirect effect of the performance of the organization and all these interest effected by
COVID-19.

Principles during COVID-19

Honesty, integrity, better performance, trust, accountability, responsibility, commitment and
mutual respect is a common elements of corporate governance principles (Yoshikawa, 2020).
Beside corporate governance develop particular business model, ensure right and treatment of
shareholder, keep shareholder interest, and develop particular role and responsibility for
board of authority, ensure ethical and integrity behaviour, transparency and disclosure,
internal auditors and controls, external auditors independency, financial statement , risk
management , compensation arrangements, effectiveness and efficiency of resources,
dividend policy, nominated position of employees and individuals (Crane, 2019). Due to
COVID-19 authority can’t apply all these principles and they ensure quite change of using
multiple principles. Covid-19 hamper all other activities of the organization. It create miss
management of the organization.

Corporate governance problems during COVID-19

Information of demand: Shareholder faces multiple barriers to take good information. Small
shareholder face more problem and they don’t get enough information. They don’t get benefit
of professional investors (Yoshikawa, 2020). Due to COVID-19, now board of authority and
stakeholder fully dependent online base information. Authority need to change access of
relevant information, monitoring COVID-19 activity. They threat of cyber security, misuse of
information and business risk due to COVID-19.

Additional monitoring cost: To ensure better performance of director, shareholder use

monitoring group. They need additional cost to maintain that groups. It also create additional
threats for organizational operation. Beside supply of financial information also maintains by
using monitoring group (Crane, 2019). To ensue effectiveness of information, additional cost
consider common part of the organization. COVID-19 create more challenge in the
monitoring cost. Now authority need more professional to monitor online activity of
employee and it take more cost. It also challenge for business security.
Control of corporate governance: Control of corporate governanceto reduced inefficiency
of the organization and also minimize adverse effect of selection. To ensure better control
authority make sure motivation and ability developing activity (Yoshikawa, 2020). Beside
these authority make sure board director monitoring, internal control, balance of power,
remuneration and incentive activity, make sure better competition, demand assessment,
labour market utilization, debt covenants, takeovers, government regulation and media
pressure. All these things directly or indirectly take part in the process of corporate
governance control. COVID-19 create difficulty to ensure better control of corporate
governance. They can’t do kinds of monitoring activity, it make security problem, misuse of
information and develop business risks. COVID-19 hamper physical environment of work
and reduced business production.

Importance of corporate governance during COVID-19:

An effective corporate governance ensure long term economic growth and better success of
the organization. It make interest of every one. Develop investors’ confidence level and make
sure effectiveness and efficiency of capital (Yoshikawa, 2020). Due to COVID-19 Corporate
governance can’t develop share market and value of share. Can’t ensure better information
system and better control of management. Due to COVID-19 they can’t develop corporate
strategy and guideline (Yoshikawa, 2020). If corporate governance develop proper business
plan, it helps to minimize risk, wastage, miss-management and corruption. It make sure more
resilient and develop strong brand reputation of the organization. Due to COVID-19 authority
can’t fulfil their activity. It reduce their importance but without a corporate governance
organization can’t perform well and can’t overcome any physical and natural (COVID-19)
challenge of business (Yoshikawa, 2020).

Business ethics during COVID-19

During second week of my new semester I was learning about business ethics and its effect
overall business of an organization. I also take practical knowledge of business ethics during
COVID-19. During coronavirus disease 2019-2020 (COVID-19) applies of business quite
change. Conducting ethical approach in the process of business is called business ethics.
Business ethics highlight ethical dilemmas in the process of controversial business activities
(Yoshikawa, 2020). It works with multiple business situation, business role in society,
process of stock traded and business governed activity. It works with not only boosting
business image but also ensure clean in legal perspective. The general perspective of business
ethics is not suite in pandemic situation. Now the business owner try to skip ethical practice
of business(Yoshikawa, 2020). The president of various country develop new role and
business policy but all are not accepted by businessman. They ignore law, take punishment
but can’t ensure practice of business ethics. To ensure supply chain management,
businessman use unethical activity, break law. Sometimes they can’t maintain proper quality
due to ensure market demand of product and shortage of raw materials. Pandemic destroy the
procurement policies, quality, legitimate, supply chain and integrity of product.

Importance of business ethics during COVID-19

There are multiple reason why business ethics is importance. Business ethics helps
organization to work within the boundaries of particular business law (Filatotchev, 2015). It
helps organization to ensure commitment of law and removing all types of criminal activities
against consumer, suppliers, employees and other parties of the organization. But COVID-19
change the full scenario and ethical perspective of business. Business ethics develop trust
issues between consumer and business. Now authority face challenge to ensure competitive
business advantage and make sure investors and shareholder highly motivation (Yoshikawa,
2020). Due to absent of business ethics practice they can’t ensure effectiveness and efficiency
in the process business operation and resource utilizing activities. COVID-19 create
challenge to reduce production, recruitment and operation cost and make sure interest of all
kind of stakeholder of the business organization. Due to COVID-19 authority can’t apply all
these principles and they ensure quite change of using multiple principles. Covid-19 hamper
all other activities of the organization.

Basic principles of business ethics during COVID-19

Business ethics is a diverse platform for using particular ethics principles. There are some
common principle which use in ethical business activities such as trustworthiness, respect,
fairness, caring, honesty, integrity, loyalty, personal, official, corporate and economic
responsibility, transparent, technical morality and legal responsibility is a common practice of
ethical principles (Yoshikawa, 2020).Due to COVID-19 authority can’t apply all these
principles and they ensure quite change of using multiple principles. Covid-19 hamper
practice of basic principle of the organization.
Common practice of unethical activity in business during COVID-19
Sometimes business organization doesn’t practice business ethics. They apply unethical
activity activity like gender discrimination, sexual harassment, age discrimination, racial
discrimination, lack of communication and avoiding diversity program. Authority should
avoid all these unethical practice and make sure positivity of the business organization
(Yoshikawa, 2020). During COVID-19, the practice of unethical activity increase. Some
corporation develop new unethical activity in the process of business activity.

Sustainable ethical codes during COVID-19

Business organization ensure use of formal document as a sustainable ethical codes. For
example values of company, problem resolution, applying professional standard principles,
ensuring employment law and regulation, make sure equal opportunity and applying diversity
program (Camilleri, 2017). The global spread of COVID-19 also affect the ethical code of
business. This types of sustainable code can’t bear more importance in the practice of
sustainable ethics. COVID-19 destroy expectation of sustainable ethical codes.

CSR- corporate social responsibility during COVID-19

During third week of my semester I was learning about CSR activities and overall effect of
the business and society what change happen due to COVID-19. CSR is an approach by
which organization ensure transparent value of business, corporate citizenship, ecological
sustainability, moral development and charity of business corporation (Yoshikawa, 2020).
Business organization ensure sustainable ethical values with employees, stockholder,
customer, society, environment, government and other stakeholder of the organization
(Camilleri, 2017).But COVID hamper the overall compliance of CSR activity. Due to
COVID-19 business organization can’t provide enough efforts in CSR activity.

Types of CSR activities

Business organization performs multiple types of CSR activities like ethical, philanthropic,
environmental and economical responsibility (Yoshikawa, 2020). Under ethical responsibility
business organization ensure employees, suppliers and labours welfare. (Scherer, 2020) They
also make standard quality of product, price and removing all types of discrimination of the
organization. Due to COVID-19 business organization can’t perform well in this sector.
Under philanthropic responsibility authority ensure support of human. They work for
unprivileged people and make sure donation of money, resources and time in the charity
organization.Due to COVID-19 business organization use less efforts but some of the
company develop their activity in this sector. Under economic responsibility authority work
for sustainable environment (Scherer, 2020). They minimize environment pollution and
greenhouse gases. During pandemic situation business organization fully skip in this field,
they try to minimize cost and make sure better money circulation.

Advantage of CSR activities during COVID-19:

There are multiple positive effect of CSR activities in business. CSR activities develop public
image of the organization, develop recognition and awareness, long time cost benefit, ensure
competitive advantage, increase engagement of employee, customer and suppliers, develop
benefits for employee and organization, develop image of company, attract potential
employee and suppliers, attract potential investors, develop brand publication, ensure long
term goal of the organization and make sure sustainable development of the business
organization (Scherer, 2020). But COVID-19 destroy all kind of advantage of the CSR
activity. Due to financial crisis, business organization can’t consider this sector, they use
other potential sector and try to make better situation of the organization.

Disadvantage of CSR activities during COVID-19

Due to CSR activities business face multiple problem like shifting from profit making
objective, reduced profit margin, rise cost of production, increase price of product, arise
challenge for competitive advantage and increase operation cost of the business organization
(Scherer, 2020). Due to COVID-19, it is more challenging for the organization. Now business
organization try to reduced cost, miss-management.

Challenge of CSR activities during COVID-19

Due to pandemic situation CSR activities of business face multiple challenge like less
participation of community, development of local capacities, make sure better transparency,
factors of visibility, narrow perception, lack of CSR guideline, problem of CSR
implementation and increasing potential mismanagement of the organization (Yoshikawa,
2020). COVID-19 is more challenging issues then other activities of business (Scherer,
2020).

Interest group of CSR activities during COVID-19

There are multiple interest group of CSR activities like shareholder, workers, customers,
suppliers, creditors, employees, environment and society (Yoshikawa, 2020). All these group
has direct or indirect influence of the busines organiozation. Due to COVID-19 situation,
Busimness authority can’t meet the demand of all interest group of the organization.

Conclusion:
This study highlight COVID-19 effect in Corporate Governance, business ethics and
corporate social responsibility. We know all these is an essential part of business activities.
To operate business organization, authority need to develop corporate governance by which
authority ensure operation of business. Business ethics and CSR both take part as a vital
factors for business succession. Both helps to develop business image, reputation, financial
growth and make sure better competitive advantage of the organization. During the last three
weeks I am learning about theoretical and practical issues and COVID-19 impacts. I was take
part multiple seminar program, business case competition and study multiple books to know
details about these things and make sure better knowledge in this field. I think now COVID-
19 is more challenging than any other issue of business activity. Business leader try to cope
with such challenging environment and make sure everything is normal like before.
