    MEETING HELD ON 09.06.2008 OF FASHION GOLD MAHAL AT THE


    REGISTERED OFFICE OF THE COMPANY

    The chairman stated that it is desirable to purchase, a Maruti – 800 for the use of the
    company, specially for marketing staff. The board after some discussion decided to
    authorize the Managing Director to purchase a new Maruti – 800 by availing loan from
    Syndicate Bank, Pilicode. It was also decided that the vehicle will be purchased in the
    name of the Managing Director, Mr. T.K. Pookoya Thangal, for operational convenience
    after some discussion the following resolution was passed.

    RESOLVED TO purchase a Maruti – 800 by availing loan from Syndicate Bank, Pilicode
    and that the purchase shall be made in the name of Mr. T.K. Pookoya Thangal the
    Managing Director of the company.
