Whereas the Authority has determined that

Articles ‫المواد‬
Article 1 1 ‫المادة‬

The Contract shall comprise of the following :‫يتكون العقد من المستندات التالية ومرتبة حسب األولوية‬

e. The Performance Guarantee.

Article 2 2 ‫المادة‬

The Service Provider undertakes that the ‫يتعهد مقدم الخدمة بأن يكون أداء الخدمات متوافقا مع العقد‬

Provider’s performance, the right to make
suggestions or recommendations as to the
details of the Services, and the right to

3 ‫المادة‬

4 ‫المادة‬
Article 4

The term of this Contract shall commence on ‫إنهاء الخدمات إال في حال تم التمديد أو الفسخ أو انتهاء‬
the Commencement Date and shall complete

Article 6

The Service Provider represents and

prevailing in the industry.

3. the Deliverables shall not contain libelous,

7 ‫المادة‬
Article 7 ‫تعهـــد وتعين جميـــع حقـــوق الملكيـــة الفكريـــة الخاصـــة‬
‫باإلنجازات التي أعدها مقدم الخدمة للهيئة إلى األبد بدون‬
All Intellectual Property Rights in the ‫ـ‬.‫أي تكلفة تقع على عاتق الهيئة‬
Deliverables prepared by the Service
Provider shall vest in, and be assigned to, the
Authority in perpetuity at no cost to the

In circumstances where Intellectual Property

8 ‫المادة‬
Article 8
‫يقوم مقدم الخدمة بتوفير طاقم محدد في متطلبات صاحب‬
The Service Provider shall provide the
personnel identified in Employer’s ‫ وطاقم آخر ال‬،‫ ال اعتراض عليه من قبل المهندس‬،‫العمل‬
Requirement, who shall be deemed to be ‫اعــتراض عليــه من قبــل المهنــدس من وقت آلخــر لتأديــة‬

personnel as may be non-objected by the

Engineer, all other persons who may at any
time be concerned with the Services,
specifying in each case the capacities in

The Authority shall provide all necessary

10 ‫المادة‬

warrants that all the Deliverables provided
under this Contract shall conform to the
corporate identity guidelines provided by, or
originating from, the Authority. 11 ‫المادة‬

maximum (10%) of the Contract Price. The
penalty for delay shall be imposed without
notice or proof or damage or recourse to
judicial proceeding. 12 ‫المادة‬

Article 12 ‫إذا أخل مقدم الخدمة بشروط العقد أو لم ينجز الخدمات أو‬
‫جزء منها حسب البرنامج الزمني المقدم من قبله يحق‬
If the Service Provider abandoned the :‫للهيئة اتخاذ اآلتي‬
Contract or fail to perform or achieve the
Services or part of the Services according to
the agreed time table / programme, the
Authority has the right to proceed the ‫ تنفيذ الخدمات على حساب مقدم الخدمة بمعرفة الهيئة‬- 1
following: ‫أو بمعرفة طرف آخر ويخصم من مستحقات مقدم‬

1. Perform the Services on the Service
Provider own cost by the Authority or by
another service providers and the costs of

2. Terminate the contract and confiscate the
Performance Guarantee without prejudice
to the right of the Authority to claim
compensation.
13 ‫المادة‬
Article 13 ‫ال يجوز لمقدم الخدمة أن يمتنع عن تنفيذ التزاماتــه الــواردة‬
The Service Provider shall have no right to
cease fulfilment of his obligation provided for
.‫في العقد بحجة عدم وفاء الهيئة بالتزاماتها‬
in this Contract on the assumption that the
Authority failed to do so.
14 ‫المادة‬

Article 14 ‫تحتفظ الهيئة بأحقيتها في طلب إجراء أي أوامــر تغييريــة‬

The Authority reserves its right to make ‫على جداول الكميات وبرنامج تنفيذ األعمال باإلضافة إلى‬
variation orders on the pricing schedule in .‫الخدمات المذكورة في متطلبات صاحب العمل‬
addition to Services identified in the
Employer’s Requirements.
15 ‫المادة‬
Article 15
‫يتحمل مقدم الخدمـة أيـة غرامـات أو تعويضـات مسـتحقه‬
The Service Provider shall bear any penalties ‫على الهيئــة للغــير نتيجــة إخالل مقــدم الخدمــة بالتزاماتــه‬
or compensation dues to the Authority .‫الواردة بهذا العقد‬
because of the Service Provider’s failure to
fulfil of his obligation provided for this
Agreement.

Both Parties agreed on the address as in ‫وفي حالة تغييره يخطـر الطـرف اآلخـر بـالعنوان الجديـد‬

17 ‫المادة‬
Article 17
‫تختص المحاكم القطرية بنظر أي نزاع أو اختالف ينشأ‬
Any dispute or difference, which may arise
.‫عن تنفيذ هذا العقد أو تفسير بنوده أو باآلثار المترتبة عليه‬
between the Parties in connection with the
execution or interpretation of this Contract,
shall be exclusively settled by competent
court of justice of the State of Qatar.

Article 18 18 ‫المادة‬

This Contract is made in three (3) original ‫حرر هذا العقد من ثالثة نسـخ اســتلم مقــدم الخدمـة نسـخة‬
copies, one of which is retained by the
Service Provider and the Authority retains

19 ‫المادة‬
Article 19

Delay or failure by either Party to comply with
or breach of any of the terms and conditions
of this Contract if occasioned by or resulting
from fire, explosion, earthquake, flood, war,
riot, strikes, blockade, embargo, sanctions,
epidemics, or different nature beyond the
reasonable control of the Party so failing, will
not be deemed to be a breach of this Contract
nor will it subject either Party to any liability to
the other.

‫ســـبب ذا طبيعـــة اخـــرى ليس للطـــرف المتـــأثر القـــدرة‬
‫المعقولة للسيطرة عليه فانه ال يعتبر متخلفا عن أداء العقد‬
.‫وال يترتب على ذلك أي التزامات على الطرفين‬

‫قيمة وعملة خطاب الضمان‪( :‬ادخل الحد األقصى القابل للدفع باألرقام والكلمات باللاير القطري)‬ ‫‪.9‬‬

‫أي مســتند مطلــوب لــدعم المطالبــة بالــدفع‪ :‬ال يلــزم تقــديم أي مســتند أو أي إفــادة لــدعم المطالبــة بالــدفع وتعتــبر اإلفــادة‬ ‫‪.10‬‬

‫مكان تقــديم المطالبــة‪( :‬على الضـامن أن يـدخل عنـوان الفـرع الـذي سـيتم تقـديم المطالبـة الخطيـة إليـه وفي حـال التقـديم‬ ‫‪.13‬‬
‫اإللكتروني‪ ،‬العنوان اإللكتروني العائد للضامن‪ .‬في حال عدم تحديدـ مكان المطالبة يعتبر مكان إصدار خطاب الضمان هـو‬
‫مكان المطالبة)‪.‬‬
‫التحويل‪ :‬خطاب الضمان هذا "قابل للتحويل"‪.‬‬ ‫‪.14‬‬

‫االنتهاء‪ 90( :‬يوما من تاريخ اصدار شهادة الصيانة)‬ ‫‪.15‬‬

‫الطرف المسؤول عن دفع أية مصاريف‪ :‬طالب اإلصدار‪.‬‬ ‫‪.16‬‬

‫إننا كضامن نتعهدـ بموجب هذا الضمان بشكل غير قابل للنقض وغير مقترن بأي قيد أو شرط ودون االعتداد بأي معارضة أليا‬
‫كانت بأن ندفع للمستفيد أي مبلغ لغاية قيمة خطاب الضمان عند قيام المستفيد بتقديم مطالبة مطابقة بذلك مع إدراج مرجع أو إشارة‬

‫خطاب الضمان‪ ،‬مستوفية لشروط خطاب الضمان وفقا ً لهذا النموذج‪ ،‬يجب أن تسلم أي مطالبة بموجب خطاب الضمان هذا إلينا‬
‫في أو قبل تاريخ االنتهاء في مكان التقديم المشار إليه أعاله‪.‬‬
‫مع مراعاة بنود خطاب الضمان هذا‪ ،‬يخضع خطاب الضمان للقواعد الموحدة لخطابات الضمان تحت الطلب (‪ )URDG‬تنقيح‬
‫‪ ،2010‬منشور غرفة التجارة الدولية رقم ‪.758‬‬

‫المادة (‪ )5‬من القواعد الموحدة لخطابات الضمان عند الطلب كتيب رقم ‪ 758‬تنص على ما يلي‪:‬‬ ‫‪.17‬‬

‫استقاللية خطاب الضمان وخطاب الضمان المقابل‬

‫خطاب الضمان بطبيعته مستقل عن العالقة األساسية‪ ،‬وعن طلب اإلصدار‪ ،‬والضامن غير معني أو ملــزم بــأي حــال من‬ ‫أ‪.‬‬
‫األحوال بمثل هذه العالقة األساسية ان اإلشارة في خطاب الضمان الي العالقة األساسية بغرض التعريف بها ال يغير من‬
‫الطبيعة المستقلة لخطاب الضمان‪ .‬تعهدـ الضامن بالدفع بموجب خطاب الضمان ال يخضع الدعاءات أو دفوع ناشــئة عن‬
‫أية عالقة غير العالقة ما بين الضامن والمستفيد كما هي محددة في خطاب الضمان‪.‬‬
‫يخضع خطاب الضمان هذا ويُفسر وفقـا ً ألحكــام قــوانين دولــة قطــر‪ ،‬وينعقــد االختصــاص بنظــر أي نــزاع يتعلــق بهــذا‬ ‫‪.18‬‬
‫الضمان للمحاكم القطرية في دولة قطر‪.‬‬
