CONTRACT FOR THE PURCHASE AND SALE OF INDUSTRIAL PRINTER INK

CARTRIDGES

This Contract ("Agreement") is entered into on this 01st day of November, 2021
("Effective Date") by and between:

Buyer: Crystal Clear Printworks Address: 47 Druckplatz, 45141 Essen, Germany

VAT/Tax ID: DE109827364 Represented by: Mr. Lukas Schwarz

Hereinafter referred to as the "Parties" and each, a "Party".

1. PRODUCT AND QUANTITY: The Seller, Printer Factory Munich, commits to

supply, and the Buyer, Crystal Clear Printworks, agrees to purchase, 2,000 high-
performance ink cartridges tailored for industrial printers, ensuring optimal print
quality and cartridge longevity.

2. TOTAL CONTRACT PRICE AND DYNAMIC PRICING: The initial price for the
2,000 ink cartridges is set at 320,000 € (Three Hundred Twenty Thousand Euros). For
any subsequent purchases during the term of this Agreement, the prices will be
adjusted as per the following tiered discounts based on the quantity:

• Further Purchase of 1,000 cartridges: A 10% discount will be applied to the

standard cartridge price.
• Further Purchase of 3,000 cartridges: A 15% discount will be provided on
the standard cartridge price.
• Further Purchase of 5,000 cartridges: A 20% discount will be granted on the
standard cartridge price.

3. TERMS OF PAYMENT: Payments will be structured as:

• An upfront 20% deposit, amounting to 64,000 €, upon the Agreement's

signing.
• The remaining 80%, summing to 256,000 €, upon receipt and satisfactory
inspection of the goods.

4. DELIVERY: Goods are to be dispatched to Crystal Clear Printworks' specified

address within 30 days post the acknowledgment of the initial deposit. Risks
associated with product degradation, damage, or loss will be transferred to the Buyer
upon delivery.
5. WARRANTY: A 12-month warranty against manufacturing defects is guaranteed
from the delivery date. Defective cartridges identified within this period will be
replaced at no additional cost.

6. GOVERNING LAW AND DISPUTE RESOLUTION: German laws govern this

Agreement. In case of disputes, the Parties agree to amicable settlements. If
unresolved within thirty (30) days, arbitration in Munich will ensue.

7. FORCE MAJEURE: Neither Party will be held responsible for non-fulfillment due to
unforeseeable events like wars, natural calamities, or unexpected labor disturbances.

8. ENTIRE AGREEMENT: This Agreement overrules any prior negotiations or

agreements.

9. AMENDMENTS: Any Agreement revisions necessitate a mutually signed written

document.

10. NOTICES: All official communications must be in writing and sent to the
respective addresses provided.

11. TERMINATION: Significant breaches allow the aggrieved Party to terminate this
Agreement if the erring Party doesn't rectify within a 30-day notice period.

12. CONFIDENTIALITY: Both Parties commit to maintaining the confidentiality of the

Agreement's terms, except when legally obligated or with prior written consent.

13. CONTRACT DURATION AND END DATE: This Agreement will remain valid for
three (3) years, concluding on 01st November, 2024. Post this date, renewal is based
on mutual consent or the Agreement terminates.

IN WITNESS WHEREOF, the Parties have executed this Agreement on the Effective
Date.
