SUBJECT: architectural & DOCUMENTATION Proposal – STRAIGHTFORWARD SM BACOOR

The following proposal has been prepared in response to the invitation extended to
Model Space by Ar. Jessica Z. Cueto, for the rendering of architectural and
documentation services as ARCHITECT-OF-RECORD of STRAIGHTFORWARD SM
BACOOR with a total development area consideration of 87 SQM, with the address
located at SM City Bacoor, Bacoor, Cavite composed mainly of the following:

C. DURATION OF WORK

E. TERMS OF PAYMENT
The terms of payment for the above service are as follows:

Proposal A: Contract Documentation


Equivalent to 50% (49,450.00) DOWNPAYMENT (upon signing of contract)
Equivalent to 30% (29,760.00) FINAL PAYMENT (upon approval before printing of
documents)
Equivalent to 20% (19,780.00) FINAL PAYMENT (upon turnover of contract
documents)

F. EXCLUSION

G. APPLICATION FEES, VARIATIONS, AND SITE VISIT


Any application fees shall be at the cost of the owner and is not part of the above
TOTAL COST of the project. Any addition, alteration or deviation from the
attached scope shall only be executed upon written order and will become an extra
cost over and above the total estimated cost of the project. Site visits more than the
two (2) shall be computed at Five Thousand Five Hundred Pesos (P 5,500.00)
(Exclusive of transportation/accommodation fee) per visit and is subject to the
Architects’ availability.

H. REVISIONS
The ARCHITECT-OF-RECORD will only accommodate Three (3) Minor revisions
for As-built revisions under Proposal B, (please see annex for revision definition) and
anything beyond the said revision shall be an additional cost. Any addition, alteration
or deviation for Proposal B shall only be executed upon written order and will
become an extra cost over. Computation is as follows:

I. PENALTIES AND LIQUIDATED DAMAGES

In the event of termination/cancellation during the 1st billing, the deposited down
payment stated above shall be returned to the client but will be charged for a
cancellation fee of 20% of the above contract price or shall be based on the actual
output of the architect, whichever is higher, However, in the event that the CLIENT
terminates/cancels the project after the approval of final schematics (presentation
by architects with one revision requested by the client), no amount shall be returned
to the CLIENT and the CLIENT agrees to settle the amount equal to 80% of the above
contract price. All existing output from the team shall be turned over to the client.

The ARCHITECT-OF-RECORD agrees to send its deliverables to the Client with no


more than Three (3) working days from the projected project schedule unless there
are unforeseen events such as labor disputes, fire, unusual delay in transportation,
unavoidable casualties, force majeure, or any causes beyond MODEL SPACE's
control, or by any cause which the Client may determine justifiable with the delay.
If MODEL SPACE fails to commit in the said period, it agrees to pay a penalty fee of
10% of 1% of total contract cost per day to the client, with a limit not more than 10%
of the total the amount indicated above.

The CLIENT Agrees to pay to the Model Space not more than Seven (7) days from
the requested date of the Billing. If the CLIENT fails to pay within the said period,
the CLIENT agrees to pay a fee of 10% of 1% of total contract cost per day as penalty
with a limit not more than 10% of the total amount indicated above.

J. CONSTRUCTION PHASE

If the Project was administered by the client, without getting a contractor or a


Project manager, the Client agrees to take full responsibility of anything that has
been done during construction including quality control, code compliance and
implementation of the Architectural and Engineering plans for the project
indicated above.

CLIENT agrees that Site coordination and implementation of the design to the is
the sole responsibility of the Contractor/PM/CM, should the CLIENT decide to do
PM/CM on their own, the ARCHITECT-OF-RECORD is not required to provide
any shop drawings or documentation to the client beyond the agreed scope of
works.

Responsibility of the designer is solely the preparation of the specification. The
getting of the actual quantity/implementation/sizes on site must be assumed by
the Contractor/PM/CM.

The DESIGNER is not responsible for any variances in the measurements that may
occur during the implementation due to existing site conditions before
construction. However, it is the DESIGNER’s responsibility to revise the design
upon request to fit the site condition with a limit of One (1) revision.

CLIENT agrees that shop drawings must be prepared by the Contractor/PM/CM


and are not included in the liability of the ARCHITECT-OF-RECORD. Shop
drawings must be approved both the DESIGNER and the CLIENT. Checking and
verification of the drawings if fit the site is under the responsibility of the
Contractor/PM/CM.

After the turnover of the contract documents, signed by the CLIENT, the designer
is no longer liable in implementation in construction, Contractor/PM/CM shall
implement all designs as per specifications, the burden of the Construction
deadlines is not under the ARCHITECT-OF-RECORD.

K. GENERAL PROVISIONS

This proposal shall act as a CONTRACT AGREEMENT for the above services. This
agreement sets forth the entire understanding between the parties with respect
to its subject matter, and supersedes all prior agreements or conditions.

This proposal can only be modified by the mutual written agreement of the parties.
Nothing in this Agreement is intended to confer on any third party any benefit or
any right to enforce any terms of this Agreement.
This Agreement will be governed in accordance with the Philippine Laws, without
giving effect to conflict of law rules.

ACCEPTANCE OF PROPOSAL

The attached price, specifications and conditions for the Architectural services are
satisfactory and are hereby accepted. MODEL SPACE is now authorized to do the
work on STRAIGHTFORWARD SM BACOOR as specified. This document will act as
the contract for the services indicated above.

Payment will be made as outlined above.
