SYKES Work at Home Equipment Agreement

This Equipment Agreement (“Agreement”) is entered into between JAYSON MANUMBALI (“Employee”) and Sykes Asia, Inc.
(“Employer” or “Company”). Each party may be referred to herein individually as a “Party” or collectively as the “Parties.” For valid
consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:

1. Definition of Equipment. Employer has agreed to provide Equipment to the Employee to use only in accomplishing the Employee’s
job responsibilities and carrying out the Employee’s job duties. The Equipment is and will remain at all times the property of the
Employer. Equipment in this Agreement is defined as one or more of the following: desktop computer, thin client, Secure Remote
Desktop (SRD) USB flash drive, key FOB, mouse, key board, a monitor switch box with VGA cables, laptop, webcams, modem or
pocket wifi, and/or any other equipment, tool or implement specified in the Employee’s Acknowledgment Form. Please note that
each program may have different equipment requirements so you may receive only some of the items listed as Equipment under
this definition.

2. Delivery and Acceptance of Equipment. The Equipment must be received by the Employee at the home address on the day of
delivery which the Company’s Information Technology (IT) Department previously coordinated and scheduled with the Employee.

3. Acceptance of Equipment Through Authorized Representative. Employee may request to appoint an Authorized
Representative of legal age who will accept the Equipment on his/her behalf by informing the IT Department and submitting the
signed and completely filled up Authorization Letter (attached as Annex 1) to the IT Department via e-mail at
APACPHITWAHOperationsTeam@sykes.com. In such case, Employee is fully responsible for the appointment of the representative, and
agrees to be solely liable for any claim, loss or liability whatsoever arising from acceptance of the Equipment by the Authorized
Representative. In the absence of the Employee, the Equipment may be released to the Authorized Representative who must be
able to present the required documents. The Employee further agrees “Authorized Representative” under this Agreement means the
person designated by the Employee in the Authorization Letter prior to the delivery date. The Company will not proceed with the
delivery of the Equipment in the absence of the Authorization Letter.

4. Acknowledgment of Receipt of Equipment. Within twenty-four (24) hours upon receipt of Equipment, the Employee must
access this link and acknowledge receipt of the Equipment, and immediately report any issue encountered with the Equipment:

Employee must also immediately report any issues encountered to his or her immediate supervisor within the same 24-hour period.

In the absence of a complaint or noted damage immediately communicated to the Company, the Equipment is deemed delivered
and received in good order and condition.

5. Use of Equipment. Employee agrees to use the Equipment only in compliance with all applicable Employer policies and procedures
and all applicable laws, to include, but not be limited to, the following:
a. Employee agrees to maintain Equipment in good condition and not cause any damage through negligence or misuse of the
Equipment.
b. Equipment is to be used by Employee only. No other persons may use the Equipment.
c. Employee may use the Equipment for Employer and Employer’s client business purposes only.
d. Use of Equipment outside of scheduled work or training hours is strictly prohibited and monitored for security and fraud
prevention purposes.
e. Use of Equipment outside of the Philippines is strictly prohibited.
f. Employee shall use the Equipment in a manner that keeps it and the Employer’s and client’s computer systems, software and
data free of any computer virus, contaminants or time bombs, including any code or instructions that may be used to access,
modify, delete, damage or disable the Equipment or the Employer’s or client’s equipment, computer systems or data.

6. Security of Equipment. Employee agrees to ensure the security of the Equipment by following Employer security policies, to
include the following:
a. Employee is responsible for their User ID(s) and password(s) to access Equipment and system applications. Employee agrees
(i) to provide accurate and complete information when setting up their User ID and password, (ii) to update their information

as necessary so it remains accurate and complete, and (iii) not to impersonate any other person, operate under an alias or
otherwise conceal their identity. Employee agrees to not share their User ID(s) or password(s), let anyone else access their
account(s), or do anything else that might jeopardize the security of their account(s) or system(s).
b. Employee agrees to safeguard their User ID(s) and password(s) and hold Employer harmless from any claims resulting from
improper use of User ID(s) or password(s). Employee will immediately notify Employer if they believe the security of their User
ID(s), password(s), or account(s) have been compromised in any way.
c. Employee will be held responsible for any activity associated with assigned User ID(s) and password(s). Employee may be
prosecuted by Employer or the Employer’s client for any fraudulent activities associated with Equipment, system applications or
User ID(s) assigned to Employee.
d. Employee agrees to store Equipment in a secure location at all times.
e. Employee will be held responsible for any breaches in security or fraudulent activity associated with Equipment including lost
Equipment. If Equipment is lost Employee must notify Employer immediately for security reasons.
f. Employer is willing to provide up to one replacement of Equipment per year per Employee for lost Equipment. Employee will be
responsible for any additional replacement Equipment including overnight shipment.

7. Installation of Equipment.
a. Employer will ship equipment to Employee upon receipt of new hire paperwork and completion of Employer required background
verification screening.
b. Employee must attend the Client specific New Employee Orientation class to receive instruction related to set up and use of
equipment and login credentials for Company systems.
c. Employee agrees that they are responsible for any damage which may occur when unpacking and installing Equipment.

8. VOIP. Employee understands that telephone services using Voice Over Internet Protocol (VOIP) is strictly prohibited. Employee
agrees that they will use traditional, analog phone services in which the phone used for work purposes plugs directly into the phone
jack in the wall of the Employee’s home or by an approved cable or DSL service provider. If Employee has questions about what
services are VOIP, they may contact the Employee’s recruiter, Employer’s Help Desk or telephone service provider. Only VOIP services
provided by Employer or Client owned equipment and networks used in training and production are permissible.

9. Storage of Computer Boxes. Employee agrees to safely store all original boxes that Equipment is shipped in, including packing
materials. In case of Equipment failure or return, Equipment must be shipped in original boxes with the original packaging materials.

10. Equipment Failure. In case of Equipment failure or any type of technical issue with the Equipment, Employee agrees to
immediately notify Employer’s Help Desk. The Employer will assess the failure to determine whether it is the Employee’s responsibility,
which may include Employee ISP outages, power outages, phone line issues, router/modem issue, lost Equipment or issues with the
Employee’s personal computer. The Employer makes no warranty or covenant, express or implied, of any kind regarding the
Equipment. Employee acknowledges that employee is using the Equipment on an “as is” basis. In the event of an Equipment failure,
the Employee may be unable to work or train until Equipment is repaired or replaced by Employer or authorized technician.

11. Misuse of Equipment. If damage to equipment occurs through misuse, the Employee will receive disciplinary action, up to and
including termination. In addition, if Equipment is misused, Employer may take whatever legal action necessary and
the Employee may be responsible for all financial charges incurred to fix the software, hardware or computer systems
or to restore data and return to previous working order, as well as the costs of any legal actions incurred by Employer.
Misuse may include, but is not limited to, damage resulting from moving Equipment after initial installation and improper use or care
of computer.

12. Revocation of Equipment. Employer may revoke use of Equipment at any time for any reason, and the Employee shall immediately
stop using the Equipment when this occurs.

13. Return of Equipment.* In the event the Employer revokes use of the items or at the end of Employee’s employment with a specific
program or the Employer, whichever occurs first, Employee agrees to assist in facilitating the return of the Equipment without need
of demand and must await instructions from the IT Department on the Equipment retrieval. For this purpose, Employee must respond
to messages or calls from the IT Department, coordinate with and make themselves available on the scheduled retrieval day to hand
over the Equipment to SYKES’ authorized courier or shipping service provider. Employee will be contacted for the time and date of
retrieval through SYKES’ accredited courier or shipping service provider.

Employer will take whatever legal action necessary to regain possession of Employer-owned property and require Employee to pay
such legal costs incurred by Employer. Equipment must be returned in the same boxes and packaging materials as delivered and in

the same condition as it was received, except for normal wear and tear. The Employer’s determination and assessment on the
condition of the Equipment upon return, including the replacement value of any excessive wear and tear.

*Please note that return of a Secure Remote Desktop (SRD) USB flash drive may not be required depending on the assigned program.
If you received an SRD as part of your Equipment, you will be notified if the SRD needs to be returned.

14. Financial Responsibility of Unreturned Equipment. In the event that the Employee fails to return any Equipment to Employer
within two weeks, the Employee agrees to be financially responsible for the replacement cost of the unreturned equipment (per the
Acknowledgment Form for Assets Received), whichever is higher, and for any excessive wear and tear on items that are returned.
Employee agrees to be liable for all reasonable collection costs incurred, including, but not limited to reasonable attorney’s fees and
legal costs.

In such cases, Employer reserves its right to pursue the appropriate legal action against Employee, including the filing of criminal
charges, a civil suit for damages and a small claims case in accordance with applicable law, without prejudice to any administrative
case then ongoing against employee. The Company likewise reserves its right to withhold the salaries then still due to the Employee
to answer for the value of the unreturned equipment in accordance with the Labor Code of the Philippines, and to refuse to issue a
certificate of employment stating that the Employee has been cleared of all accountabilities from the Company.

15. Consequences of Failing to Abide by Company Equipment Agreement. If Employee fails to abide by any of the terms of this
agreement, Employee may be subject to disciplinary action, up to and including termination.

16. Length of Agreement. This Agreement shall remain in effect during Employee’s employment with Employer and may not be
revoked unless mutually agreed to in writing by the Employer and Employee.

17. Compliance with SYKES Policies. Employee agrees to all times comply with the attached SYKES Work at Home Telework Area
and SYKES Clean Desk Policies, and other related policies that the Sykes may issue from time to time, including the SYKES
Telecommuting or Work at Home (WAH) Policy. Employee acknowledges that failure to abide by these Policies may result in
disciplinary action, up to and Including termination.

18. Governing Law. This Agreement shall be governed by the laws of the Republic of the Philippines and it is expressly agreed that
the venue for any action shall be in Makati City, Philippines to the exclusion of all others.

19. Severability. In the event any provision of this Agreement is found to be unenforceable, void, invalid or unreasonable in scope,
such provision shall be modified to the extent necessary to make it enforceable, and, as so modified, this Agreement shall remain in
full force and effect.

20. No Waiver. The failure of SYKES to exercise any right, power or remedy provided under this Agreement or otherwise available in
respect hereof at law or in equity, or to insist upon compliance by the Employee with the stated obligations hereunder, and any
custom or practice at variance with the terms hereof, shall not constitute a waiver by SYKES of its right to exercise any such or other
right, power or remedy or to demand such compliance.

21. Changes to Policy. Employee acknowledges that this Agreement is suppletory to the SYKES Telecommuting or Work at Home
(WAH) Policy, and which all Employees are required to read and familiarize themselves with. SYKES reserves the right to amend the
terms of this Agreement to conform to the WAH Policy, the Telecommuting Act and its Implementing Rules, upon due publication of
such changes.

By signing this document, I hereby acknowledge that I have read, understood, and agreed to the Terms and Conditions of the SYKES
Work At Home Equipment Agreement.

Work At Home-Telework Work Area Policy

You acknowledge your responsibility to meet the following requirements:

Security Requirements. Consistent with SYKES policies for information security, all Employees are required to take all
precautions necessary to secure confidential and proprietary information and prevent unauthorized access. The integrity
and protection of SYKES and third party confidential and proprietary information is critical at all times. This protection
includes, but is not limited to, ensuring computer screens are not visible to others, using locked file cabinets, disk boxes
and desks, password maintenance, maintaining a paperless environment, and any other steps appropriate to maintain the
security of the work area.

Work Area Requirements. Employees must designate an appropriate work area in their home to be used for placement
and installation of equipment necessary for performing telework services and must take ergonomic, workspace, noise, and
interruption factors into consideration. Employees must work out of their residence, not another remote facility. SYKES
reserves the right to ask Employees to submit photos of their home office as needed. The established work area must be
quiet and free from domestic noises and distractions. All communications must sound no different than they would they
were being made from a SYKES office. There is a strict zero tolerance policy with respect to background noise while
teleworking and any inappropriate background noise will result in disciplinary action, up to and including termination.

Technology Requirements. Failure to comply with any of the following technology requirements may result in disciplinary
action up to and including termination. Employees must:

• Safekeep and maintain the personal computer and all SYKES IT issued assets in good working condition. Equipment may
vary based on client program requirements.

• Maintain the subscription to a reliable, high-speed, hard wired, bi-directional internet connection using DSL or Cable that
meet the following requirements:

o Land-Based (not a wireless or satellite broadband connection)


o Reliable with consistent ‘up’ time
o Unlimited use

The terms of this internet subscription may vary depending on the arrangement agreed upon with the individual Employee.

• Maintain the active landline telephone line dedicated to their use while working, which can be used while accessing the
internet. Employees may be asked to submit a copy of their most recent phone bill for verification.

• Use a headset at all times. Speaker phones are strictly prohibited and cell phones, smart phones and/or cameras (of any
kind) are not permitted in the work area at any time.

Inspections. Employees agrees to allow SYKES access to the home work area during normal business hours (with advance
notice, if practicable) for safety inspections, equipment maintenance, installations and repairs, security assurance, retrieval
of property, performance evaluations, or for any other business reason as deemed necessary by SYKES.

SYKES Clean Desk and Security Policy

In connection with the services SYKES provides to its clients and employees, we are constantly exposed to sensitive and confidential information.
Protection of the confidential nature of this information is of crucial importance to SYKES. As such, the protection of all data from unauthorized access,
modification, destruction or disclosure is a primary responsibility of everyone employed by SYKES. The purpose of this form is to briefly highlight the most
crucial responsibilities of an employee and to ensure everyone understands and abides by the security policies put in place to keep SYKES and client
information secure.

I. User ID and Passwords


Your user ID(s) and password(s) provides your own unique identification for computer access. Your user password(s) should not be disclosed to anyone,
directly or indirectly, except to one’s Systems Admin if he/she is present and the password is changed as soon as possible. You are prohibited from using
a user ID or password assigned to another person. You are prohibited from allowing others to access any client system with your user(s) ID and
password(s). You will be held personally responsible for all activities or transactions performed with your user ID(s) and password(s) on any workstation,
even if you did not perform such activities or transactions yourself. Therefore, you are required to exercise the highest degree of care in protecting your
user ID(s) and password(s) from unauthorized disclosure or theft. Immediately contact your supervisor if you believe the security of your user ID and
password may have been compromised.

II. Computer Security

Employees who are in a position to obtain client sensitive data must maintain a clean workstation to avoid potential risks. Employees working in a
physical centre or at home are prohibited from having any personal electronic device (cell phone, ipod, PDA etc.) on the call floor and/or at
their workstation. If in a center, these items must be stored in a locker while logged in to take customer calls and/or on th e call floor.

Employees working in a physical center or at home must keep the following items away from their workstation:

• Bags, backpacks, purses, lunches, etc.


• Writing instruments (these include pens, pencils, crayons, markers, etc.)
• Magazines, books, notepads, etc.
• Paper of any kind (no paper on the desktop; it must be plasticized and hung on the
cubicle walls)
• Certain items are prohibited from the call centre building at all times such as cameras and personal laptops.
• Employees working from home must secure their home office work area by restricting access during work hours. This
includes family, roommates etc.

The items listed above must be stored in a locked locker outside the production floor prior to opening a work session at the computer

As an additional precaution, you must log off or lock your computer terminal when unattended, even if you are leaving your workstation or home office
work area for just a short break. This can be accomplished by hitting Ctrl + Alt + Delete keys simultaneously and choosing the Lock Computer option.
This ensures that only the currently logged in user can unlock and use the workstation. Remember, you will be held personally responsible for all activities
or transactions performed with your user ID(s) and password(s) on any computer, even if you did not perform such activities or transactions yourself.

Employees working on client accounts may be required to have a landline telephone number. The use of cell phones, or VOIP lines is strictly prohibited.

Where applicable, you are required to provide proof that the landline requirement is met. The employee’s landline number must match the headset number
recorded in Sykes Home systems. Employees not compliant with this requirement will not be permitted to take calls until use of a landline has been
confirmed. Please refer to the Telework Agreement for more information.

III. Account Access

Our support of the client’s program requires that our employees perform financial transactions on behalf of customers. This gives our employees access
to sensitive and confidential customer information. In order to minimize the potential risk of unauthorized transactions, you are prohibited from accessing
your own account or the account of someone you know personally (including co-workers). You are prohibited from creating altering, crediting, changing,
updating or deleting any authentic contents of an account unless properly authorized to do so. You are restricted to performing only those activities
associated with your job function and responsibilities. As a representative of the client’s program, you must notify your supervisor immediately if you learn
of or have reason to believe any employee is performing unauthorized credits, alteration, change, updates or deletion of accounts. As a representative of
the client’s program, you are required to act with professionalism at all times. You are to refrain from logging negative comments to a customer’s account.

Violation of any SYKES policy will result in appropriate disciplinary action, up to and including termination of your employment with SYKES. Depending
on the circumstances, SYKES and/or the client may consider referral to appropriate authorities.
