MEMORANDUM OF UNDERSTANDING

FOR ACADEMIC COOPERATION

BETWEEN
TAINAN NATIONAL UNIVERSITY OF THE ARTS
AND
○○○○○ UNIVERSITY

Tainan National University of the Arts (hereinafter referred as “TNNUA”) and ○○○○○
University (hereinafter referred as “○○○○○”) agree to the following terms and conditions with
the intention of developing bilateral relations between the two institutions and mutually striving to
promote academic and cultural exchange activities. Cooperation shall be pursued in the following
three areas:

I. Purpose
The purpose of this Memorandum of Understanding (MOU) is to facilitate and to enhance the
academic cooperation between the two institutions and the goal of this MOU is the facilitation of
exchange of students and faculty in order to promote cross-cultural understanding, learning and
sharing of knowledge between the two institutions.

II. Areas of Cooperation

i. Exchange undergraduate students, graduate students, and faculty.
ii. Exchange information and documents which are of mutual interest.
iii. Arrange seminars, meetings, lectures, workshops, and other events of mutual concern.

III. Mutual Communication

The Director of the International Center at TNNUA and ○○○○○ shall be responsible for
communications and administration related to student and faculty exchange.

IV. Intellectual Property Rights

This MOU shall not be construed as any transfer or assignment of any intellectual property rights
between the two institutions.

V. Privacy and Personal Information

i. Both institutions shall obtain from the persons participating in the exchange activities a written
 consent to the collection, use, disclosure and management of personal information about the
persons and their respective institutions and transferring such information between themselves
for the purposes of this MOU.
ii. Both institutions agree to collect, process, use, disclose and otherwise manage personal
information only for the purposes of fulfilling their obligations under this MOU.
iii. Both institutions agree to ensure that personal information is not used for any other purpose
than that for which it is collected.

VI. Force Majeure

Neither institution shall be responsible for any failure or delay in the performance of any obligation
imposed upon it hereunder nor shall such failure or delay be deemed to be a breach of this MOU if
such failure or delay is due to circumstances of any nature whatsoever which is beyond its
reasonable control and is not preventable by reasonable diligence on its part.

VII. Term and Termination

This MOU shall become effective from the date of execution hereof and shall supersede all previous
negotiation and agreements between the institutions relating thereto.
This MOU shall remain in force for 5 years from the effective date and shall be automatically
renewed for successive term of 5 years unless either of the institutions notifies the will of
termination or change to the counterpart institution in writing at least six months prior to
termination. Such notification shall not affect the status of students and faculty who have already
been accepted for exchanges or staying for research initiated prior to the termination of this MOU.
