1) To supply new 45-seaters (including driver) air-conditioned Express
Bus Coach Body with following specifications:-

Others: Comes with reclining seats, all standard accessories and
standard equipment as per body specification attached.

**All frame works and steel super structure conform with the new UN-
ECE regulation 66 (R66) and anti-rusted with final coat of marine paint.

2) Supply of APM brand air-conditioner unit, c/w compressor, alternator,

standard accessories, piping and writing inclusive of installation and
commissioning.

Additional Remarks
SST – Please note that the price quoted is without sales tax. SST exemption application is to be submitted to MoF for
approval. Otherwise, a sales tax of 10% with amount () is to be paid accordingly.

Ex- KCH : i) The price quoted is INCLUDING bus plan drawing and PPP certificate

Term of Payment and Settlement

i) % : Deposit / Downpayment is to be paid upon confirmation of order.
ii) % : Cash / financial institution with official undertaking letter of payment addressed to us
must be valid for no less than three (3) months, before registration / delivery.

TERMS AND CONDITIONS
GENERAL 1 Any circumstances of any kind whatsoever beyond the control of COACH AND AIRCOND
INDUSTRIES SDN BHD (867072-A) (thereinafter referred to as the “Company”) interfering
with production, delivery or transit of the vehicle / equipment shall release the Company from
responsibility under the contract and the Buyer shall have no claim in respect thereof. Any
such delay shall not invalidate the contract but no claim shall lie against the Company in
respect of any loss or expenses suffered by the Buyer
TERMS OF 2 The Buyer hereby confirms and agrees that this is a firm order to purchase the mentioned
ACCEPTANCE vehicle/equipment plus extras and accessories at the price, terms and conditions as stipulated
hereof
Further, the Buyer understands that the issue of the Company’s official receipt for the
payment made or the surrender of the mentioned trade-in vehicle shall constitute acceptance
of this offer and a binding contract will be created thereto upon the conditions stated hereof
DELIVERY 3(a) The date given for delivery whether is writing or otherwise is an approximate only. However,
delivery must be completed within seven days o the issue of Vehicle Invoice or written advice
of arrival otherwise the Buyer will become liable for storage charges. The Company shall
have the right to demand cash before delivery. Upon taking delivery of this chassis / vehicle,
the Buyer takes full responsibility for any damages or loss
3(b) The vehicle delivery date shall be approximately 90-160 days upon deceiving of bus chassis
CHANGE IN 4(a) Should the cost of vehicle be increased under any circumstances of any kind beyond the
PRICES control of the Company including (but not by way of limitation) variations in rates of
exchange, revaluation of any relevant currency or increase in relevant rates of freight,
insurance, import duty, excise duty or any other taxes after signing of contract, such increment
shall be borne by the Buyer if required by the Company
4(b) Whereby any cause whatsoever beyond the control of the Company, should the Company be
called upon to pay any additional freight or incur any other charges and expenses in respect of
the carriage of the vehicle / equipment covered by this contract, such additional freight,
charges or expenses shall be payable by the Buyer to the Company in addition to the price
quoted, if required by the Company
4(c) In the event of any revision of the price of the vehicle / equipment for whatsoever reason after
this contract has been accepted by the Company, the Buyer shall purchase the vehicle at the
price in force on the day of actual physical delivery by the Company to the Buyer and not at
the current price stated herein, provided that this provision shall be in addition to and not in
derogation of the Company’s rights as set forth in conditions 4(a) and (b) above
DEPOSIT 5 Booking fees, deposits or down payments in cash or in other forms whatsoever made to the
Company are not refundable in the event of cancellation or the order of the Buyer
GUARANTEE 6 No guarantee or warranty of any kind whatsoever is given by the Company in respect of
vehicle / equipment the subject of the order, unless such guarantee and / or warranty is
expressly stipulated in writing hereto, but the Buyer shall be entitled to the benefit of the
Manufacturer’s warranty
PART 7 Contemporaneously with the due performance by the Buyer of this part under this contract the
EXCHANGE Company shall purchase in part exchange the Buyer’s used vehicle specified overleaf upon
VEHICLE the terms there contained subject to such vehicle being in all materials respects in the same
conditions as it was when inspected by the Company
OWNERSHIP 8(a) The Buyer unconditionally agrees that the ownership of this chassis / vehicle / equipment
belongs entirely to the Company until such time it is paid in full amount
8(b) The Buyer also agrees that until all the agreed terms are fulfilled, the Company reserves the
right to disallow registration of the vehicle and to reclaim possession of the chassis / vehicle /
equipment
