DEED OF DONATION

KNOW ALL MEN BY THESE PRESENTS;

This deed of donation (DEED) is made and executed by and between:

AXEIA DEVELOPMENT CORPORATION (formerly Asiatic


Development Corporation), a domestic corporation duly organized and
existing under Philippine Law with principal office address at Block 4, Lot
87 Phase 1-B Alta Tierra Homes Brgy. A. Olaes, Gen.Mariano Alvarez
(GMA), Cavite, with TIN number 000-436-566-000, and is represented by its
President, PAUL H. TAN-CHI, and hereinafter referred to as the DONOR;

-and-

MUNICIPALITY OF GENERAL MARIANO ALVAREZ,


Province of Cavite, is a local Government Unit, and is represented by its
incumbent Mayor, HON. MARICEL E. TORRES, hereinafter referred to as
the DONEE;

` Witnesseth
WHEREAS, the donor is the owner and developer of Alta Tierra
Homes Subdivision Phase 4 (PROJECT) situated in Brgy. Aldiana Olaes,
GMA, Cavite; Copy of the project is hereto attached as Annex A;
WHEREAS, the donor is also the owner two parcels of lots to the Alta
Tierra Homes Subdivision Phase 4 ( PROJECT) identified as Block 45 Lot
98 with an area of around Six hundred Sixty Seven Square meters (667 sq.m.)
covered by Transfer Certificate of Title No. 057-2021032320; and Block
45 Lot 97 with an area of Two Hundred Twelve Square meters (212 sq.m.)
covered by Transfer Certificate of title No. 057-2021032318;
WHEREAS, during the application for the development permit of the
said Project, Donee has requested for the donation of a Two hundred twelve
square meter (212 sq.m) lot, declared as Community Facility in the said
Project located in Block 45 Lot 97, for the purpose of building an Operation
Center of the Municipal Disaster and Risk Reduction Management
(MDRRM) office, Bureau of Fire Protection Sub-Station and GMA MPS
sub station (herein to be known as GOVERNMENT CENTER), which
projects will benefit the residents and community of GMA, Cavite including
the residents of the project;
WHEREAS, the Donor is still in the process of completing the
construction and development of the project;

WHEREAS, The Donee requested for a formal turn-over of the


community facility which is covered by the aforesaid Development Permit
identified as Block 45 Lot 97 with an area of Two hundred Twelve square
meters (212 sq.m); and further requested for the donation also the excluded
lot which is not covered by the Development Permit and identified as Block
45 Lot 98 with an area of six hundred sixty seven square meters ( 667 sq.m.)
to be intended also to house the Government Center;

NOW, THEREFORE, for and in consideration of the abovementioned


premises, the donor hereby CEDES, TRANSFERS, CONVEYS by way of
DONATION the community facility and excluded land areas, subject to the
following conditions:
1. The subject of this Deed pertains to two (2) open spaces situated in
Phase 4 of the Project, namely:
a. Community Facility – Block 45 Lot 97 with an area of Two
hundred twelve square meters (212 sq.m) Copy of the Transfer
Certificate of Title No. 057-2021032318 is hereto attached as
Annex B;
b. Excluded Lot- Block 45 Lot 98 with an area of Six hundred Sixty
seven Square meters (667 sq.m) Copy of the Transfer Certificate
of Title No. 057-2021032320 is hereto attached as Annex C;
2. The Donee accepts the two (2) open spaces on an “ As is Where Is”
condition;

3. The Donee shall use and maintain the two (2) open spaces strictly
for its intended purpose, namely: construction of (a) Operation
center of the Municipal Disaster and Risk Reduction Management
(MDRRM) Office; (b) Bureau of Fire Protection Sub-station; and (c)
GMA MPS Sub-station; all to be used as a location for the
government center

4. The Construction of the aforesaid Government Center,


improvement of the open spaces, erection of retaining walls and
such other necessary structures that will be introduced on the said
open space areas shall be for the sole account of the Donee. In
relation to this the Donee warrants that in case of any default/s in the
construction of the Government center, or should there be any
accident and/or any untoward incident that may occur due to the
improvements or construction works introduced by the Donee, the
donor shall be held free from any and all liabilities that arise them
from;

5. Should the Donee construct or introduce improvements on the two


(2) open spaces contrary to the intention for which the lots are
donated or it failed to develop the same within a period of three (3)
years from signing of this DEED, the two (2) open spaces may
revert back to the Donor at his or on demand, depending on the
assessment / study of the latter on the circumstances of the
development on the said open space area;

6. All expenses for the preparation and execution of this document, all
national and local taxes which are henceforth due on the land
donated and its future improvements, shall be for the account of the
Donee;

7. This Deed shall bind heirs, assigns, and successors-in-interest.
