CERTIFICATION AND LEGAL OPINION

Re: MOA between our University and Landbank Countryside Development

Foundation, Inc. (LCDFI) concerning Iskolar ng Landbank Program (ILP)

Dear Dr. Bagtang:

Upon your instructions, I have reviewed the proposed Memorandum of Agreement

between our University and the Landbank Countryside Development Foundation,
Inc. (LCDFI) regarding the entering into a partnership for the implementation of the
Iskolar ng Landbank Program (ILP).

That after review of the terms and conditions thereof, I hereby certify that the
proposed Memorandum of Agreement is not contrary to law and in accordance with
existing regulations.

Nonetheless, I respectfully make the following recommendations before our

university signs the MOA:

1. The Introductory portion in page 1 and the Whereas clause should state
the complete details of KSU to reflect that it is the partner-university
referred in the MOA;

2. The Articles of agreement must reflect KSU as the university referred to in

the document; and

3. The pages of the document should be updated to provide the correct

number of pages in the Acknowledgment.

I hope that my legal opinion addressed your concerns.

I am returning to your office the documents which I have reviewed.
