 Annexure
General Terms & Conditions of Sale
1. All orders booked by the company will be subject to these conditions of sale and all purchasers are deemed to have
signified their acceptance of these conditions while placing orders. It will be optional to the company to cancel in whole
or in part any order at any time even though it has been partly executed by the company.
2. No agreement or contract is valid unless it is in written and duly signed by an authorized officer of the company.
3. Prices, Discounts and terms are subject to change without notice and company reserves the right to decline or accept an
order.
4. (a) Outstanding orders whatever their dates will be fulfilled at price discounts and terms ruling on the date of dispatch
or actual delivery.
(b) Price/Value mentioned in the invoice will be generally payable subject to the condition that the company at its
discretion may recover or refund in case of subsequent increase/decrease the difference in price/value.
5. All levies and/or imposts on the goods by the Central and /or any payable state government and /by local authority or
other body shall be extra by the purchaser. Where any declaration certificate / forms furnished by any purchaser and
purporting to have been issued under any statutory provision, are rejected by the relative assessing authority for any
reason whatsoever any additional liability in consequence thereof in respect of such Assessing Authority shall be paid by
the purchaser within seven days of the demand made by the Company in that behalf.
6. Where documents are sent through bank it is expressly stipulated that notwithstanding anything to the contrary contained
herein the property in the goods will pass to the purchaser only upon the retirement of documents against payment to the
banker and concluded sale will take place on the date on which the documents are retired. Where the documents are sent
through bank the purchaser shall be liable to make payment of the price for the goods by the period stipulated in the
invoice.
7. Packages should be verified with the corresponding invoice / shipping order / railway receipt at the time of accepting
delivery from the transporter / carrier.
8. Every effort shall be made by the company to secure the highest possible standard of excellence of both material and
workmanship but the company is compelled to stipulate that it makes no representation whatsoever in respect of any
products manufactured, sold or supplied by the company or their dealers and all conditions and guarantees. Whether
statutory or otherwise, are hereby expressly excluded. The company shall not be liable in respect of any claim whether
arising out of the use of any of the company's products or otherwise.
9. Without prejudice to the generality of condition No.8 the company reserves the right to consider claims for alleged
defective goods and may at its absolute discretion offer to make an exgratia allowance, if any, thereof.
10. Alleged defective products submitted under claim will be received for examination on the understanding that offers made,
if any, are accepted within 21 days from the date of notification. Instruction for disposal of claims on which no offer is
made must be given within 21 days to the company's office from which the notification was sent. If any offer is not received
within the time specified, the company reserves the right to destroy the said products and no compensation whatsoever will
be paid to the buyer in respect thereof.
11. The company will not accept the return of any of their products unless the purchaser has received the company's written
permission signed by a duly authorized official to return and in all such cases the purchaser will return and in all such cases
the purchaser will return the goods to the company premises at his cost and risk and all charges including transportation
charges shall be paid by the purchaser.
12. In the event purchaser fails to take the delivery of the goods ordered by them, the company may in addition to other legal
remedies deal with the goods on its absolute discretion, in such cases, purchaser will be liable to pay damages for the
breach of the contract inclusive of actual bank/VPP charges, demurrage wharfage loading and unloading dispatching and
recalling the goods. The company's statement showing the expenses in this regard will be final and binding on the
purchasers. The company reserves the right to stop the supplies under the same or any other contract/order, if these charges
are not paid.
13. While the company will make every reasonable effort to effect prompt delivery of the said products it shall not be liable
for any delay in circumstances or due to circumstances beyond its control.
14. Any difference or disputes relating to the goods under the subject matter of this invoice would be within the jurisdiction of
the court of the town of Faridabad, Haryana and the court alone shall have jurisdiction to entertain any civil / other suit or matter in
respect of such goods.
15. All the payments are required to be made by "Accounts Payee" crossed cheque / draft / hundi drawn / electronically in
favour of Continental India Private Limited.
16. The purchaser undertakes not to export without the written permission of the company previously obtained, the goods
purchased, outside India except when fitted to vehicles and machines.
17. Interest @ 18% shall be charged on overdue payments.
18. The company neither assumes nor accepts any legal responsibility for any damage to persons or property which may arise
from failure of any of its products.
