DEED

THIS MEMORANDUM OF FAMILY ARRANGEMENT

AFFIRMATION DEED entered into at ------------------------------ on this

hereinafter called the FIRST PARTY which term shall mean and include
all their legal heirs, agents, assigns ; AND

hereinafter called as the SECOND PARTY which term shall mean and
include all his legal heirs, agents, assigns;

WHEREAS the property described hereunder belonged originally to

First party by virtue of a Registered Sale Deed dated ---------------- with
Registration No.-------------------- ------------------- Sub-Registrar office,
----------------------------------, but the property was jointly enjoyed and
maintained by both the parties;

WHEREAS differences of opinion arose between the above parties in

jointly enjoying the said property and both the parties have orally entered
into a family arrangement with regard to the Schedule mentioned property
on ---------------------- amongst themselves in the presence of family elder
and well wishers. To avoid complications in the future, now the Parties are
desirous of affirming the terms of the said oral family arrangement into
writing;

(FIRST PARTY) (SECOND PARTY)

 WHEREAS the parties are affirming and recording the terms of the said
oral family arrangement already made as hereunder;

NOW THIS FAMILY ARRANGEMENT AFFIRMATION DEED

WITNESSETH AS FOLLOWS:-

1. It is hereby affirmed by all the parties that in consideration of love and

affection, the property mentioned in the schedule hereunder was
allotted to the share of the SECOND PARTY, enjoyed by him/her
absolutely in exclusion of the FIRST PARTY;
2. The FIRST PARTY hereby affirms that he has no right, title or
interest in any manner whatsoever from ------------------------;
3. The FIRST PARTY hereby affirms that he/she had already delivered
the possession of the property to the SECOND PARTY and undertook not to
claim any right over the same;
4. The FIRST party do hereby affirms that no other party other than the
above-mentioned SECOND PARTY (----------------------------------------) had
any right, title and interest in the schedule-mentioned property in any
manner whatsoever;
5. The FIRST party do hereby affirms that he/she has executed all
documents necessary for effecting the transfer of title in the schedule-
mentioned property and property Tax assessment favouring the SECOND
PARTY and undertook to co-operate and sign in any other forms
necessary for effecting name-transfer;
6. The FIRST party do hereby affirms that there was no mortgage,
charge, Lien or encumbrance on the schedule-mentioned property. The
FIRST party also agreed that if any encumbrance had been created by any of
the parties the party concerned should be personally liable to discharge the
same.

7. The FIRST party do hereby affirms that the original Sale Deed dated
--------------------- in his/her favour for the schedule-mentioned property has
been delivered to the SECOND PARTY.

8. The FIRST party acknowledged that the said family affirmation was
fair and equitable for all of them and should not be open to challenge on any
ground whatsoever.

9. The FIRST party to this Deed affirms that his consent to the said
Family Arrangement was voluntary and not out of fraud, coercion or undue
influence.
