BACKGROUND#

(A)! WIPRO!has!developed!and!provides!information!technology!services!and!solutions!to!the!air!
travel!industry.!
(B)! The! Customer! wishes! to! put! in! place! with! WIPRO! a! master! services! agreement! to! enable!
Customer!to!obtain!information!technology!services!and!solutions!from!WIPRO,!in!support!of!
Customer’s!worldwide!cargo!operations.!
(C)! WIPRO!and!the!Customer!have!agreed!to!enter!into!this!Agreement!to!enable!the!Customer!
to! obtain! WIPRO’s! end! to! end! cargo! management! solution! (“CROAMIS”).! CROAMIS! is! a!
software! solution! that! will! be! deployed! in! a! cloud! hosted! option.! The! information! technology!
services! that! WIPRO! agrees! to! provide! to! Customer! will! include! design,! implementation,!
customisation,!configuration,!training!and!support!services!where!such!services!and!solutions!
are!defined!through!statements!of!work!entered!into!under!this!Agreement.!

AGREED#TERMS!

1)# INTERPRETATION#AND#DEFINITIONS#

a)! !!The!definitions!and!rules!of!interpretation!in!this!clause!apply!in!this!Agreement.!

Acceptance#Certificate:#a!document!which!certifies!that!access!to!the!Software!Applications!and/or!
the!provision!of!the!Hosting!Services!has!been!accepted!by!the!Customer!in!accordance!with!
the!provisions!of!each!SOW.!
Affiliate:#an!entity!indirectly!or!directly!controlled!by!or!under!common!ownership!of!the!Customer.!
Authorised# Users:! ! those! employees! and! independent! contractors! of! the! Customer! who! are!
entitled!to!use!the!Software!Applications!through!the!Hosting!Services!under!a!SOW.!!
Bug#Fixes:#changes!required!to!remediate!Software!Application!Faults.#
Business#Day:!any!day!which!is!not!a!Saturday,!Sunday!or!public!holiday!in!New!York,!New!York,!
United!States!of!America.#
Change#Request/Request#for#Change#(CR/RFC)#the!process!by!which!a!change!to!the!Contracted!
Services! is! initiated! by! either! Party.! A! CR/RFC! will! be! managed! in! accordance! with! the!
Change!Request!Process.#
Confidential# Information:! ! information! that! is! proprietary! or! confidential! and! is! either! clearly!
labelled!as!such!or!identified!as!Confidential!Information!in!clause!6.!
Contracted# Services:! ! the! services! or! software! to! be! provided! by! WIPRO! to! the! Customer,!

Deliverables:#the!deliverables!(including!any!component!thereof)!identified!as!such!in!the!relevant!
SOW,! together! with! any! other! materials! or! items! created! by! or! on! behalf! of! WIPRO!
specifically!for!the!Customer!pursuant!to!a!SOW.#
Dollar#or#$#or#USD:#the!lawful!currency!of!the!United!States!of!America.!
Effective#Date:!!17!April!2018.!
Fault:! any! defect,! error,! failure,! bug! or! malfunction! that! prevents! a! Software! Application! from!
operating! substantially! in! accordance! with! its! Software! Application! Specification! and! any!
failure! or! malfunction! in! the! Hosting! Services! infrastructure! installed! in! WIPRO’s! hosting!
provider.!
Fees:!!the!fees!payable!to!WIPRO,!as!described!in!each!SOW.!
General# Product# Enhancements:! functionality! and! upgrades! to! the! Software,! that! WIPRO! will!
provide! as! and! when,! and! from! time! to! time! as! necessary! to! the! Customer! at! no! additional!
license!cost.!
GoILive#Date:!the!date!that!Customer!commences!live!use!of!the!Software!Applications!and/or!the!
Hosting!Services.!
Hardware:#the!physical!/!virtual!server!on!which!the!system!associated!with!the!Contracted!Services!
is!installed.!
Hosting#Services:!!the!services!that!WIPRO!provides!to!allow!Authorised!Users!to!access!and!use!
the!Software!Applications,!including!but!not!limited!to!hosting!setcup!and!ongoing!services,!as!
described!in!a!SOW.!!
Implementation# Services:! ! the! implementation! and! related! work! referred! to! in! a! SOW,! to! be!
performed!by!WIPRO!to!configure!the!Software!Applications!so!that!the!Software!Applications!
conform!to!the!applicable!Software!Application!Specification.!!
Initial#Term:#has!the!meaning!given!to!it!in!clause!2.!
Intellectual# Property# Rights:! patents,! utility! models,! rights! to! inventions,! copyright! and! related!
rights,! trademarks! and! service! marks,! trade! names! and! domain! names,! rights! in! getcup,!
goodwill!and!the!right!to!sue!for!passing!off!or!unfair!competition,!rights!in!designs,!rights!in!
computer! software,! database! rights,! rights! to! preserve! the! confidentiality! of! information!
(including!knowchow!and!trade!secrets)!and!any!other!intellectual!property!rights,!including!all!
applications!for!(and!rights!to!apply!for!and!be!granted),!renewals!or!extensions!of,!and!rights!
to! claim! priority! from,! such! rights! and! all! similar! or! equivalent! rights! or! forms! of! protection!

Project#Plan:!!the!plan!to!be!developed!in!the!planning!stage!of!the!Implementation!Services.!
Retained# Rights:! any! inventions! however! embodied,! know! how,! works! in! any! media,! software,!
information,!trade!secrets,!materials,!property!or!proprietary!interest,!that!a!Party!owned!prior!
to! this! Agreement,! or! that! a! Party! created! or! acquired! independently! of! its! obligations!
pursuant!to!this!Agreement,!including!any!modifications!or!enhancements!made!thereto.!
Root#Cause#Analysis:!the!action!performed!either!alone!by!WIPRO!or!jointly!between!WIPRO!and!
Customer!to!identify!and!address!the!original!cause!of!a!given!Fault.!
Service# Level# Arrangement# or# “SLA”:! ! the! service! level! arrangement(s)! agreed! by! WIPRO! and!
Customer!and!set!out!in!this!Agreement.!
Software# Applications:# WIPRO's! proprietary! software! applications! in! machinecreadable! object!
code! form! only! as! described! in! a! SOW! including! any! error! corrections,! updates,! upgrades,!
modifications! and! enhancements! to! the! Software! Applications! provided! to! the! Customer!
under! this! Agreement.! For! the! avoidance! of! doubt,! the! Software! Applications! shall! be!
considered!Retained!Rights!of!WIPRO.!!
Software# Application# Specification:# the! functionality! and! performance! specifications! for! the!
applicable!Software!Application,!as!set!out!in!a!SOW.#
Statement# of# Work# or# “SOW”:! the! statement! of! work! for! the! Contracted! Services! setting! out! the!
scope! of! the! Contracted! Services! to! be! provided! under! this! Agreement! together! with! the!
applicable!Fees,!being!in!a!format!similar!to!SOW!No!1!set!out!in!to!this!Agreement.!
System#Availability:#the!period!of!time!the!Customer!is!able!to!access!the!Contracted!Services!as!
specified!in!a!SOW.!
Target# Response# Time:# the! period! specified! in! a! SOW! in! which! WIPRO! shall! aim! to! provide! a!
substantive!response!to!Customer’s!request!for!assistance!in!respect!of!a!Fault,!such!period!
commencing!at!the!time!Customer!notifies!WSD!of!the!Fault.#
Target#Resolution#Time:#means!the!period!specified!in!a!SOW!in!which!WIPRO!shall!aim!to!rectify!
a!Fault,!such!period!commencing!at!the!time!at!which!the!relevant!“Trouble!Ticket!Number”!is!
allocated!by!WSD.!
Taxes! mean! any! and! all! taxes! (including,! but! not! limited! to,! sales,! use,! business,# income,! gross!
income,! net! income,! personal! property,! transfer,! occupational,! value! added! ("VAT"),! goods!
and! services,! excess! profits,! excise,! gross! receipts,! franchise,! stamp,! ad! valorem,!
documentation,! import! and! export! taxes),! levies,! imposts,! duties,! assessments,! withholdings!
or!other!charges!in!the!nature!of!taxes!imposed!by!any!governmental!entity,!together!with!any!
penalties,! fines,! charges! or! interest! thereon! and! Tax! and! Taxation! shall! be! construed!
accordingly.!

UAT:#the!testing!period!where!the!Customer!tests!the!Software!Applications!in!order!to!determine!if!

WIPRO#Support#Desk#(“WSD”):#WIPRO’s!IT!help!desk!and!personnel!providing!the!assistance!to!
Customer!for!any!query!or!Fault,!available!24!hours!a!day,!seven!days!a!week,!365!days!a!
year.! WSD! is! customer’s! single! point! of! contact! for! WIPRO! support! for! either! operational! or!
Software!Application!issues.!!

b)! Clause,! schedule! and! paragraph! headings! shall! not! affect! the! interpretation! of! this!
Agreement.!

c)! A!person!includes!a!natural!person,!corporate!or!unincorporated!body!(whether!or!not!having!
separate!legal!personality).!

d)! A! reference! to! a! company! shall! include! any! company,! corporation! or! other! body! corporate,!
wherever!and!however!incorporated!or!established.!

e)! Unless!the!context!otherwise!requires,!words!in!the!singular!shall!include!the!plural!and,!in!the!
plural,!include!the!singular.!

f)! Unless!the!context!otherwise!requires,!a!reference!to!one!gender!shall!include!a!reference!to!
the!other!genders.!

g)! A!reference!to!writing!or!written!includes!faxes!and!ecmail.!

h)! References! to! clauses,! appendices! and! schedules! are! to! the! clauses,! appendices! and!
schedules!of!this!Agreement!and!references!to!paragraphs!are!to!paragraphs!of!the!relevant!
appendices!and!schedules.!

i)! A!reference!to!a!statute!or!statutory!provision!is!a!reference!to!it!as!it!is!in!force!as!at!the!date!
of!this!Agreement.!

j)! If! there! is! an! inconsistency! between! this! Agreement! and! the! provisions! of! a! SOW,! the!
provisions!of!the!SOW!shall!prevail.!

2)# COMMENCENT#AND#TERM#

a)! This!Agreement!shall!begin!on!the!Effective!Date!and!shall!continue!in!force!for!a!term!of!five!
(5)!years! from! the! “Go! Live”! date! of! all! entities! unless! earlier! terminated! in! accordance! with!
clause!12!(Initial#Term).!After!the!Initial!Term,!this!Agreement!shall!automatically!extend!for!
yearly! periods,! unless! either! Party! notifies! the! other,! in! writing,! at! least! twelve! (12)!
consecutive! months! before! the! end! of! the! then! current! term! (the! Initial! Term! and! any!
extended!period!shall!hereinafter!be!referred!to!as!the!Term).!

b)! Notwithstanding! termination! of! this! Agreement! pursuant! to! clause! 2(a)! or! clause! 12,! both!
Parties! shall! continue! to! fulfil! their! respective! obligations! under! SOWs! until! termination! or!
expiry!of!the!relevant!SOW.!

3)# STRUCTURE#AND#FORMATION#OF#STATEMENTS#OF#WORK#

a)! The! purpose! of! this! Agreement! is! to! create! a! flexible! contractual! framework! to! enable! the!
Parties!to!agree!to!and!execute!appropriate!SOWs!necessary!to!deliver!Contracted!Services!
and/or!Deliverables!required!by!the!Customer!during!the!Term.!

b)! In!connection!with!each!engagement!for!Contracted!Services,!the!parties!shall!execute!a!new!
SOW!to!this!Agreement.!Each!SOW!shall!be!governed!by!this!Agreement!and!any!reference!
to!this!Agreement!shall!include!reference!to!any!SOW!executed!by!the!Parties.!If!the!Parties!
enter!into!an!agreement!for!the!supply!and!purchase!of!any!Deliverables!via!a!purchase!order!
(Purchase#Order)!without!entering!into!a!SOW,!the!terms!of!this!Agreement!shall!apply!to!the!
Purchase! Order,! and! each! reference! in! this! Agreement! to! a! SOW! shall! be! deemed! to! refer!
equally!to!the!Purchase!Order.!

c)! Each!SOW!shall:!!

i)! specify!the!Contracted!Servicesi!
ii)! define!the!Service!Level!Arrangementsi!
iii)! specify!the!Fees!and!payment!termsi!and!
iv)! record!any!agreed!amendments!to!this!Agreement!applicable!to!the!SOW.!
d)! WIPRO! may! only! commence! work! in! relation! to! specific! Contracted! Services! and/or!
Deliverables! once! a! SOW! has! been! executed.! The! Parties! acknowledge! and! agree! that!
WIPRO! shall! have! no! obligation! to! provide! any! service! or! to! supply! or! order! any! software,!
deliverables!or!materials,!and!the!Customer!shall!have!no!obligation!to!pay!for!any!services,!
software,! deliverable! or! material,! in! the! absence! of! an! executed! SOW! to! which! the! service,!
software,!deliverable!or!material!relates.!

4)# CHARGES,#PAYMENT#TERMS#AND#TAXES#

a)! The!Customer!shall!pay!the!Fees,!as!set!out!in!a!SOW.!

b)! The!Customer!shall!pay!the!Fees!against!properly!raised!invoices!within!ninety!(90)!days!from!
the! date! of! invoice,! except! for! those! portions! of! any! invoice! that! the! Customer! disputes! in!
good! faith! and! in! writing.! WIPRO! may! charge! interest! at! the! rate! of! 1%! per! month! for! any!
delayed!payment.!Invoices!shall!be!deemed!to!have!been!accepted!if!the!Customer!does!not!
furnish!a!written!objection!specifying!the!nature!of!the!dispute!within!thirty!(30)!days!from!the!
date!of!invoice.!

c)! In! the! event! of! noncpayment! WIPRO! shall! be! entitled! to! suspend! the! applicable! Contracted!
Services!until!such!time!that!the!applicable!Fees!have!been!received!by!WIPRO.!Prior!to!any!
suspension! of! Contracted! Services,! WIPRO! will! provide! a! reminder! of! noncpayment! to!
Customer’s!CFO!and!CIO!after!ten!(10)!Business!Days!of!the!due!date!of!any!invoice.!If,!after!
another!thirty!(30)!Business!Days!following!notice!to!Customer’s!CFO!and!CIO,!WIPRO!has!
not!received!payment,!or!the!Parties!have!not!agreed!to!a!new!due!date!for!payment,!WIPRO!
may!provide!a!final!reminder!to!Customer’s!CEO.!!If!WIPRO!does!not!receive!payment!within!
ten!(10)!Business!Days!of!the!final!reminder!to!Customer’s!CEO,!WIPRO!reserves!the!right!to!
suspend!the!Contracted!Services.!

d)! Taxes!and!Tax!Indemnity:!

e)! Income!Tax:!Each!Party!shall!be!responsible!for!Taxes!imposed!by!or!otherwise!in!respect!of,!
based! on! or! measured! by! its! net! or! gross! income,! gross! or! net! receipts,! minimum! or!
alternative! taxes,! tax! preferences,! capital,! franchise,! or! conduct! of! business,! profit,! capital!
gains,! or! net! worth! imposed! by! any! taxing! jurisdiction! or! governmental! entity! in! connection!
with!this!Agreementi!

f)! Value! Added! Tax! (VAT):! The! Fees! are! exclusive! of! any! value! added! or! similar! Tax! (VAT)!
payable! in! any! jurisdiction! and! shall! be! borne! by! Customer.! ! WIPRO! will! add! VAT! to! its!
invoices,!as!applicable.!

g)! Withholding! Tax:! ! ! If! at! any! time! any! applicable! law! requires! any! withholding! in! respect! of!

Withholding!Amount),!WIPRO!shall!add!fifty!percent!(50%)!of!the!Withholding!Amount!to!the!
base!rate!to!be!invoiced!for!that!jurisdiction.!!

h)! Tax!Indemnity:!!From!and!after!the!Effective!Date,!each!Party!(the!Indemnifying!Party)!shall!
indemnify,!defend!and!hold!harmless!each!other!Party!and!such!other!Party's!affiliates,!and!
its!and!its!affiliates’!respective!directors,!officers,!employees,!agents!and!representatives,!as!
applicable! (the! Indemnitees),! from! any! and! all! damages,! losses,! obligations,! liabilities,!
payments,!costs!and!expenses!(including!reasonable!fees!and!expenses!of!outside!attorneys,!
accountants! and! other! professional! advisors! and! expert! witnesses),! whether! known! or!
unknown,! contingent! or! vested,! matured! or! unmatured,! that! are! or! may! be! suffered! or!
incurred! by! any! such! Indemnitee! arising! out! or! relating! to! a! breach! of! any! obligation! of! the!
Indemnifying! Party! set! forth! in! this! clause! 4i! provided! that! the! indemnity! described! in! this!
clause!4!shall!apply!only!to!the!extent!that!such!breach!adversely!affects!the!Indemnitee!and!
such!adverse!effect!results!in!damages,!losses,!obligations,!liabilities,!payments,!costs!and/or!
expenses!that!are!suffered!or!incurred!by!an!Indemnitee!and!supported!by!reasonable!written!
evidence.!

i)! WIPRO!may!assign!the!benefit!of!its!rights!of!payment!to!a!third!party!as!part!of!managing!its!
line! of! credit! or! other! legitimate! business! arrangements,! and! the! Customer! expressly!
consents!to!such!assignments.!Provided,!however,!that!the!Customer!shall!continue!to!make!
any!payments!under!this!Agreement!directly!to!WIPRO.!

5)# PROPRIETARY#RIGHTS##

a)! Each!Party!owns,!and!will!continue!to!own!all!right,!title!and!interest!in!and!to!any!Retained!
Rights.! All! Retained! Rights! not! expressly! transferred! or! licensed! herein! are! reserved! to! the!
respective!owner.!

b)! Subject!to!the!terms!of!this!Agreement,!and!upon!payment!in!full!of!the!Fees,!WIPRO!assigns!
and! will! assign! to! the! Customer! all! Intellectual! Property! Rights! in! any! Deliverables! created!
pursuant! to! any! SOW! which! is! expressly! designated! as! being! for! development! work.! The!
Customer!shall!in!the!interim!have!a!limited!and!revocable!licence!to!utilise!the!Deliverables!
pending! payment! in! accordance! with! this! Agreement.! WIPRO! shall! retain! the! intellectual!
property! rights! in! all! other! Deliverables! and! shall! grant! the! Customer! a! licence! to! use! such!
Deliverables! for! its! internal! business! purposes! only! at! no! additional! cost! to! Customer.! This!
clause! shall! not! operate! to! assign! any! right,! title! or! interest! in! any! modifications,!
customizations,! or! enhancements! made! by! WIPRO! to! the! Software! Applications! or! the!
Retained! Rights! during! the! performance! of! Contracted! Services! or! creation! of! any!
Deliverable.!!!

c)! To! the! extent! material! that! is! used! in,! enhanced,! or! developed! in! the! course! of! providing!
services! hereunder! and! such! material! is! not! identified! as! a! Deliverable,! is! of! a! general!
abstract!character,!or!may!be!generically!recused,!WIPRO!owns!(or!will!own)!such!material,!
including! without! limitation:! methodologiesi! delivery! proceduresi! manualsi! generic! software!
tools,! routines,! frameworks,! and! componentsi! generic! content,! research! and! background!
materialsi!templatesi!analytical!modelsi!project!toolsi!and!development!tools,!in!addition!to!all!
materials! in! which! it! owns! the! Retained! Rights! in! accordance! with! Section! 5(a)! above!
(collectively,! WIPRO# Materials).! ! To! the! extent! any! WIPRO! Materials! are! necessarily!
required! for! the! proper! functioning! of! the! Deliverables! (such! that! the! Deliverables! will! not!
function!without!the!WIPRO!Materials)!or!are!embedded!into!the!Deliverables,!WIPRO!grants!
to! the! Customer! for! the! Term! a! noncexclusive,! nonctransferable,! royalty! free,! licence! to! use!
such! WIPRO! Materials! solely! in! conjunction! with! its! anticipated! use! of! such! Deliverables.!!
Company! acknowledges! that! the! WIPRO! Materials! are! Confidential! Information! of! WIPRO,!
regardless! of! whether! so! designated.! ! If! agreed! between! the! Parties,! the! Parties! may! also!
enter!into!feecbased!licensing!of!certain!WIPRO!Materials,!in!which!event!the!licence!set!out!

above! shall! not! apply! to! such! licensed! WIPRO! Materials! and! instead! the! applicable! licence!
terms!shall!be!set!out!in!the!applicable!SOW.!

d)! If! and! to! the! extent! that! WIPRO! is! requested! to! provide! any! materials! (including! but! not!
limited! to! software)! to! the! Customer! in! respect! of! which! the! relevant! Intellectual! Property!
Rights!are!owned!by!a!thirdcparty!(Third#Party#Software),!WIPRO!will!notify!the!Customer!of!
any!licence!restrictions!pertaining!to!such!ThirdcParty!Software!(which!shall!then!apply!to!all!
usage! made! of! such! ThirdcParty! Software).! To! the! extent! any! ThirdcParty! Software! is!
contained! in! or! used! in! conjunction! with! any! Deliverable! and! such! ThirdcParty! Software! is!
necessary! for! the! proper! functioning! of! the! Deliverable,! WIPRO! grants! to! the! Customer! a!
license!for!the!Term!on!the!same!conditions!as!provided!to!WIPRO!by!the!thirdcparty.!

e)! At! all! times! during! the! term! of! this! Agreement,! Customer! will! retain! all! intellectual! and!
proprietary! rights! to! Customer’s! commercial! and! operational! data,! except! where! that! data! is!
provided!by!WIPRO!or!by!a!thirdcparty,!or!where!the!data!is!industry!standard!provided!data.!

f)! From!time!to!time!during!the!Term,!at!Customer’s!request!and!with!written!agreement!by!both!
Parties,!WIPRO!may,!at!its!sole!discretion,!assign!a!new!Deliverable!as!unique!and!provide!
exclusivity! of! its! use! to! the! Customer.! Any! such! exclusivity! will! be! limited! to! twelve! (12)!
months! from! the! use! of! the! Deliverable! in! production! and! may! carry! additional! costs! of!
support!during!the!exclusivity!timeframe.!!Any!additional!costs!of!support!will!be!agreed!by!the!
Parties.!!

6)# CONFIDENTIALITY#

a)! Each!Party!may!be!given!access!to!Confidential!Information!from!the!other!Party!in!order!to!
perform! its! obligations! under! this! Agreement.! A! Party's! Confidential! Information! shall! not!
include!information!that:!!

i)! is! or! becomes! publicly! known! other! than! through! any! act! or! omission! of! the! receiving!
Partyi!or!
ii)! was!in!the!other!Party's!lawful!possession!before!the!disclosurei!or!!
iii)! is! lawfully! disclosed! to! the! receiving! Party! by! a! third! party! without! restriction! on!
disclosurei!or!!
iv)! is!independently!developed!by!the!receiving!Party,!which!independent!development!can!
be!shown!by!written!evidencei!or!!
v)! is! required! to! be! disclosed! by! law,! by! any! court! of! competent! jurisdiction! or! by! any!
regulatory!or!administrative!body.!
b)! Each!Party!shall!hold!the!other's!Confidential!Information!in!confidence!and,!unless!required!
by!law,!with!reasonable!prior!notice!to!the!disclosing!Party,!not!make!the!other's!Confidential!
Information! available! to! any! thirdcparty! or! use! the! other's! Confidential! Information! for! any!
purpose!other!than!the!implementation!of!this!Agreement.!!!

c)! Either!Party!may!request!to!provide!Confidential!Information!from!time!to!time!to!third!parties!
in! order! to! deliver! the! Contracted! Services.! Before! disclosure! to! a! thirdcparty,! a! Party! must!
seek! written! approval! to! provide! any! such! Confidential! Information! to! any! thirdcparty! and!
ensure!that!a!NoncDisclosure!Agreement!has!been!signed!by!the!Customer,!WIPRO!and!the!
thirdcparty!requesting!access!to!Confidential!Information.!!The!NoncDisclosure!Agreement!will!
include!the!limited!scope!of!use!of!the!Confidential!Information!and!a!time!frame!for!use.!

d)! Each!Party!shall!take!all!reasonable!steps!to!ensure!that!the!other's!Confidential!Information!
to!which!it!has!access!is!not!disclosed!or!distributed!by!its!employees!or!agents!in!violation!of!
the!terms!of!this!Agreement.!!!

e)! Neither! Party! shall! be! responsible! for! any! loss,! destruction,! alteration! or! disclosure! of!
Confidential!Information!caused!by!a!thirdcparty.!!!

f)! The!Customer!acknowledges!that!the!Software!Applications,!the!results!of!any!performance!
tests! of! the! Software! Applications! and! the! Contracted! Services! constitute! WIPRO's!

g)! No!Party!shall!make,!or!permit!any!person!to!make,!any!public!announcement!concerning!this!
Agreement! without! the! prior! written! consent! of! the! other! Party! (such! consent! not! to! be!
unreasonably!withheld!or!delayed),!except!as!required!by!law,!any!governmental!or!regulatory!
authority! (including,! without! limitation,! any! relevant! securities! exchange),! any! court! or! other!
authority!of!competent!jurisdiction,!with!reasonable!prior!notice!to!the!noncdisclosing!Party.!

h)! This!clause!6!shall!survive!for!a!period!of!three!(3)!years!after!expiration!or!early!termination!
of!this!Agreement,!however!arising.!

7)# WIPRO#OBLIGATIONS#

a)! WIPRO! undertakes! that! the! Contracted! Services! will! be! performed! substantially! in!
accordance! with! the! applicable! Software! Application! Specification! and! with! reasonable! skill!
and!care.!!!

b)! The!undertaking!in!clause!7(a)!shall!not!apply!to!the!extent!of!any!noncconformance!which!is!
caused! by! use! of! the! applicable! Software! Application! contrary! to! WIPRO's! instructions! or!
modification! or! alteration! of! the! applicable! Software! Application! by! any! Party! other! than!
WIPRO! or! WIPRO's! duly! authorized! contractors! or! agents.! If! the! Software! Application! does!
not!substantially!conform!with!the!foregoing!undertaking!within!sixty!(60)!days!of!issuance!of!
an!Acceptance!Certificate!(Warranty#Period),!WIPRO!will,!at!its!expense,!use!all!reasonable!
commercial!endeavours!to!correct!any!such!noncconformance,!or!provide!the!Customer!with!
an!alternative!means!of!accomplishing!the!desired!performance.!WIPRO!shall!be!afforded!a!
commercially! reasonable! period! to! correct! such! noncconformance.! Such! correction! or!
substitution!constitutes!WIPRO’s!sole!and!exclusive!remedy!for!any!breach!of!the!undertaking!
set!out!in!clause!7(a).!!Except!the!foregoing,!WIPRO!does!not!warrant!that!WIPRO’s!use!of!
the!Software!Application!and!the!Contracted!Services!will!be!uninterrupted!or!errorcfree.!!

c)! In! the! event! WIPRO! is! engaged! by! the! Customer! to! use! any! Open! Source! Software! in!
conjunction! with! the! Deliverables,! Contracted! Services,! or! the! Software! Application,! WIPRO!
shall! use! such! Open! Source! Software! as! an! agent! of! the! Customer,! and! any! open! source!
licensing! shall! be! between! the! Customer! and! the! open! source! licensor.! The! Customer! shall!
be! solely! responsible! for! compliance! of! all! terms! and! conditions! of! the! applicable! Open!
Source! License.! The! Customer! agrees! that! notwithstanding! anything! contained! in! this!
Agreement,!WIPRO!does!not!provide!any!warranty!on!such!Open!Source!Software.!

d)! This! Agreement! shall! not! prevent! WIPRO! from! entering! into! similar! agreements! with! third!
parties,! or! from! independently! developing,! using,! selling! or! licensing! materials,! products! or!
services!which!are!similar!to!those!provided!under!this!Agreement!or!an!SOW.!

e)! Customer’s!failure!to!perform!or!delay!in!performing!its!contractual!responsibilities!(in!whole!
or!in!part),!to!perform!any!part!of!the!Contracted!Services!(whether!in!conformance!with!the!
Agreement! or! at! all),! or! to! meet! any! agreed! commitments! with! regards! to! this! Agreement,!
shall! be! excused! if! and! to! the! extent! the! Customer’s! noncperformance! is! caused! or!
contributed!to!by!WIPRO’s!act!or!omission!to!act,!delay,!wrongful!action,!or!failure!to!perform!
its! obligations! under! this! Agreement! or! any! SOW,! including! data! security! and! data! loss,!
WIPRO! shall! in! this! regard! also! be! responsible! for! the! acts! and! omissions! of! its,! agents!
affiliates!and!other!suppliers!and!advisors.!

f)! WIPRO! shall! comply! with! all! applicable! laws! and! regulations! with! respect! to! its! activities!
under!this!Agreement!and!each!SOW.!
!
g)! WIPRO! confirms! that! the! Customer! will! be! provided! with! a! Platinum! status! in! WIPRO’s!
customer!community!model.!There!will!be!a!maximum!of!four!(4)!customers!at!the!Platinum!
level,!where!the!Customer!will!remain!at!the!highest!tier!in!the!community!model.!

h)! WIPRO!confirms!that!the!Customer!can!add!Affiliates!to!this!entire!Agreement!with!notice!in!
writing! to! WIPRO.! Any! addition! of! Affiliates! may! incur! implementation! costs! that! will! be!
managed!by!the!Change!Management!Process.!
!
i)! WIPRO! will! ensure! that! all! WIPRO! Personnel! involved! or! connected! with! the! Services! shall!
observe!all!relevant!Customer!policies!and!procedures!when!on!Customer!sites!(including!for!
the! avoidance! of! doubt! and! without! limitation,! applicable! health! and! safety,! security! and!
operational! policies),! and! all! instructions! and! requirements,! whilst! working! in! or! around! any!
Customer! premises.! It! is! the! Customer’s! responsibility! to! ensure! that! WIPRO! has! been!
provided! with! all! necessary! policies,! in! advance! and! clearly! shared! via! the! governance!
process,!or!WIPRO!will!not!be!liable!for!the!lack!of!adhering!to!any!Customer!Policy.!
!
j)! Insurance:# WIPRO! shall,! at! all! times! during! the! term! of! this! Agreement,! maintain! the!
following:!
(i)! Worker’s! compensation! insurance! for! its! employees! in! accordance! with! state! and!
federal!regulations!of!the!United!Statesi!and!
(ii)! Comprehensive! general! liability! insurance! with! a! minimum! of! $30,000,000.00!
combined!single!limit!of!liability!per!occurrence!and!in!aggregate.!
!
k)! WIPRO!shall!include!Customer,!its!officers,!directors!and!Affiliates!as!an!additional!insured!to!
the! aforementioned! policies! and! provide! Customer! with! a! certificate! of! insurance! confirming!
that!Customer!is!named!as!an!additional!insured!upon!request.!
!
!
8)# CUSTOMER#OBLIGATIONS#

a)! The!Customer!shall:!!

i)! provide!WIPRO!with:!!!
(1)! all!necessary!cooperation!in!relation!to!a!SOWi!and!
(2)! all!necessary!access!to!such!information!as!may!be!reasonably!required!by!WIPROi!
in! order! to! render! the! Contracted! Services,! including! but! not! limited! to! the! Customer!
Data,! security! access! information! and! software! interfaces! to! the! Customer's! other!
business!applicationsi!!
ii)! provide! such! personnel! assistance,! including! the! Customer! Account! Team! and! other!
Customer! personnel! or! Authorized! Users,! as! may! be! reasonably! requested! by! WIPRO!
from!time!to!timei!
iii)! appoint! the! Customer's! authorized! representative,! who! shall! have! the! authority! to!
contractually!bind!the!Customer!on!all!matters!relating!to!a!SOW.!The!Customer!shall!use!
reasonable!endeavours!to!ensure!continuity!of!the!Customer's!authorized!representative,!
iv)! comply! with! all! applicable! laws! and! regulations! with! respect! to! its! activities! under! each!
SOWi!and!
v)! carry!out!all!other!the!Customer!responsibilities!set!out!in!a!SOW!in!a!timely!and!efficient!
manner.! In! the! event! of! any! delays! in! the! Customer's! provision! of! such! assistance! as!
agreed! by! the! parties,! WIPRO! and! Customer! may! adjust! any! timetable! or! delivery!
schedule!set!out!in!a!SOW!as!reasonably!necessary.!!WIPRO!shall!not!be!responsible!for!
delays!due!to!the!Customer!delaying!authorization!of!costs!or!delivery!schedule.!
b)! WIPRO’s!failure!to!perform!or!delay!in!performing!its!contractual!responsibilities!(in!whole!or!
in! part),! to! perform! any! part! of! the! Contracted! Services! (whether! in! conformance! with! the!
Agreement! or! at! all),! or! to! meet! any! agreed! SLAs! shall! be! excused! if! and! to! the! extent!
WIPRO’s!noncperformance!is!caused!or!contributed!to!by!the!Customer’s!act!or!omission!to!
act,! delay,! wrongful! action,! or! failure! to! perform! its! obligations! under! this! Agreement! or! any!

SOW.!!The!Customer!shall!in!this!regard!also!be!responsible!for!the!acts!and!omissions!of!its!
affiliates,!agents!and!other!suppliers!and!advisors.!

c)! Acceptance! of! Deliverables:! Following! submission! of! any! Deliverable(s)! by! WIPRO,! testing!
and! review! will! be! performed! by! Customer! in! accordance! with! previously! agreed! testing!
standards! and! procedures,! with! such! testing! to! be! completed! within! a! time! agreed! by! the!
Parties!in!the!SOW,!or!in!the!absence!of!a!prescribed!period!within!fifteen!(15)!business!days!
from! the! date! of! submission.! The! standard! of! review! of! the! Deliverable(s)! shall! be! material!
conformance! with! the! agreed! specifications.! By! the! expiration! of! such! review! period,!
Customer! will! submit! an! Acceptance! Certificate! to! the! WIPRO! Project! Manager! or! a! written!
notice!specifying!in!detail!how!the!submitted!Deliverable(s)!fails!to!materially!conform!to!the!
agreed! specification,! in! which! case! WIPRO! shall! be! afforded! a! commercially! reasonable!
period! of! time! not! less! than! fifteen! (15)! business! days! to! correct! any! noncconformities,! at!
WIPRO’s! cost.! Both! parties! agree! to! use! commercially! reasonable! endeavours! to! reach!
resolution.! Deliverables! will! be! deemed! to! be! fully! and! finally! accepted! by! Customer! in! the!
event!Customer!has!not!submitted!an!Acceptance!Certificate!to!WIPRO!before!the!expiration!
of! the! applicable! review! period,! or! when! Customer! uses! the! Deliverable! in! its! business,!
whichever!occurs!first!(“Deemed!Acceptance”).!

9)# SUBCONTRACTORS#

a)! WIPRO!reserves!the!right!to!delegate!or!subcontract!any!of!its!responsibilities!under!a!SOW!
(other! than! to! single! individuals,! including! individuals! acting! through! professional! service!
corporations!who!are!retained!on!a!“staff!augmentation”!basis!as!contract!employees).!

b)! In!respect!of!each!subcontractor,!WIPRO!shall,!prior!to!the!commencement!of!any!Contracted!
Services!by!such!subcontractor,!clearly!specify!in!writing!to!the!Customer:!

i)! the!specific!components!of!the!Contracted!Services!that!WIPRO!will!subcontracti!
ii)! the!scope!of!the!proposed!subcontracti!
iii)! the! identity,! background,! qualifications! and! financial! viability! of! the! proposed!
subcontractori!
iv)! whether!or!not!the!proposed!subcontractor!is!to!be!authorised!to!yet!further!subcontract!
WIPRO’s!responsibilities!under!a!SOWi!and!
v)! the!type!of!contract!that!exists!or!will!exist!between!WIPRO!and!the!subcontractor.!
c)! WIPRO!shall!require!each!thirdcparty!vendor!chosen!to!deliver!the!Contracted!Services!as!a!
subcontractor!to!adhere!to!the!standards,!policies!and!procedures!applicable!to!WIPRO!and!
in!effect!at!the!time!under!this!Agreement.!

d)! WIPRO! shall! be! the! Customer’s! sole! point! of! contact! regarding! the! Contracted! Services,!
including! with! respect! to! payment.! WIPRO! shall! not! disclose! the! Customer’s! Confidential!
Information! to! a! subcontractor! unless! and! until! such! subcontractor! has! entered! into! a! nonc
disclosure! agreement! on! terms! substantially! similar! to! the! confidentiality! terms! contained!
herein! and! then! only! such! Confidential! Information! as! is! required! by! such! subcontractor! to!
perform!the!Contracted!Services.!

e)! WIPRO! remains! responsible! for! all! obligations! performed! by! a! subcontractor! to! the! same!
extent!as!if!such!obligations!were!performed!by!WIPRO,!and!for!purposes!of!this!Agreement,!
such!work!is!deemed!work!performed!by!WIPRO.!

f)! WIPRO! personnel! and! all! subcontractors! shall! operate! in! accordance! with! a! common!
approach!for!provision!of!Contracted!Services!to!the!Customer.!

g)! Under!no!circumstances!may!the!Customer!be!required!to!assume!any!liability!or!obligation!or!
pay!any!amount!greater!than!what!would!be!assumed!or!paid!without!subcontracting,!except!
as!the!Customer!may!otherwise!expressly!agree!in!writing.!

h)! WIPRO! will! provide! written! notice! to! the! Customer! prior! to! any! use! of! subcontractors! to!
provide!Contracted!Services.!The!Customer!is!entitled!to!object!on!reasonable!grounds!to!the!
subsequent!appointment!of!subcontractors!or!to!object!on!reasonable!grounds!to!their!further!
activity!once!engaged.!!

10)#INDEMNITY#

a)! The! Customer! shall! defend,! indemnify! and! hold! harmless! WIPRO! against! claims,! actions,!
proceedings,! losses,! damages,! expenses! and! costs! (including! without! limitation! court! costs!
and!reasonable!legal!fees)!arising!out!of!or!in!connection!with!WIPRO’s!use!of!any!material!
(including!but!not!limited!to!Open!Source!Software)!supplied!by!the!Customer,!provided!that:!!

i)! the!Customer!is!given!prompt!notice!of!any!such!claimi!!!
ii)! WIPRO!provides!reasonable!cocoperation!to!the!Customer!in!the!defence!and!settlement!
of!such!claim,!at!the!Customer's!expensei!and!!!
iii)! the!Customer!is!given!sole!authority!to!defend!or!settle!the!claim.!
b)! WIPRO! shall! defend! the! Customer,! its! officers,! directors! and! employees! against! any! claim!
brought! by! a! thirdcparty! that! a! Deliverable! or! Software! Application! infringes! any! patent!
effective! as! of! the! Effective! Date,! copyright,! trademark! or! any! other! Intellectual! Property!
Rights,!and!data!leakage!or!loss!and!shall!indemnify!the!Customer!for!any!amounts!awarded!
against!the!Customer!in!judgment!or!settlement!of!such!claims,!provided!that:!!!

i)! WIPRO!is!given!prompt!notice!of!any!such!claimi!!!
ii)! the!Customer!provides!reasonable!cocoperation!to!WIPRO!in!the!defence!and!settlement!
of!such!claim,!at!WIPRO's!expensei!and!!
iii)! WIPRO!is!given!sole!authority!to!defend!or!settle!the!claim.!!
c)! In! the! defence! or! settlement! of! the! claim,! WIPRO! may! obtain! for! the! Customer! the! right! to!
continue!using!the!Software!Application,!replace!or!modify!the!Software!Application!so!that!it!
becomes! noncinfringing! or,! if! such! remedies! are! not! reasonably! available,! terminate! the!
applicable!SOW!without!liability!to!the!Customer.!!WIPRO!shall!have!no!liability!if!the!alleged!
infringement!is!based!on:!!!

i)! a!modification!of!the!Software!Application!by!anyone!other!than!WIPROi!or!!
ii)! the! Customer's! use! of! the! Software! Application! in! a! manner! contrary! to! the! instructions!
given!to!the!Customer!by!WIPROi!
iii)! the! Software! Application! is! combined,! operated,! or! used! with! any! other! equipment! or!
software! supplier! by! the! Customer! where! the! Software! Application! itself! would! not! be!
infringingi!or!!
iv)! the! Customer's! use! of! the! Software! Application! after! notice! of! the! alleged! or! actual!
infringement!from!WIPRO!or!any!appropriate!authority.!!
d)! The! foregoing! states! the! Customer’s! sole! and! exclusive! rights! and! remedies,! and! WIPRO’s!
entire! obligations! and! liability,! for! patent,! copyright,! database! or! right! of! confidentiality!
infringement.!!

11)#LIMITATION#OF#LIABILITY#

a)! This! clause! 11! sets! out! the! entire! financial! liability! of! WIPRO! (including! any! liability! for! the!
acts!or!omissions!of!its!employees,!agents!and!subccontractors)!to!the!Customer:!!

i)! arising!under!or!in!connection!with!this!Agreementi!!
ii)! in! respect! of! any! use! made! by! the! Customer! of! the! Contracted! Services,! the! Software!
Applications,!the!Deliverables!or!any!part!of!themi!and!!

iii)! in! respect! of! any! representation,! misrepresentation! (whether! innocent! or! negligent),!

b)! Except! as! expressly! and! specifically! provided! in! this! Agreement,! to! those! warranties! that!
cannot!be!disclaimed!by!applicable!law,!and!subject!to!clause!11(c)!below:!!

i)! the! Customer! assumes! sole! responsibility! for! results! obtained! from! the! use! of! the!
Software!and!the!Contracted!Services!by!the!Customer,!and!for!conclusions!drawn!from!
such!use.!WIPRO!shall!have!no!liability!for!any!damage!caused!by!errors!or!omissions!in!
any!information,!instructions!or!scripts!provided!to!WIPRO!by!the!Customer!in!connection!
with!the!Contracted!Services,!or!any!actions!taken!by!WIPRO!at!the!Customer's!directioni!
and!!
ii)! all! warranties,! representations,! conditions! and! all! other! terms! of! any! kind! whatsoever!

c)! WIPRO!will!deliver!to!the!Customer!the!most!recent!backcup!of!the!Customer!Data!within!30!
business! days.! WIPRO! shall! use! reasonable! commercial! endeavours! to! deliver! the! backcup!
to! the! Customer! provided! that! the! Customer! has,! at! that! time,! paid! all! fees! and! charges!
outstanding!at!and!resulting!from!termination!or!expiry!of!this!Agreement!(whether!or!not!due!
at! the! date! of! termination! or! expiry).! The! Customer! shall! pay! all! reasonable! expenses!
incurred!by!WIPRO!in!returning!or!disposing!of!Customer!Datai!and!
d)! any!rights,!remedies,!obligations!or!liabilities!of!the!parties!that!have!accrued!up!to!the!date!of!

14)#TERMINATION#ASSISTANCE#

a)! For! a! period! of! up! to! twelve! (12)! months! following! the! effective! date! of! termination! of! this!
Agreement! (the! “Termination! Assistance! Period”)! WIPRO! shall! continue! to! provide! the!
Contracted!Services!in!order!to!affect!the!orderly!termination!and!migration!to!the!Customer,!
or!to!a!thirdcparty!designated!by!Customer.!

b)! To! the! extent! WIPRO! is! to! perform! Termination! Assistance! under! this! clause! 14(b),! the!
provisions!of!the!Agreement!will!be!applicable!as!such!provisions!would!have!been!applicable!
to!such!Contracted!Services!prior!to!such!effective!date!of!termination.!

c)! In!consultation!with!WIPRO,!the!Customer!shall!prepare!a!draft!plan!setting!out!the!proposed!
delivery! of! Termination! Assistance! (“Termination! Assistance! Plan”)! which! will! include! the!
additional! obligations! set! out! in! SOW! No.! 1,! as! well! as! any! other! services! required! by! the!
Customer!to!migrate.!Customer!and!WIPRO!shall!agree!the!Termination!Assistance!Plan!no!
later!than!thirty!(30)!days!after!the!notice!of!termination.!

d)! Termination! Assistance! will! include! the! assistance! described! in! the! Termination! Assistance!
Plan!and!the!following!where!applicable:!!

i)! Third! Party! Services.! ! WIPRO! shall! use! commercially! reasonable! efforts! to! obtain! any!
necessary!rights!and!thereafter!make!available!to!the!Customer!or!its!designee,!pursuant!
to! reasonable! terms! and! conditions,! any! thirdcparty! services! then! being! utilised! by!
WIPRO!in!the!performance!of!the!Services.!
e)! Termination!Assistance!Charges!!

f)! Continued!Provision!of!Services!

i)! Without! limiting! the! obligation! of! WIPRO! to! provide! Termination! Assistance,! during! the!
Termination! Assistance! Period,! WIPRO! shall,! at! the! option! of! Customer,! continue! to!
provide! the! Contracted! Services! and! Customer! shall! pay! WIPRO! for! such! Contracted!
Services!in!accordance!with!the!Agreement.!The!Parties!acknowledge!and!agree!that!the!
intent! is! to! wind! down! the! provision! of! the! Contracted! Services! over! the! Termination!
Assistance!Period.!
g)! Continued!Performance!

i)! Termination! Assistance! constitutes! Contracted! Services! and! will! be! provided! in!

a)! Contract!Records!

document! accesses,! reports,! procedures,! controls,! records,! data! or! information! created,!
generated,!collected,!processed!or!stored!by!WIPRO!in!the!performance!of!its!obligations!

America!and!operating!in!the!same!industry!segment!as!the!Customer!for!substantially!similar!
Services!(in!terms!of!size,!volume,!complexity,!business!model,!solution!design,!technology,!
skillset,!buying!circumstances!and!contractual!commercial!terms).!Upon!written!request!from!
the!Customer,!the!auditors!of!WIPRO!will!certify!in!writing!to!the!Customer!that!WIPRO!has!
strictly!complied!to!this!provision.!

17)#FORCE#MAJEURE##

Neither!Party!shall!be!in!breach!of!this!Agreement!nor!liable!for!delay!in!performing,!or!failure!
to! perform,! any! of! its! obligations! under! this! Agreement! if! such! delay! or! failure! results! from!
events,! circumstances! or! causes! beyond! its! reasonable! control,! including,! without! limitation,!
strikes,! lockcouts! or! other! industrial! disputes! (whether! involving! the! workforce! of! WIPRO! or!
any!other!Party),!failure!of!a!utility!service!or!transport!or!telecommunications!network,!act!of!
God,!war,!riot,!civil!commotion,!malicious!damage,!compliance!with!any!law!or!governmental!
order,!rule,!regulation!or!direction,!accident,!breakdown!of!plant!or!machinery,!fire,!flood,!!or!
storm! (Force# Majeure# Event)! or! default! of! suppliers! or! subccontractors! (only! if! default! is!
caused!by!a!Force!Majeure!Event).!In!such!circumstances,!the!affected!Party!shall!be!entitled!
to! a! reasonable! extension! of! the! time! for! performing! such! obligations,! provided! that! if! the!
period!of!delay!or!noncperformance!continues!for!six!(6)!months,!the!Party!not!affected!may!
terminate!this!Agreement!by!giving!thirty!(30)!days'!written!notice!to!the!other!Party.!

18)#WAIVER#

A!waiver!of!any!right!under!this!Agreement!is!only!effective!if!it!is!in!writing!and!it!applies!only!
to!the!Party!to!whom!the!waiver!is!addressed!and!to!the!circumstances!for!which!it!is!given.!!!

19)#RIGHTS#AND#REMEDIES#

Except!as!expressly!provided!in!this!Agreement,!the!rights!and!remedies!provided!under!this!
Agreement!are!in!addition!to,!and!not!exclusive!of,!any!rights!or!remedies!provided!by!law.!

20)#ESCROW#

a)! WIPRO! warrants! that! within! ninety! (90)! days! from! the! GocLive! date! of! the! Contracted!
Services!under!SOW!Number!1,!and!if!requested!by!the!Customer,!WIPRO!will!arrange!for!all!
source!code!relating!to!the!Software!and!associated!agreed!documentation!as!part!of!SOW!
Number! 1! of! this! Agreement,! to! include! but! not! limited! to! technical! information! and!
documentation! necessary! for! the! use,! reproduction,! modification! and! enhancement! of! the!
Software,!to!be!placed!in!escrow!with!a!thirdcparty!escrow!agent!at!a!venue!to!be!agreed.!All!
Escrow! agreed! Deliverables! when! updated! or! modified! will! be! provided! to! the! thirdcparty!
Escrow!provider!where!applicable!and!reviewed!every!twelve!(12)!months.!

b)! If! Escrow! is! triggered! the! terms! of! Escrow! will! take! effect! including! where! appropriate! the!
provision!of!the!Software!code!to!the!Customer,!which!will!be!a!material!term!of!the!escrow!

a)! If! any! provision! (or! part! of! a! provision)! of! this! Agreement! is! found! by! any! court! or!

provisions!shall!remain!in!force.!!

b)! If! any! invalid,! unenforceable! or! illegal! provision! would! be! valid,! enforceable! or! legal! if! some!

22)#ENTIRE#AGREEMENT#

a)! This! Agreement! constitutes! the! entire! agreement! between! the! parties! and! supersedes! and!
extinguishes!all!previous!agreements,!promises,!assurances,!warranties,!representations!and!
understandings!between!them,!whether!written!or!oral,!relating!to!its!subject!matter.!

b)! Each! Party! acknowledges! that! in! entering! into! this! Agreement! it! does! not! rely! on,! and! shall!
have! no! remedies! in! respect! of,! any! statement,! representation,! assurance! or! warranty!
(whether!made!innocently!or!negligently)!that!is!not!set!out!in!this!Agreement.!

c)! Each!Party!agrees!that!it!shall!have!no!claim!for!innocent!or!negligent!misrepresentation![or!
negligent!misstatement!based!on!any!statement!in!this!Agreement.!

d)! Nothing!in!this!clause!shall!limit!or!exclude!any!liability!for!fraud.!

23)#ASSIGNMENT#

The! Parties! shall! not,! without! the! prior! written! consent! of! the! other! Party,! assign,! transfer,!
charge,! subccontract! or! deal! in! any! other! manner! with! all! or! any! of! its! rights! or! obligations!

24)#NO#PARTNERSHIP#OR#AGENCY#

Nothing!in!this!Agreement!is!intended!to,!or!shall!be!deemed!to,!establish!any!partnership!or!
joint!venture!between!any!of!the!parties,!constitute!any!Party!the!agent!of!another!Party,!nor!
authorise! any! Party! to! make! or! enter! into! any! commitments! for! or! on! behalf! of! any! other!
Party.!!

25)#VARIATION#&#CHANGE#MANAGEMENT#PROCESS#

a)! No! variation! of! this! Agreement! shall! be! effective! unless! it! is! in! writing! and! signed! by! the!
Parties!(or!their!authorised!representatives).!!

b)! If! either! Party! wishes! to! change! the! scope! of! the! Contracted! Services! (including! the!
Customer’s!requests!for!additional!services),!it!shall!submit!details!of!the!requested!change!to!
the!other!in!writing.!

c)! If! either! Party! requests! a! change! to! the! scope! or! execution! of! the! Contracted! Services,!
WIPRO!shall,!within!a!reasonable!time,!provide!a!written!estimate!to!the!Customer!of:!

i)! the!likely!time!required!to!implement!the!changei!!
ii)! any!variations!to!the!Fees!arising!from!the!changei!!
iii)! the!likely!effect!of!the!change!on!the!Project!Plani!and!

d)! If!WIPRO!requests!a!change!to!the!scope!of!the!Contracted!Services,!the!Customer!shall!not!

hire,!employ!or!engage!any!personnel!of!the!other!Party!or!who!were!so!assigned!within!the!
previous! one! (1)! year! period,! or! induce! any! such! individual! to! leave! the! employment! of! the!
other!Party.!

27)#NOTICES#

a)! Any! notice! required! to! be! given! under! this! Agreement! shall! be! in! writing! and! shall! be!
delivered!by!hand,!email!(with!read!receipt)!or!sent!by!international!courier!to!the!other!Party!
at!its!address!set!out!in!this!Agreement,!or!such!other!address!as!may!have!been!notified!by!
that!Party!for!such!purposes.!!

b)! A! notice! delivered! by! hand! or! international! courier! shall! be! deemed! to! have! been! received!
when! delivered! (or! if! delivery! is! not! in! business! hours,! at! 9! am! on! the! first! business! day!

28)#GOVERNING#LAW#

This!Agreement!and!any!disputes!or!claims!arising!out!of!or!in!connection!with!it!or!its!subject!
