Affidavate Matter

CONTRACT AGREEMENT
THIS CONTRACT (this “Agreement”), is executed by and between the following parties
on Friday, 3rd MARCH , 2023:

WELMED PHARMACUETICAL INDUSTRIES, a company organized in the state of KPK,

with the principal address at 108,R:2,Industrial Estate Gadoon , Pakistan. (hereinafter
known as the "Manufacturer");

- and -

Maaz Traders, a company organized in the state of SINDH, with the principal address
CNIC# 42000-6030445-5,
604, 6th floor, Anum Blessing, Plot ZCC-1, K.C.H.U Society, main Shahrah-E-Faisal, KARACHI.

WHEREAS, Seller is a manufacturer and Buyer is a Distributor of KHI-Sindh of all

Pharmaceutical Products of the Welmed pharmaceutical Industries.

WHEREAS, Buyer Wishes to buy from the Seller the all Pharmaceutical Products and the
Seller agrees to sell to Buyer.

NOW, THEREFORE, for and inconsideration of the following premises, the parties agree as
follows:

Distribution Products will be Distribute in the market only by Maaz Traders and will not be
Distribute By any other Distributor or local vendor or anyone else. Any kind of Breech by the
company Maaz Traders has right to claim the penalty and any kind of Sub distributor allotted
by Maaz Traders without informing Welmed Industries will not be acceptable and company
has the right to question about that and will also claim the penalty or will cancel the
distribution.

Collateral Deposit is been deposited in the Form of cheque# 885271446 of Bank Al-Habib
Limited, Amounting of 3,000,000/= which will allow Maaz Traders to run the Distribution with
the Credit Amounting of 10,000,000/= which will be on the basis of 30% on Maaz Traders and
70% on Welmed Industries if Loss occurs.

Security Deposit Is been Deposited in the Form of Cheque# 885271447 of Bank Al-Habib
limited, Amounting of 2,000,000/= which will Allow Maaz Traders To pick the advantages of
deal with the Credit of 50% of Security Deposit.

Delivery

Delivery shall be made upon the agreed expected and agreed period by the parties. Delivery will
only be accepted by the Delivery Note and Purchase Oder which will be send on the given E-
MAIL Address, agreed upon to be paid prior delivery by Welmed Industries . No Over Stocking
shall be made by Maaz Trades , If it Happens Maaz Traders will be Charged penalty by the
Company

Modifications or Improvement

The Buyer (Maaz Trades) cannot, in any way make any improvementsor modifications, even
at his/her expense, without the consent and affirmation of the Seller to (WelMed Industries).

Delay

Time is of the essence for delivery of the object under this Contract. Demand for delivery shall
no longer be necessary and it is understood that any delay incurred in the schedule shall
amount to penalties and damages in accordance with the law.

Relativity

This Contract inures to the benefit of and is binding upon the heirs, successions, and assigns of
the parties hereto.

Confidentiality

The Parties, its agents and employees, shall keep confidential the confidential information
received within the course of this agreement and shall maintain confidentiality beyond the
effectivity of this Contract which is Two Years From March 2023 to March 2025

Disputes

Any dispute arising from or brought under this Contract shall be resolved by Arbitration and shall be
under the jurisdiction of the PAKISTAN, to the exclusion of all CONTRACTS.

Separability

In case any provision of this Contract be held invalid by a competent court, the said invalidity shall apply
only to such provision and the rest shall remain effective and enforceable.

Non-Waiver

The failure to insist on the compliance of the agreement herein, the terms and conditions shall
 not be deemed as a relinquishment or waiver of the rights of the party hereto. It shall not
likewise be considered as a waiver of any subsequent breach in the terms and conditions herein
this agreement. The waiver shall only be considered should it be made in writing and duly
signed by the waiving party.

Assignment

Any assignment or transfer of rights and obligations under this contract shall be allowed
provided that such assignment or transfer is supported prior written consent.

Agreement Modification

Any modification or alteration in this Contract shall be considered as having been made
only if it is executed in writing and signed by both parties hereto.

TERMS

1. WelMEd Industries Will start the Distribution at the Very Moment and will Allow Maaz Traders to
start the Distribution From 04th March , 2023

2. Every Delivery Would be Handled by the Company WelMed Industries from Factory To the
Warehouse and will charged every delivery fee from Maaz Traders the Distributors .

3. Delivery would be accepted only Against of Delivery Order (D.O), Purchase Order (P.O).

4.Payment Will be Made Every 25 Date Of the Month

5. All Gifts will be Release By the Company After Signing the Affidavit By both the Parties ,

6.And Cheques Which is given by Maaz Traders Should be Full fill on the given Date if any
late occurs , it should be on written Basis with The Original Proofs of delaying.
7. Any Misleading Activities on all SIX points mention Above would TERMINATE the
TENDER and will lead to LEGAL DRUG COURT PROCEDURES.
