Contrats complexes

Ce contrat de service est un contrat indépendant du contrat cadre

conclu entre les parties en date du [___] et aucun de ces deux contrats
n’est la cause ou la condition de l’autre.

La résiliation du contrat cadre conclu entre les parties en date du [__]

impliquera cependant ipso jure la résiliation du présent contrat.

Coordination des entrées en vigueur et résiliation

This Agreement shall be effective and binding between the parties

upon entry into force of the Joint Venture Agreement to be executed by
the parties, and will be terminated with immediate effect in the event
that the Joint Venture Agreement is terminated, or ineffective for
whatever cause.

Coordination des acceptations

Subject to the terms and conditions of this contract, final acceptance of

the Work under this Subcontract shall be deemed to take place upon
final acceptance of the work by the Owner and the approval thereof by
the Architect.

Independence des paiements

Contractor's obligation to pay Subcontractor when payments are due is

independent of Contractor receiving payment from Owner.

Pay when paid

Upon receipt of payment from the Owner, Contractor will pay the
Subcontractor without unreasonable delay.

Pay if paid

Receipt of payment from the Owner is a condition precedent to

payment to Subcontractor and payment to Subcontractor will only be
made after the Contractor is paid by Owner.

Sub-contract Flow through

Provisions of prime contract: The provisions of the prime contract,

plans, specifications, addendums, change orders, and other
documents that comprise the prime contract are incorporated into this
subcontract with the same force and effect as though set forth in full.

Parties multiples

"Purchaser" means one (1) or more of the following companies: X SA,

X Deutschland GmbH, X España S.A. and any other Subsidiary of X
SA.

The provisions of this Contract shall apply to all Orders placed by the
Purchaser upon the Supplier.

Solidarité passive

The Principal Purchaser and the Ordering Purchaser, to the exclusion

of any other company referred to as Purchaser in this Agreement, shall
be jointly and severally liable for the payment of the Purchase Price in
relation to an Order.

Solidarité active

In case of several Purchasers, and for the sake of clarification, mention

of the “Purchaser’s” right to terminate herein shall designate the
Principal Purchaser as far as the Contract termination is concerned,
and the Purchaser having placed an Order as far as the termination of
such Order is concerned.

Parties différenciées

X, being a Party to this Agreement for the exclusive purpose of articles

4, 5 and 7 b hereof.

Clause de nommable

Within 30 days as from execution of this agreement, Buyer shall

communicate to Seller the identity of the party to be registered as
owner of the Trademark.

souhaite agir comme son agent commercial exclusif, pour promouvoir
la vente des Produits dans le territoire défini à l’Annexe II au présent
contrat (ci-après « le Territoire ») ;
