NON-DISCLOSURE AGREEMENT

This Freelance Developer Non-Disclosure Agreement (the "Agreement") is made and entered into as of [20-
Feb-2023] (the "Effective Date") by and between [Mac Halder, Koxfin] (the "Client"), and [Test]

(the "Developer").

WHEREAS, the Client desires to engage the services of the Developer for a project;

WHEREAS, the Client wishes to ensure that the Developer does not disclose any confidential information related
to the project.

NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements contained herein,
the parties agree as follows

Confidential Information. "Confidential Information" means any and all non-public information, whether
written or oral, disclosed by the Client to the Developer, including, without limitation, project details, code,
and any related documentation
Use and Disclosure of Confidential Information. The Developer agrees to keep the Confidential Information
confidential and to use the Confidential Information solely for the purpose of the project. The Developer shall
not disclose any Confidential Information to any third party without the prior written consent of the Client.
The Developer shall take all reasonable steps to protect the Confidential Information, including, without
limitation, implementing physical, technical, and administrative safeguards to prevent unauthorized access
or disclosure
Ownership of Project. The Client retains all rights and ownership of the project, including all intellectual
property rights. Upon completion of the services and receipt of full payment from the Client, the Developer
shall provide the Client with the complete deliverables for the project, as mutually agreed upon. The
Developer shall have no further rights or claims to the project or any associated deliverables
Term. This Agreement shall remain in effect for as long as the parties engage in business activities together,
unless earlier terminated by mutual written agreement of the parties
Remedies. The Developer acknowledges that any breach of this Agreement may cause irreparable harm to
the Client for which monetary damages may not be an adequate remedy. Therefore, the Client shall be
entitled to seek injunctive relief to enforce the provisions of this Agreement
Governing Law. This Agreement will be interpreted based on international contract law principles. Any
disputes will be resolved through good faith negotiations between the parties
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the
subject matter hereof and supersedes all prior and contemporaneous understandings and agreements,
whether written or oral.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
