Transaction Terms and Conditions For:
LOW SULPHUR DIESEL OIL “EN590”
Tank to Vessel – Vessel to Vessel – Vessel Takeover

October - December 2023

1. Buyer issues and send irrevocable corporate purchase order (ICPO) with buyer's transaction procedure along
with Company registration and passport copy of the company representative.

2. Seller issues partial POP to The Buyer:

• Fresh Quantity and Quality Certificate (SGS) less than 48hrs old.
• Full Vessel Information or Tank Storage Receipt (TSR) both incl. GPS Location.
• Authorization to Sell / Collect (ATSC).
• Authorization Letter to Verify the Product with the Tank Farm or in vessel.
• Unconditional DTA for buyer to proceed with the Dip Test on product in seller's tank or in Vessel.

3. Seller issues CI structured to execute the deal through Tank to Vessel, Vessel to Vessel, Vessel takeover.

4. Upon successful verification of documents and SGS report by Buyer’s team, Buyer commences dip test in Sellers’
tank or Vessel, if need be for more confirmation.

5. Buyer sign and Return CI and provides valid vessel information Q88 from its logistics company to Seller to
proceed with the injection of fuel into Buyer’s vessel.

6. Upon confirmation of product Q&Q, Buyer makes payment by MT103 or TT wire transfer for the total product
available.

7. Seller issues rest POP documents to The Buyer:

• Refinery Commitment to Supply
• Product passport
• Injection Report
• Product Passport (Dip Test Result)
• Statement of Product Availability
• Company Registration Certificate

8. Seller copies to Buyer the Logistic payment invoice received for the injection fee from the Seller's Tank or Vessel
into Buyer's Vessel or Buyer takes over Seller’s Vessel.

9. Seller change title of ownership to Buyer's name.

10. Buyer lifts the product(s).

11. Seller pays all intermediaries according to the monthly deliveries

NOTE: BUYER CAN/WILL TAKEOVER SELLERS VESSEL UPON VERIFICATION OF PRODUCT

All documents must be international (English). SGS must be verifiable in Europe or the US.
