CONTRACT AGREEMENT

This contract agreement entered into between Nanitz Kitchen Food Products ("COMPANY") and
Full Filled Yummies Foods OPC (“BRAND PARTNER”) on 13th August 2022.

The Terms and Conditions proposed are as follows:

1. Overall Structure:
COMPANY aims to satisfy BRAND PARTNER’s need for reliable, fast, friendly and cost-effective
vendor of exciting new products. To do this, COMPANY will have to rely on close relationships and
open communications with BRAND PARTNER as well as implement best practices that it has
learned through years of doing business and use the best possible processes and technologies to
enable the best possible service and prices for BRAND PARTNER. In order to effectuate this
transaction, the parties agree to complete the respective tasks, obligations, or requirements:

COMPANY Agrees To:

Abide by the policies of BRAND PARTNER.

Provide best purchase price for the following products for a period of one (1) year. Should there
be price increase in the products while the contract agreement is in effect, BRAND PARTNER will
not be affected.

1 box with assorted variant P4,440

Talaptalap Suka 350ml P110 each

Chili Chili Ni Mama Chili Garlic Sauce 380g Gross Weight (Big Bottle) P150 each

Nanitz Gourmet Tuyo 280g Gross Weight (Small Bottle)

Original/Spicy/Hot & Spicy P150 each

Chili Chili Ni Mama Chili Garlic Sauce 200g Gross Weight P70 each

Help BRAND PARTNER perform its purchasing activities in a collaborated and efficient manner.
BRAND PARTNER Agrees To:
Buy aforementioned items from COMPANY on an exclusive contract for one (1) year with a
minimum order per month.
Pay COMPANY of the total order value in advance whenever an order is placed.
Reimburse COMPANY for shipping or delivery costs incurred, if there’s any.
Receive aforementioned products from the COMPANY with no label sticker

2. Confidentiality:
In the case that any confidential information should be exchanged between the parties, resulting
from negotiations under the Terms and Conditions of this contract agreement, both parties shall
agree to make any necessary efforts to keep all information confidential.

3. Governing Law:
All matters arising from this Letter and any subsequent negotiations shall be governed by the laws
of Philippines and other local applicable laws.

4. Additional Terms of Transaction:

Minimum order requirement is either 24 bottles of Nanitz gourmet tuyo – can be single variant
or assorted or 24 bottles of Chili Chili Ni Mama chili garlic sauce or 24 bottles of Talaptalap Suka.
Withholding Tax Certificates, if applicable and accompanying purchase information by BRAND
PARTNER may be provided by COMPANY for free to BRAND PARTNER upon latter's request.
Other services may become available at a later time, which COMPANY may offer BRAND
PARTNER for approval.
This contract agreement is not auto-renewable. Written consent of both parties to extend the
validity of partial or all clauses of this contract agreement must be executed.

Upon signing this contract, in original or electronic form, the BRAND PARTNER acknowledges
reading and understanding all the terms and conditions written under this agreement.

This contract shall be terminated if any party fails to perform its obligations.
