“RESOLVED, FURTHER, that any of the foregoing authorized representatives have

secured the prior written consent of the Corporation’s Directors, Ultimate Beneficial
Owners, and any other individuals declared by the authorized representatives
(collectively the “Data Subjects”), to collect, process and share any type of personal
data of the Data Subjects to the Maya Group or any of its service providers or credit
bureau, for the purpose of underwriting, profiling, and/or credit scoring of the Data
Subjects, whitelisting the Corporation for other Maya Group products and services that
may be available from time to time, including any incidental use of the said personal
data to facilitate the Transaction, in accordance with the Maya Bank Privacy Policy
(https://www.mayabank.ph/privacy/), Maya Flexi Loan Data Privacy Statement (Annex
1) and any other privacy notices issued by Maya Group in relation to the Transaction
entered into by the authorized representatives.

RESOLVED, FURTHER, that the Corporation hereby represents and warrants that the
aforementioned authorized representatives are responsible and accountable for the
collection and record keeping of the consent and that the Corporation hereby
undertakes to indemnify and hold Maya Group free and harmless from any claims or
 liabilities arising from the lack of consent of the Data Subjects or breach by the
Corporation of any term of this Secretary’s Certificate.

“RESOLVED, FURTHER, that all acts done and documents executed into by any of the
authorized representatives above in accordance with the foregoing are hereby
affirmed, confirmed and ratified, including all acts done and documents executed on
behalf of the Corporation prior to this Secretary’s Certificate.

3. The foregoing resolutions are in accordance with the records of the Corporation. As of this date,
these resolutions have not been amended nor rescinded and are still in force and effect.

MAYA FLEX LOAN DATA PRIVACY STATEMENT

By continuing, you are allowing Maya Philippines, Inc. (Maya) to share your personal data
(Name, Address, Email Address, Mobile Number, Nationality, Sex, Civil Status, Date of Birth,
Merchant Selfie, Company/Business Name, Government-issued IDs), from your Maya account
profile to Maya Bank, Inc. (Maya Bank) and allow them to process it for the following
purposes:

• Collect and process relevant and pertinent personal information and credit information about
you and the entity you represent from Maya, its subsidiaries, affiliates, credit card companies,
government agencies/ organizations and other financial institutions in the course of evaluating
your loan application, and you authorize the release of such information by these companies
from which your personal data and credit information are requested. You also consent to
Maya’s disclosure of information concerning you or your subscription to these companies;

• Process and disclose your personal data and business information to Maya’s subsidiaries,
affiliates, and authorized business partners contained in this application including the
supporting documents submitted, your payment history/behavior, and all information about
you from our advertisers and business partners relevant to the purposes stated above.

• Run credit scoring programs and initiatives and pull credit reports from government regulatory
agencies, banks and other financial institutions, credit card companies, loyalty program
partners, credit bureaus or credit reference agencies and supplement this information with
information available from other sources, such as public databases, data aggregators, and other
commercially available sources that are legally permitted.

• Update your personal data with Maya Bank, Inc. whenever (1) your customer records undergo
periodic review with Maya, in compliance with Bangko Sentral ng Pilipinas and Anti-Money
Laundering Council requirements, and (2) when you request your personal information to be
updated with Maya.

• The regular submission and disclosure of your basic credit data, current subject, and contract
data to the Credit Information Corporation as well as any updates or corrections thereof; and
the possible access to your current subject and contract data by other entities authorized by the
Credit Information Corporation, and credit reporting agencies duly accredited by the Credit
Information Corporation, for the purpose of establishing your creditworthiness.

• Make your Personal Data available, and to permit Maya’s affiliates and partners also to make
your Personal Data available to
 o a. third parties who provide products or services to Maya or its affiliates and partners
for the same purposes as described above; and
o b. other third parties, where required or permitted by law, including regulatory
authorities, government agencies, as well as parties with whom you voluntarily transact.

You also confirm that, before providing us with the Personal Data of the Owner/Partners/Directors of
the Corporation, you have obtained their consent to: (i) you collecting their Personal Data; (ii) you
sharing the same with Maya; its affiliates and partners, and the third parties as indicated above; and (iii)
to the processing of their Personal Data by Maya and its affiliates and partners indicated above as
provided herein.

Your personal data records are stored securely in our live databases and backup cloud platforms. Our
retention periods are based on business needs and your Personal Data that we no longer have a purpose
to retain, is either irreversibly anonymized (and the anonymized information may be retained) or
securely destroyed. We store your personal data for a period of 5 years following the requirements of
RA 9160, otherwise known as the Anti-Money Laundering Act of 2001 and other applicable laws and
regulations which may have their own storage and retention requirements.

You and the Owner/Partners/Directors of the Corporation are entitled to certain rights in relation to
the Personal Data that may be collected from you (and from the Owner/Partners/Directors of the
Corporation), including the right to access, correction, and to object to the processing, as well as the
right to lodge a complaint before the National Privacy Commission in case of violation of your or your
contacts’ rights as data subjects. You may consult Maya’s Data Protection Officer at dpo@maya.ph for
any concerns regarding your Personal Data.
