Sub: Retainer ship on Services pertaining to Accounting, Tax Matters and Human Resources.

With reference to the discussion on the above subject. We are pleased to render your services with
respect to Accounting, Tax Matters and Human Resources as per terms and conditions mentioned
below:

1. You will attend fortnightly to the office of the ISBAA to review the accounts of the
organization and day to day financial activities. This includes the writing up of monthly,
quarterly, six monthly, and yearly statement of accounts. Preparation of financial
statements and filing of all tax returns.

2. You will attend the regular assessment hearing and proceedings matters of ISBAA at the
office of Income Tax Department also assessment of TDS appeals.

3. You will review the human resources activity of the organization, whether compile with all
the compliance of labor and employment laws.

4. This agreement shall be valid for a period of one year with effect from 1st April, 2016.
Both the parties to the agreement can terminate the agreement by giving one month’s
notice in writing. During such notice period, both the parties shall complete their
respective obligation as required under this agreement.

5. This agreement will automatically stand renewed for a further period of one year on the
same terms and conditions, unless any one of the party to this agreement serves a notice of
termination of the agreement at least two weeks before expiry of agreement.
 6. For the services rendered as above, the organization shall pay you a retainer ship fee of Rs.
1,20,000/-(Rupees One Lakh Twenty Thousands) per annum. Service tax as applicable
shall be borne by ISBAA. You will raise the invoice every quarter within 15 days of the
succeeding month and the same shall be paid within 15 days of receipt of the invoice.
