Gridbots AUTOBOT series AMR gives you full control over and ownership of the robot from
the beginning. It is operated by the intuitive Gridbots Robot Interface via smartphone,
tablet, or computer. The robot can be integrated into your ERP/WMS-system giving you the
opportunity to create fully Atomized solutions. The Robot can be included in the Gridbots
Fleet alongside the rest of the Robot so the different robots can be operated in the same
fleet.

Section 4 - Key Terms and Conditions:

A. Payment Terms:

1. 20% Advance against order without Bank Guarantee.

2. 20% with GST before shipping/against delivery.
3. 40 % against material receipt in our factory.
4. 10 % against installation and commissioning.
5. 10 % against proof out and handover.
6. Recurring Charges wherever applicable shall be extra to be borne by the end user.
7. All payments to be made in favor of “Gridbots Technologies Pvt. Ltd.”
8. Above prices are Ex-Works prices at our Ahmedabad Facility.
9. Shipping and Forwarding Charges Extra – As mentioned above.
10. Any other tax – has to be borne by the customer only.

B. Requirement from Client Side

1. Detail of Type of floor.

2. Maximum gradient and length of Ramp.
3. Length of Path to be covered.
4. Layout of Warehouse/Factory, where AMR is used.

C. Other items not included in above scope of work:

1. Civil Works – Any civil work required to accommodate the system at site e.g.
flooring modification, raising level, extension of floor etc.
2. Machine Stop – the system will provide a digital signal to the machine to stop in
case of error generation. Any additional hardware required for the same will be
borne by the client.
3. Electrical Works – Stabilized main power supply to be arranged at location identified
for charging with necessary controls and fuse.
4. Clearances – Any permission or clearances from any authority or government body
including fees for the same.

 D. System Delivery Time

1. 12-14 weeks from receipt of advance.

E. Quote Validity

1. Quote Valid for 45 Days.

Warranty

1. All systems have one year warranty apart from consumables or batteries
2. 1 Year free software upgrade.
3. Machine can be taken online for software upgrades. No need to visit sites for
software management.
4. Warranty does not include damage due to improper handling or maintenance
related issues.
5. Lodging, Boarding, Food and Local travel to be provided by the client during the site
visit for installation and warranty period.
6. Algorithms & software used in the Systems are subject to change without prior
notice.

Section 5 - Other Terms and Conditions:

A. Other Terms and Conditions

a. Consequential Losses

1. Gridbots Technologies shall in no event be liable for costs connected with

interruption of operation, loss of anticipated savings, loss of use, loss of production,
costs of capital or loss of any nature whatsoever.

2. Gridbots will not entertain any liquidated damages as products are subjected to
R&D which may delay the timelines agreed earlier.

b. Intellectual Property Rights

1. By accepting this Performa Invoice, the client agrees to IPR policy of Gridbots under
which all designs, concepts and hardware products installed at client site by
Gridbots Technologies including but not limited to the structure, technology
selection, embedded system, hardware, software, is owned by Gridbots
Technologies. No part of the above mentioned items may be copied, reproduced,
transmitted or distributed in any way nor may they be presented to other parties to
be considered for reproduction without Gridbots Technologies prior written
consent.

c. Insurance

1. The quoted prices are exclusive of transit / storage insurance charges, unless
specifically agreed upon at the time of order.

d. Delivery Time

1. We expect the equipment to be ready for delivery time and term mentioned later in
the document. Delivery period is given in all good faith and is subject to our / our
sub-suppliers usual force majeure conditions. In case any changes are made in the
specifications during/after the approval of drawings which involves resubmission of
drawings and approval, the price implication / delivery period will be extended
automatically by such time as may be intimated by us at that time.

e. Warranty

1. The warranty is for a period of 12 months from the date of installation. We shall
repair or replace at our option, free of cost, whole, or any portion of material, which
under normal or proper use and maintenance proves defective in material and/or
workmanship. Such replacements shall be affected within a reasonable time
actually required to do so. After the warranty period is over, Annual Maintenance
Contract can be agreed and separate contract entered into with our service team

2. Warranty does not include damage due to improper handling or maintenance
related issues.

f. Equipment Performance

1. The equipment offered shall perform satisfactorily within the guaranteed

environmental/power supply conditions as mentioned in the offer. The equipment
may malfunction due to the site conditions beyond the specified limits and we shall
not be liable for any damage caused by the same. For safe and optimum use of the
equipment supplied, the purchaser shall strictly follow the instructions given in the
operations and maintenance manual. We shall not be responsible for damages,
injuries or losses suffered or caused due to, directly or indirectly, non-compliance
with the operation and maintenance manual and other related instructions.

g. Force Majeure

1. Neither party shall be liable for delay in performance or failure to perform in whole
or in part the terms of this Agreement due to strike, labor dispute, war, riot or civil
commotion, acts of the public enemy, fire, flood or other acts of God, or causes
beyond the reasonable control of such party. The period for performance for the
party affected by such a cause shall be extended by the duration of the condition.

h. Arbitration

1. All disputes arising in connection with this Agreement / Purchaser Order shall be
finally settled and governed by the provisions of Arbitration and Conciliation Act,
1996. The arbitration panel shall consist of three arbitrators, one to be appointed by
each Party and the third arbitrator shall be appointed by the two appointed
arbitrators. The third arbitrator shall serve as a chairman. The award of the arbitral
tribunal shall be final and binding on both Parties. The place of arbitration shall be
Ahmedabad, Gujarat. The proceedings shall be conducted in English language

i. Limitation of liability

1. Notwithstanding anything contained in this order/offer, its orders to the contrary,

with respect to any and all claims arising out of the performance or
non-performance of obligations under this offer or purchase orders, whether arising
in contract, tort, warranty, strict liability or otherwise, Gridbots's liability shall not
exceed in the aggregate 100% of this purchase order value or payments received
whichever is lower.

 j. Modifications

1. There can be no modification, amendment or rescission of an Order without the

written agreement of Buyer and Seller. Any changes to processes, manufacturing
methods or qualified critical materials are subject to Buyer’s prior written approval,
and substitutes will not be accepted unless authorized in writing by Buyer’s duly
authorized management. Any overrun quantities will be subject to Buyer’s prior
written approval. Buyer reserves the right to and Seller agrees to accept changes to
the Order, including, without limitation, changes to quantities, packing, testing,
destinations, specifications, designs and delivery schedules. If an Order affects
delivery or price, Seller will notify Buyer immediately and an equitable adjustment
in prices or other terms hereof, based on reasonable and unavoidable costs incurred
by Seller as a result of such change, will be agreed upon in a written amendment to
the affected Order. Seller will notify Buyer immediately in writing if it changes its
manufacturing locations and Seller shall pay for all related qualification costs
associated with Buyer’s qualification of a new

k. Provisions, Taxes and Duties

1. The quoted prices are exclusive of all taxes, duties, levies such as excise duty,
central/local sales tax, octroi, etc. as are applicable at the time of dispatch or
imposed by any statutory authorities subsequently or paid by us, shall be paid by
you extra at actual. You, if applicable, shall furnish necessary declaration forms.

B. ACCEPTANCE OF GOODS OR SERVICES; DEFECTIVE AND/OR NONCONFORMING GOODS

AND SERVICES

a. Machine Acceptance

Before shipping the machine, clients will come and take trials at Gridbots Demo
Center. Only if they are satisfied with the demo of the final machine and provide a
shipping release, it will be shipped to the client site. Once a shipping release is
provided, the client cannot cancel the order.

b. Change Request

If the client has any observation which needs to be included in the machine and
comes under outside the scope of services as determined at the time of PO,
Gridbots will try to incorporate in good faith. It may extend the delivery period and
incur additional charges which will be determined at the time of Change request.

 Gridbots is not bound to make the changes requested after the work on initially
determined scope is started.

c. Cancellation

No order is subject to cancellation or to change unless agreed to in writing by an

authorized officer of Seller. In the event of any cancellation, without limitation to
other available remedies to Seller, the Buyer shall pay the Seller within thirty days of
such cancellation the contract price, including applicable taxes, for all articles,
materials, equipment and services which have been completed prior to cancellation
plus all costs and other expenses incurred by Seller for uncompleted items
(including without limitation engineering expenses and all commitments to its
suppliers, subcontractors, and others) and a cancellation charge in an amount equal
to 20% upon the total of the foregoing. In the event of any change, Seller shall be
entitled to revise its prices and delivery schedules to reflect such change.
