Sub.: Service Order for Google Marketing and Promotions Of Residential Project ‘LIVINA’,
located at Sushant Lok 1 C Block, Gurugram, Haryana

Dear Sir,

We, M/s __________ (“__________”/ “We”) are pleased to place this Service Order to you i.e. M/s
_____________(“Service Provider” / “You”) for the above mentioned works on the following terms
and conditions which shall supersede all other prior terms & conditions, negotiations and discussions:

1. SCOPE OF SERVICES:

The Scope of Work shall be as per the deliverables mentioned herein in ‘Annexure A’ (“Scope
of Services”). However, the deliverables ancillary to the Scope of Services may be changed /
altered vide change orders by the __________ at its sole discretion.

__________ reserves the right to increase or decrease the scope of the service of any or all
items or to change the nature of the service involved in any or all items or to completely delete
any items of the service. Service Provider shall not be entitled to claim for loss of anticipated
profits, for mobilisation of additional resources, or for any other such reason on account of these
change orders

2. FEES :

In consideration of the Scope to be performed by the Service Provider under this Service Order,
__________ shall pay to the Service Provider all inclusive lumpsum fee of Rs. _____/- p.m. plus
GST and subject to deduction of applicable TDS.

3. COMMENCEMENT & DURATION OF WORK:

The services shall commence under this Work Order from ________to_____________. The
Service Order may be extended on the same terms and conditions at sole discretion of both the
parties.
4. PAYMENT TERMS AND BILLING DETAILS:

_________ after satisfactory completion of Works.

5. STATUTORY APPROVAL:

The Service Provider shall be fully responsible for compliance with all the applicable/to be
applicable statutory norms, liabilities and shall obtain all the required permissions, approvals /
licenses with respect to the performance of the assigned services. The Service Provider agrees
to provide its employees, engaged for performance of services under this Service Order, all the
statutory benefits as mandated or prescribed by applicable laws. The __________ reserves the
right to audit the Service Provider’s payroll or to call for the relevant records to verify the
Service Provider’s compliance status and documents. Service Provider acknowledges that it
shall be solely liable and responsible for the payment of all statutory benefits or discharge of
statutory obligations including payments in relation to the employees/ personnel engaged by
the Service Provider to provide services under this Service Order and keep the __________
fully indemnified in this regard.

6. LABOUR REGULATIONS:

That you shall be wholly and solely responsible for full compliance with the provisions under
all labor laws and /or regulations.

7. INDEMNITY:

That you shall indemnify, defend and hold and keep indemnified the __________ and its
employees, officers, representatives, servants, agents, suppliers, vendors and any other persons
claiming through or under them from and against all actions, suits, claims costs, liabilities and
demands brought or made against the __________ in respect of any matter or thing done or
omitted to be done by you or your employees, workmen, representatives, agents, servants or
suppliers in the execution of or in connection with the service; or any matter or thing done or
omitted to be done by you

8. ASSIGNMENT AND SUB-CONTRACTING:

You shall not assign this Service Order or any part thereof, without prior written consent of the
__________. You may, however, sub-contract any part of the service with the prior written
consent from the __________. Any permission to sub-contract parts of the service shall not
relieve you from any of your responsibilities, obligations, and liabilities under this Service
Order and You would be solely liable and responsible for the acts, omission or negligence of
any sub-Service Provider engaged by you.
 9. TERMINATION:

This Service Order may be terminated at any stage if there is a delay, non-performance, any
material violation of this Service Order or any other reason which the __________ deems
justifiable to terminate at its sole discretion. The __________ may conduct a regular
inspection of the service and at any stage if the service carried out by you does not found up to
mark and/or at reasonable pace then this Service Order may be terminated. In the event of such
termination, you shall be compensated for service completed to date on a pro-rata basis.

10. GOVERNING LAW & JURISDICTION:

The governing law of the Service Order shall be Indian laws and the courts in Gurugram alone
shall have the exclusive jurisdiction to adjudicate upon any disputes / differences arising out of
or in relation to this Service Order.

Please sign on this Service Order as a token of your acceptance and agreement to the terms and
conditions stated hereinabove and send us duly signed copy of the same to our office immediately.

1. We need to start the Google Lead Generation Campaigns aggressively since we have
only one month left.
2. We will be running three types of Google Campaigns (Search Ads, Display Ads, and
Discovery ads)
3. Before Making the Campaigns Live, we need to Redesign & Optimise the landing
page
4. We must decide the below factors :
o Targeted Audience
o Targeted Cities
o Targeted Areas
o Targeted Gender
o Target Interest
o Keywords Bidding
o Suggested Keywords
5. We must focus on relevant communications in our ad campaigns - Captions & Tag
Lines
