Service Agreement

BETWEEN:

Parmjit Singh
Doha
(the “Customer")

- AND -

Mandate Placement Group

(the "Service Provider")

Date: February 14th, 2023


BACKGROUND
A. The Customer believes that the Service Provider has the qualifications, experience, and
abilities to provide services to the Customer.
B. The Service Provider agrees to provide such services to the Customer on the terms and
conditions in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations
outlined in this Agreement, the receipt, and sufficiency of which consideration is hereby
acknowledged, the parties to this Agreement agree as follows:

1. Engagement: -
The Customer hereby agrees to engage the Service Provider to provide the Customer with
services consisting of obtaining LMIA and aiding with the process of securing a work permit
and such other services as the Customer and the Service Provider may agree upon from time
to time (the "Services"), and the Service Provider hereby agrees to provide the Services to the
Customer.

2. Term of Agreement: -
The term of this Agreement will begin on the date of this Agreement and will remain in full
force and effect until either party chooses to terminate the agreement.

3. Performance: -
The service provider shall perform and complete the services as described below (The Services)
per this agreement and in a professional, careful, diligent, and efficient manner to the client’s
complete satisfaction.
The services provided by the service provider (Mandate Placement Group Corp.) to the client
(Parmjit Singh) are LMIA and a work permit.

Client Obligation: -
During the provision of service, the client shall:
Cooperate with the service provider in any way the service provider may reasonably require
and provide any information and documentation needed by the service provider relevant to
the provision of the services or payment for the service.

Payment: -
The client will pay the total fee to the service provider of CAD 35,000 [Plus taxes].
The service provider may charge for all reasonable and necessary costs and expenses incurred
in performing the services, subject to agreement from the client.

Note: The client agrees to pay the service provider an upfront fee of CAD 10,000 as the first
installment to initiate the process.

4. Additional Compensation: -
The Service Provider acknowledges that compensation, as this Agreement provides,
constitutes total monetary compensation for the Services performed. Accordingly, there will
be no additional compensation unless the Customer requests additional services from the
Service Provider.

5. Expenses: -
The Service Provider will incur all expenses concerning the services agreed upon.

6. Provision of amenities: -
The Customer will not provide the Service Provider with any amenities.

7. Confidentiality: -
The Service Provider acknowledges that a material term of the Agreement with the Customer
is to keep all confidential information belonging to the Customer confidential and protect its
release to the public. The Service Provider agrees not to divulge, reveal, report, or use, for any
purpose, any confidential information that the Service Provider has obtained, or which was
disclosed to the Service Provider by the Customer.
The obligation to protect the confidentiality of the Customer's confidential information will
survive the termination of this Agreement.

8. Assignment: -
This Agreement is a personal one, being entered into in reliance upon and in consideration of
the personal skill and qualifications of the Service Provider. The Service Provider will only
voluntarily or by operation of law assign or otherwise transfer the obligations incurred
according to this Agreement's terms with the Customer's prior written consent.

9. Capacity/Independent Contractor: -
It is expressly agreed that the Service Provider acts as an independent contractor, not an
employee, in providing the Services hereunder. The Service Provider and the Customer
acknowledge that this Agreement does not create a partnership or joint venture between
them.

10. Modification of Agreement: -


Any amendment or modification of this Agreement or additional obligation assumed by either
party in connection with this Agreement will only be binding if evidenced in writing and signed
by each party or an authorized representative of each party.

11. Time Is of the Essence: -


Time will be of the essence of this Agreement and every part hereof. No extension or variation
of this Agreement will operate as a waiver of this provision.

12. Entire Agreement: -


It is agreed that there is no representation, warranty, collateral agreement, or condition
affecting this Agreement except as expressed in it.

13. Severability: -
Suppose any of the provisions of this Agreement are held to be invalid or unenforceable in
whole or part. In that case, all other provisions will remain valid and enforceable with the
invalid or unenforceable parts severed from the remainder of this Agreement.
14. Currency: -
Unless otherwise provided, all monetary amounts referred to herein will be paid in Canadian
dollars.

15. Governing Law: -


It is the intention of the parties to this Agreement that this Agreement and the performance
under this Agreement, and all suits and special proceedings under this Agreement, be
construed following and governed, to the exclusion of the law of any other forum, by the laws
of the Province of British Columbia, without regard to the jurisdiction in which any action or
proceeding may be instituted.

Agreement to be signed within two months of it being drawn for the offer to be valid.

IN WITNESS WHEREOF the parties have duly executed this Service Agreement this February
14th, 2023.
