ABSOLUTE DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale is executed by and between:

ESTELA REPIQUE, of legal age, Filipino, married and a resident of

#102 Sampaguita Street, Villamonte, Bacolod City, Philippines, hereinafter
referred to as the VENDOR;

RAMIL F. LABORTE, of legal age, Filipino, married and resident of

Rizal Lopez Jaena Street, Barangay 27, Bacolod City, Philippines, referred
to as the VENDEE;

WITNESSETH:

That the VENDOR is the absolute owner of a certain personal property

described as follows:

That for and in consideration of the sum ONE HUNDRED SEVENTY

THOUSAND PESOS ONLY (P170,000.00) Philippine Currency, in hand paid
by the VENDEE, receipt of which sum is hereby acknowledged and confessed to
the full and entire satisfaction of the VENDOR, by these presents, the VENDOR
hereby sells, transfers, and conveys by way of absolute sale unto the VENDEE,
his heirs, successors, and assigns, the above-described personal property free
from all liens and encumbrances whatsoever;

IN WITNESS WHEREOF, the parties hereunto set their hands this 24 th

day of June, 2008 in the City of Bacolod, Philippines.
