SERVICE LEVEL AGREEMENT between EVO Business Solutions Inc & Feliz
Robertson (Public Relations Specialist)

THIS AGREEMENT is made and entered into at Georgetown, Demerara on this 12th day
of January, 2022 by EVO Business Solutions Inc., a company registered under the
Companies Act No. 29 of 1991 whose registered office is situated at 2268 Block X,
Diamond, East Bank Demerara, Guyana (hereinafter referred to as the “Company”) of the
One Part and Feliz Robertson of 199 Thomas Street, Kitty, Georgetown, Guyana
(hereinafter referred to as the “Public Relations Specialist”) of the Other Part.

The term of this agreement is Three (3) years. It is understood, however, that either party
shall have the right to terminate this Agreement on sixty (60) days written notice. The
Company may exercise an option to extend the Agreement for three (3) additional years.
On the same terms and conditions herein upon sixty (60) days written notice issued prior
to the end of the then current term.

1. Purpose of Agreement

The Purpose of this Agreement is to clearly state the terms and conditions under which
the Public Relations Specialist will provide professional Public Relations Expertise,
Guidance, Representation, and Marketing Solutions to EVO Business Solutions Inc.

The Public Relations Specialist shall comply with the policies, standards, and regulations
of the Company, including Regulations, Standards, International Best Practices, and
Legislation to the best of their abilities.

2. Term

The term of this Agreement shall commence on January 12, 2023, and end on January
12, 2025.

3. Compensation

For the service rendered by the Public Relations Specialist, the Company agrees to provide
the approved compensation on a monthly:

IMPORTANT NOTE: THIS PAYMENT DOES NOT INCLUDE ANY PAYMENT DONE BY CLIENT(S) FOR
EVENT MANAGEMENT OR CHAIRING OF EVENTS.

4. Service Requirements & Schedule Service

I. Marketing of EVO Business Solutions Inc., via various communication

platforms including Radio, Television, Social Media, Events, etc.

II. Updating of EVO Business Solutions Inc., Social Media platforms.

III. The provision of creative and innovative marketing solutions including

materials to EVO Business Solutions Inc., with the support of an approved
Third-Party service provider.

IV. Conducting all planned and unplanned interviews on behalf of EVO Business
Solutions Inc., when applicable.

V. Master of Ceremonies – MC of all planned events of EVO Business Solutions

Inc., when applicable.

VI. Advising and supporting the Management Team of EVO Business Solutions
Inc., on Networking with strategic public and private media houses and
agencies.

VII. Supporting EVO Business Solutions Inc., with the planning and release of
ISO Certification Certificates for Clients, when applicable.

VIII. Attending external events at both Public and Private functions on behalf of
EVO Business Solutions Inc., when applicable.

IX. Taking part in EVO Business Solutions Inc., team building exercises, when
applicable.

X. Supporting the Clients Relation Lead in obtaining of Clients’ testimonials,

when applicable.

XI. Any other Public Relations Responsibility agreed upon by both parties.

5. Inspection of Services

Services provided by the Public Relations Specialist shall be subject to the Company
inspection after completion to ensure alignment with the Company standards and
Integrated Management System, to ensure consistency and professionalism. If any of the
Services performed by the Public Relations Specialist according to this Agreement are
defective or incomplete, the Company shall have the right to notify the Public Relations
Specialist, at which time the Public Relations Specialist shall promptly correct such work
within a reasonable time, without any alteration to the agreed Payment Amount where
applicable.

6. Safety Obligation

The Public Relations Specialist agrees to act in accordance with the rules and regulations
administered by laws of Guyana, Integrated Management System of EVO Business
Solutions Inc., and ISO 45001.

7. Quality Control and Accountability of Service

The Public Relations Specialist and the Company agree to the following quality
governance:

The Public Relations Specialist shall ensure all records of Marketing and Public Relations
are shared with the Company as evidence of meeting the scope of agreement of this
Agreement (where available).

II. Internal & External Quality Audit or Inspection

The Parties agree that the Company’s Internal Auditors may conduct an annual audit or
inspection on the Public Relations and Marketing process at the Public Relations Specialist
premises or Company premises to ensure accountability of service.

III. COMPETENCY, TRAINING AND DEVELOPMENT

The Parties agree that Public Relations Specialist must be trained and competent on the
service to be provided and EVO Business Solutions Inc., operations. In the event of Internal
Training (Quality & Safety) is conducted by the Company, the Public Relations Specialist
agree that full participation will be provided.

8. Confidentiality.

EVO Business Solutions Inc. and the Public Relations Specialist, wish to ensure that both
Parties shall maintain the confidentiality of all Confidential Information so disclosed,
always, or as hereinafter provided as agreed in the EVO Business Solutions Inc. & Public
Relations Specialist, Non-Disclosure Agreement.
Non-Disclosure Agreement

1. The Parties hitherto recognize that all the Confidential Information to be disclosed
upon and after the execution of this Agreement will contain and incorporate the
information, which is proprietary to EVO Business Solutions Inc. and Public
Relations Specialist, respectively. Both Parties agrees to maintain as confidential
and agrees not to use any part of or the whole of such Confidential Information
directly or indirectly disclosed by the other Party or information which the other
Party has gained from such disclosure other than as per the terms and conditions
of this Agreement and solely for the purpose.

2. Both Parties shall, before any permitted disclosures are made, obtain from those
of its employees to whom any Confidential Information is to be disclosed or who
may in any way obtain access to any Confidential Information, enforceable
undertakings in terms at least as binding upon the said employees as Evo Business
Solutions Inc. is bound to Public Relations Specialist, hereunder and Public
Relations Specialist, is bound to EVO Business Solutions Inc.

3. If either Party requires to disclose the Confidential Information to a Third Party,

other than the employees of that Party as provided above, to whom disclosure of
any Confidential Information is necessary, that Party shall not disclose such
information to any Third-Party without prior consent (written or oral confirmation)
of the other Party and thereafter obtain from the Third Party a duly binding
Agreement on terms at least as binding upon the Third Party as both Parties are
bound hereunder and which terms between the proposed EVO Business Solutions
Inc. and the Third Party will be agreed with the other Party.

4. The restrictions on the use or disclosure of Confidential Information shall not apply
to any information:

a) which is independently developed by either Party or lawfully received by either

Party for free of restriction from another source having the right to so furnish;
or,
b) after it has become generally available to the public without breach of this
Agreement by either Party or any of its employees, or without breach of an
agreement either Party may have with any Third-Party concerning the
information; or
c) which prior to the time of disclosure to the Receiving Party was known to the
Disclosing Party or its employees free of restrictions; or
d) which the other agrees in writing is free of such restrictions.

5. Confidential Information shall be subjected to the restrictions of Clauses 1,2,3, 4

and 5 if it is in writing or tangle form, only if marked as proprietary when disclosed
to the Other Party, or if tangible form, only if identified as proprietary at the time

of disclosure to the other Party. Both Parties shall endeavor to keep to a minimum
the amount of information that is furnished to the other upon which restrictions
are imposed.

6. The Public Relations Specialist agrees that the Company shall take all reasonable
precautions to safeguard the EVO Business Solutions Inc., Confidential Information,
including at minimum those steps that it takes to protect its Confidential
Information, and that it shall be responsible to the EVO Business Solutions Inc. for
any disclosure or misuse of Confidential Information which results from a failure to
comply with this Agreement.

7. If the Public Relations Specialist, is required by law, regulatory, or court order, to

disclose the Confidential Information or any part thereof, the Public Relations
Specialist, shall, before any disclosure immediately notify EVO Business Solutions
Inc. The Public Relations Specialist shall take all reasonable steps to prevent
disclosure of the Confidential Information or any part thereof (including but not
limited to obtaining an interim order preventing disclosure pending the
determination of the legitimacy of the demand) until EVO Business Solutions Inc.
has sufficient time to appear to protect its interest.

8. This Agreement shall become effective on the first above written (hereinafter
referred to as the “Effective Date”) and shall be enforced for the duration of this
Agreement.

9. Unless otherwise agreed to in writing, this Agreement represents the entire

agreement of the Parties hereto concerning the subject matter hereof and there
are no other agreements, representations, or understanding between the Parties
not stated herein.

10. This Agreement shall be construed, governed by, and interpreted as per the laws
of the Republic of Guyana and EVO Business Solutions Inc. and the Public Relations
Specialist shall comply with all such laws in the performance of the obligations
under this Agreement.

9. Return of Property

Upon the expiry or termination of this Agreement, EVO Business Solutions Inc. will return
to the Public Relations Specialist, any property, documentation, records, or Confidential
Information which is the property of the Receiving Party.

10. Amendments
This Agreement may not be amended in whole or in part without the unanimous written
consent of all Parties.
