1. Introduce the company

Name: Vinamilk, formally the Vietnam Dairy Products Joint Stock Company, is the
largest dairy company in Vietnam.

Vision and Mission

Vision: To become a world-grade brand in the food and beverage industry, where people
put all their trust in nutrient and health products.

Mission: To deliver valuable nutrition to the community with our respect, love, and
responsibility.

Productions or Services they provide

The principal activities of Vinamilk are to produce and distribute condensed milk,
powdered milk, fresh milk, soya milk, yogurts, ice cream, cheese, fruit juice, coffee, and
other products derived from milk
Achievements

After 45 years of establishment and development, with the mindset of creativity,


innovation, and non-stop efforts, Vinamilk has become one of the leading enterprises in
Vietnam. Vinamilk has constantly contributed to the development of the country in
general and the dairy industry in particular, elevating Vietnam’s dairy products in the
global market. With its significant achievements, the company has been honored to

Vinamilk's successful development over 45 years ars is the contribution of all members
of the company under the outstanding leadership and direction of their key personnel who
are not only talented but also wholehearted for the company’s achievements.

Board of Directors: is a managerial body of the Company and has the full authority to
exercise rights and obligations of the Company in the name of the Company, except for
the rights and obligations of the General Meeting of Shareholders. Including 4

The organizational structure of

and division in the company.

This organizational structure helps


the organization operate in the
most effective way with detailed
specific plans, helping the
departments to coordinate closely
with each other to create a long-
term strong Vinamilk year by year
with a series of high-quality
products.
3. Method of departmentalization that is used in that structure (can be
more than 1 method combined).

According to Vinamilk’s organizational structure, the company has 10 departments:


Strategic Planning, IT (Information Technology), Sales, Marketing, R&D (Research and
Development), Production, Dairy Development, Supply Chain, HR Admin & PR (Human
Resources Administrator & Public Relations), and Finance. The 10 departments conduct
different functions in the Vinamilk company, and each department has an executive
director who is responsible for managing the activities within the department. Vinamilk
organization is an example of a functional and hierarchical organization.

Within a department, employees of the same major field, specification, and skills are
formed together, so that they can work in the same environment, which enables them to
stay focused and develop more of their expertise on one particular function of the
organization. The application of functional organization allows Vinamilk to effectively
utilize its human resources. Having 10 departments in the organization, Vinamilk assigns
each function to each department. Though the departments have different department
goals and objectives, procedures, and priorities, they collaborate to achieve the ultimate
organizational objectives.

Vinamilk has become one of the most sustainable and successful corporations thanks to
the devotion and contribution of all members of the company leadership and the direction
of the key personnel who are not only talented, and courageous but also wholehearted for
the company’s achievements.

Vinamilk consists of 4 following departments: strategy committee (leader is Mrs. Mai


Kieu Lien), nomination committee (leader is Mr. Nguyen Hanh Phuc), remuneration
committee ( leader is Ms. Tieu Yen Trinh), audit committee ( leader is Mr. Do Le Hung),
Mai Kieu Lien is the CEO in the broad of director, who directly leads the broad of
management which are the executive directors:

She is one of the main directors of the leadership position of Vinamilk entrepreneur, She
is the chairwoman who directly delivers incredible strategy to the downer position to
perform the task.

There are some marvelous achievements over the years:

- The Excellent Businesswomen (2014) by Corporate Governance Asia
- Honoured "Lifetime Achievement Award” (2018), awarded by Forbes Vietnam

Not only she is talented, but also she is a devoted individual in progressing and making
the company functional operation. Once decisions were made, it was carefully discussed
by the board of directors.

Firstly, how corporations collaborate is the question that is always asked when
mentioning Vinamilk Company. The company has shareholders, who possess shares of
company stock, they can elect the board of directors. Although they don’t play an active
role in everyday business operations, they do have certain rights and duties that can be
defined in the company by-laws. The BOD will be elected by the shareholders and this is
the highest position that can make decisions for the company. These positions have the
right to give commands to the downer position, which is the board of management. On
top of that, the BOD has a representative, who is the CEO, who can deliver the ideas and
projects to the officers to perform the tasks.

It is also the case of Vinamilk. Mai Kieu Lien has previously with other people on the
leader team, which is the shareholders and the board of directors to come up with optimal
ideas. The ideas will be delivered publicly if they are committed and gain approval from
other departments and the shareholders who invest money in the company. These
developing projects, therefore, will become possible once they are suitably delivered to
different kinds of departments that have particular majors.

The board of management is the downer position of the CEO, who is the leader of
different majorities. These people will receive the command of the upper position, and
divide them into small tasks for employees to perform. Finally, these people will report to
the board of directors.

Vinamilk’s BOD has ten people, including the Chairman of the board and nine general
meeting of shareholders

Mrs Mai Kieu Lien will be the person who work directly with the officers, based on the
requirements of the upper position. And her employees were the board of management,
who is the director of different departments that I’ve mentioned before. The executive
director of human resources, of raw materials, of research, of marketing, etc.
5. Advantages and Disadvantages of the company's structure.

Advantages

1. Clear hierarchy (phân cấp rõ ràng): The hierarchical structure provides a clear
chain of command (một chuỗi mệnh lệnh rõ ràng), with exact roles and
responsibilities. This clarity helps in decision-making, coordination, and
accountability(chịu trách nhiệm) within the VNM company.
2. Efficient communication (truyền đạt hiệu quả): The hierarchical structure
makes chances to efficient communication flow(tạo điều kiện cho mạch giao tiếp
hiệu quả). Information can be easily transmitted (được phổ biến) from top
management to lower-level employees, ensuring that everyone is on the same
page(mọi người có cùng quan điểm) and working towards main goals. Employees
tend to know who to talk to when providing progress updates or reporting issues
3. Specialization and expertise (chuyên môn hóa và chuyên nghiệp): The various
departments within a hierarchical structure allow employees to become specialized
in a particular field. Specialization ensures an organization can offer high-quality
products and services that stand out from competitors. When employees are part of
a department, they tend to grow a sense of team loyalty. These sentiments can help
retain employees and encourage team members to work together to achieve the
organization's goal

For example: each department or division can focus on its specific tasks, leading to
increased efficiency and productivity.

4. Centralized decision-making (việc đưa ra quyết định tập trung): With a


hierarchical structure (với câu trúc phân cấp), decision-making authority (quyền
đưa ra quyết định) is concentrated (được tập trung) at the top levels of
management. This can lead to faster decision-making and implementation of
strategies (thực hiện các chiến lược nhanh hơn), as there is less need for
consensus-building (nhu cầu xây dựng sự đồng thuận ít hơn).
5. Skill growth: a functional structure has several departments made up of small
teams. Within these groups, knowledge is easily passed along by experienced
managers to their team members, resulting in an enhanced skill set for all members
involved.
Disadvantages

1. Department rivalry: The division into teams might also cause department rivalry
within a hierarchical organization. Employees might feel like competing with their
peers instead of working together toward the company's objectives. These various
departments could also make decisions that only benefit themselves rather than the
company
2. Poor communication: The hierarchical structure can create communication
barriers between different levels of management. Information may get filtered or
distorted (bị lọc hoặc bị bóp méo) as it moves up and down the hierarchy, leading
to miscommunication and misunderstandings. Dividing employees into different
departments and levels can lead to a lack of communication. Professionals might
suppose that it is unnecessary to communicate with other teams

responsibility and authority are concentrated in a few people at the top, leading to
slow response to changes in the external environment. Decision-making and
implementation processes may take longer because of the need for approval from
multiple levels of management.
4. Limited employee empowerment: In a hierarchical structure, decision-making
power is concentrated at the top, limiting the autonomy and empowerment of
lower-level employees. This can lead to reduced motivation and creativity among
employees.
5. Lack of flexibility: The hierarchical structure may need more flexibility to adapt
to changing market conditions or customer needs. This can hinder innovation and

centralized and may not consider diverse perspectives. Functional structures have
difficulty adapting to rapidly changing business environments or project
requirements

It is important to note that the advantages and disadvantages of an organizational


structure can vary depending on the specific context and industry. Vinamilk's hierarchical
structure has its own set of benefits and drawbacks, and the company needs to carefully
manage these factors to ensure organizational effectiveness.
