Authorized Dealer Agreement

甲方：上海竑赢新材料科技有限公司

Party A: Shanghai H Win New Material Technology Co., Ltd.

乙方：

Party B:

甲、乙双方经友好协商，本着平等、自愿、诚实、互惠互利的原则，就合作事宜达成如下协

议：

Through friendly negotiations, based on the principle of equality, voluntary, honest

and mutual benefit, Party A and Party B made and entered into the following

agreement on:

1. 委任

Appointment

甲方授权乙方作为甲方产品在土耳其的授权经销商。

Party A authorizes Party B as the authorized distributor of Part A ’ s product in

Turkey.

所涉及的：

Involves: BULLETPROOF VEST / BULLETPROOF ARMOR PLATE / HELMET /

TACTICAL GEAR

2. 有效期
Validity

本协议自双方签字盖章之日起生效，有效期至 2023 年 12 月 31 日止。

This Agreement shall become effective as of the date of signature and seal by both

parties. Valid until Dec. 31, 2023.

当本协议期满，如双方同意续约，应在本协议有效期满前___20___个工作日内签署书面续

约协议。

Upon the expiration of this contract, if both parties agree to renewing, shall sign a

written renew contract within 20 working days prior to the expiry of this agreement.

3. 甲方责任和义务

Party A responsibilities and obligations

甲方应对乙方人员进行必要的培训，以保证乙方人员的工作达到甲方的要求。

Party A shall provide the necessary training to Party B, in order to ensure that the

work of Party B reach the requirements of Party A.

4. 乙方责任和义务

Party B responsibilities and obligations

乙方可以用“甲方产品授权经销商”的名义进行一切合法的商业活动。

Party B can undertake all the legitimate business activities in the name of "Part A

product’s authorized dealers".

5. 退货

Return
如产品存在质量问题，乙方须在收到货物后 60 日内向甲方提交退货申请，甲方应同意退货；

乙方退回的产品及其包装必须达到不影响再次销售的要求，否则，甲方不予退款；

甲方在收到退货并确认符合上述要求后退款。

For the product quality reason, Party B shall submit a return application to Party A,

and Party A shall agree.

The products by Party B returned, and its packaging must meet the requirements of

the sales again, otherwise, Party A will not be refund.

Party A refunds after receiving the return products and confirming they meet the

requirements.

6. 不可抗力

Force Majeure

因水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致

不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方

须尽快将发生的事件通知另一方，并在不可抗力事件发生 15 天内将有关机构出具的不可抗

力事件证明寄交对方。

Either party shall not be held responsible for failure or delay to perform all or any

part of this agreement due to flood, fire, earthquake, draught, war or any other

events which could not be predicted, controlled, avoided or overcome by the

relative party. However, the party affected by the event of Force Majeure shall

inform the other party of its occurrence in writing as soon as possible and
thereafter send a certificate of the event issued relevant authorities to the other

party within 15 days after its occurrence.

7. 仲裁

Arbitration

一切因履行本协议发生的争端应通过友好协商解决。

All disputes arising from the performance of this agreement shall be settled

through friendly negotiation.

本协议以中英文书就，如中英文内容存在不一致，以中文为准。

This agreement is made in both Chinese and English. In the event of any

discrepancy between the two versions, the Chinese version shall prevail.

8. 本协议正本一式两份，双方各执一份，具有相同的法律效力。

This agreement is in two originals, each party holds one, the two have the same

legal effect.

本协议未尽事宜，经甲乙双方协商另行签订补充协议规定，补充协议与本协议具有同等的法

律效力。

This agreement is not completely matters concerned, both parties shall sign

supplementary agreement through negotiations, and the supplementary

agreement is the same legal effect.
