RELEASE, WAIVER, AND QUITCLAIM

I, MARIFE PALMA FERNANDEZ, of legal age and Filipino, on oath, state that:

1. I am the Head of the Billing and Collection Department of Soonest Global

Express Corporation (“Soonest”). I am authorized by Soonest to institute complaints and
other actions against any person on its behalf to protect and vindicate its rights and
interests. I am also authorized by Soonest to enter into amicable settlements and
compromises in connection with any actions, claims, or complaints against any person
on its behalf.

A copy of the Secretary’s Certificate showing my authority is attached hereto as

Annex “A.”

2. Soonest is claiming the amount of P772,644.37 (“Claim”) against the

Filinvest Group of Companies (“Filinvest Group”) which is composed of Filinvest Land,
Inc., Boracay Seascapes Resort, Inc., Quest Restaurant, Inc., FDC Misamis Power
Corporation, Filinvest Alabang, Inc., Mactan Seascapes Services, Inc., Cyberzone
Properties, Inc., Mimosa Cityscapes, Inc., Entrata Hotel Services, Inc., and Seascapes
Resort, Inc., and Property Specialist Resources, Inc.

3. Soonest is also claiming the additional amount of P50,000.00 (“Additional

Claim”) against Filinvest Group.

4. In order to buy peace and avoid unnecessary litigation,

Soonest decided to amicably settle the Claim and Additional Claim and forever release
and discharge the Filinvest Group any of their directors, officers, representatives, agents,
or employees from any claim, demand, or complaint, whether civil, administrative or
criminal, and withdraw any claim or lawsuit against any or all of them in exchange of
P600,000.00 (the “Settlement Amount”).

5. As regards the Additional Claim, Soonest can only collect the same if it
can submit written proofs clearly showing therein that any of the Filinvest Group has
instructed it to deliver the items to their respective destinations. Otherwise, Soonest will
no longer have any claim from the Filinvest Group aside from the Claim.

6. In final amicable settlement and full satisfaction of Soonest’s claims under

the Claim and Additional Claim, as well as to avoid litigation, I acknowledge receipt of
the Settlement Amount in behalf of Soonest.

7. Soonest agree to abandon the Claim and Additional Claim with prejudice
upon the execution of this Release, Waiver, and Quitclaim.

8. In consideration of the foregoing, Soonest forever releases and discharges

the Filinvest Group or any of their respective directors, officers, representatives, agents,
or employees from any claim, demand, or complaint, whether civil, administrative, or
criminal in connection with the Claim and Additional Claim.

9. I agree to keep this Release, Waiver, and Quitclaim, and all facts and
matters made known to me by reason of the foregoing, in strictest confidence and I shall
make no disclosure or reproduction of the same at any time.
