RELEASE, WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

I, [Employee’s Name], Filipino, of legal age, and a resident of [employee’s

address] hereby declare:

1. I was employed by [Name of Employer’s Corporate Entity] (the

“Company”) as a [employee’s position] from [date employee was hired] until my
voluntary resignation on [date employee was separated].

2. On [date], I received from the Company the amount of [Amount of

Final Pay in Words] (₱[amount of final pay in numbers]), constituting my
final pay, net of applicable taxes (the “Final Pay”), in the form of [form of payment,
e.g., cash, check, or bank deposit], as the full, final and complete settlement of any
and all amounts due or granted to me arising from and/or by reason of my
employment with and separation from the Company, and I have no further claims of
whatever nature or amount against the Company.

3. For and in consideration of the Final Pay, I hereby absolutely remise,

release and forever discharge the Company and/or its parent company, subsidiaries,
affiliates, other related companies, successors-in-interest, stockholders, officers,
directors, agents or employees (collectively, the “Company, et al.”), from any action,
sum of money, damages, claims and demands whatsoever, which in law or in equity I
ever had, now have, or which I, my successors heirs, or assigns hereafter, against
any or all of them, may have by reason of any matter, cause or thing whatsoever, up
to the time of these presents, the intention hereof being completely and absolutely to
release the Company, et al., from any and all liabilities.

4. The Final Pay shall not be taken by me, my heirs or assigns as a

confession and/or admission of any liability on the part of the Company, et al., for any
matter, cause, demand or claim that I may have against any or all of them. I
acknowledge that I have received all amounts that are now, or in the future, may be
due me from the Company, et al. If hereafter, I am found to be entitled to any other
amount, the Final Pay shall constitute a full and final satisfaction of any and all such
undisclosed claims.

5. I acknowledge that I have no cause of action, complaint, case or

grievance whatsoever in any nature, whether past or present contingent, against
the Company, et al. in respect of any matter which happened during, or incident to,
or arising out of, my employment with the Company, or the cessation thereof. I
further warrant that neither I nor my heirs, successors, or assigns will institute any
action against the Company, et al., by reason of any cause or thing arising out of or in
connection with my employment with, or separation from, the Company, or
otherwise.

6. I warrant that I will not, at any time, make false, disparaging or

misleading statements about the Company, et al.

7. I further expressly undertake to forever keep in confidence and not

divulge to any party, the matter or this Release, Waiver and Quitclaim, including its
execution and the terms and conditions hereof, except as may be required by law,
or upon lawful order of court or administrative agency.

8. I acknowledge that this Release, Waiver and Quitclaim may be pleaded

before any court and administrative agency, including but not limited to the labor
tribunals, as a full and complete defense by the Company, et al., who are relying on

the undertakings or warranties given by me under this Release, Waiver and

Quitclaim. Therefore, I agree to pay the Company the Final Pay, with legal interest
from date of receipt plus actual and other damages that the Company may be
entitled to receive, in law and equity, for any breach by me of any of my
undertakings or warranties herein, without prejudice to such other legal remedies
available to the Company, et al.

9. I declare that I have had the opportunity to take independent legal

advice as to the nature and effect of my obligations under this Release, Waiver and
Quitclaim. I finally declare that I have read this document entitled Release, Waiver
and Quitclaim, and fully understood its language and its meaning and have affixed
my signature hereunder voluntarily and freely with full and complete knowledge of
the import and intent of this document and of my rights under existing laws and
rules on equity.
