RENTAL AGREEMENT

This Agreement is dated 1st October 2023

Between
Mr. Sakdiyawat Sirajindaphirom, a citizen of Thailand with 3-1102-00460-16-5 residing at 61/1 Moo.3,
Sameasan, Sattahip, Chonburi 20180, a copy of the identification number is enclosed as Schedule 1,
hereinafter referred to as the "Lessor"; and
Mr. Loveson Glariyans, a citizen of India with passport number R5425494, residing at 756/307, The Capital
Sukhumvit 30/1 , Bangkok 10110 a copy of the passport number is enclosed as Schedule 2, hereinafter referred
to as the "Tenant"; Wherein the parties mutually agree as follows:

The Lessor and the Tenant shall each be referred to as a "Party" and collectively as the "Parties."

Recitals

1. The Lessor is the registered owner of Condominium Unit number 319, 37 floor, Centric Sea268 Pattaya
2nd Road, Pattaya City, Banglamung Chonburi 20150 (the "Unit").
2. The Lessor wishes to Rental the Unit to the Tenant, and the Tenant wishes to take on the Rental from the
Lessor.

Therefore, the Parties hereby agree as follows.

1. Rental of the Unit


The Lessor shall rent and the Tenant shall take on the Rental of the Unit in accordance with the terms and
conditions of this Agreement.
2. Rental Term
2.1 The term of the Rental of the Unit shall be a period of 1 year commencing from 1st October 2023, and
ending on the date 1st October 2024. (the "Rental Term").
2.2 The Lessor hereby grants the Tenant an option to renew the Rental under this Agreement for an additional
period of 12 months, commencing from the Rental Term's expiry date. This renewal option shall be at the
Tenant's discretion, and the Tenant may exercise the renewal option by serving a written notice to the Lessor
at least 2 months before the Rental Term's expiry date. If the Tenant exercises the renewal option, the
Parties shall then enter into a Rental agreement for the renewed Rental term that has the same terms and
conditions as contained in this Agreement, except the rent for the renewed Rental term which shall be as
specified in Schedule 3. The Parties shall register the renewed rent with the competent land registry office
on the date and at the time that the Tenant notifies the Lessor in writing.

3. Rent
3.1 The rental fee is 16,000 THB (Sixteen Thousand Thai Baht) monthly.
3.2 Throughout the Rental Term, the Tenant shall pay rent to the Lessor at the rates and by the dates specified
herein:

3.3 The Tenant shall pay the rent by transfer to a bank account to the lessor’s account. Upon receiving
any rent, the Lessor must issue a receipt for the amount received and deliver it to the Tenant within 24 hours
from receiving that rent payment.
3.4 If the law requires the Tenant to deduct withholding tax from a sum paid to the Lessor, the Tenant must fully
and correctly deduct such withholding tax and remit it to the Revenue Department within the period prescribed
by the law. The Tenant must also issue and deliver a withholding tax certificate to the Lessor as evidence
within 3 (three) days from the date the Tenant has submitted the withholding tax to the Revenue
Department.
4. Costs and expenses
4.1 The Lessor shall be responsible for payment of income taxes and any withholding taxes levied on the rent
under this Agreement, as required by law.
4.2 The Lessor shall be responsible for the following expenses which have been or will, from time to time, be
collected by the condominium juristic person.
a. the common fee during the Rental Term; and
b. the sinking fund.
5. Security Deposit
5.1 Upon the execution of this Agreement, the Tenant shall also deposit with the Lessor the sum of
48,000 THB (Forty-Eight Thousand Thai Baht) 2 months + 1 month advance as security against
non-compliance with the terms and conditions of this Agreement, as well as against any damage which may
be caused by the Tenant. The deposit shall not, in any case, be substituted as advance payment of the
monthly rental fee and other charges.
5.2 The Security Deposit shall be refunded without interest to the Tenant within 7 (Seven Days) days from the
termination of the Rental provided that the Tenant has cleared all outstanding debts with the Lessor such as
rent, electricity, water, other miscellaneous expenses and any other charges due to damage to the Premises.

6. Lessor’s Covent
6.1 The Lessor covenants with the Tenant that during the Rental Term:
a. the Lessor will permit the Tenant to peaceably hold and enjoy the Unit without any interruption or
disturbance from or by the Lessor;
b. the Lessor will abstain from doing any act which would prevent, obstruct, or interfere with the use of
the Unit as intended by the Tenant; and
c. the Lessor will able to sell the Unit to a third party
d. The Lessor has the option to terminate this agreement with a 2-month notice.
e. the lessor agrees that during the Rental term, the tenant can use the unit himself or herself, don't allow
other persons to use the unit, or sub-lease the unit to other persons without the obtain the lessor's prior

consent. and the tenant is allowed to have guests but only in his presence. there’s no such thing as
lending the condo unit to a relative or a friend. this will be considered a breach of the agreement.
6.2 The Lessor agrees that during the Rental Term, the Tenant can use the Unit himself or herself, but don't allow
other persons to use the Unit, or sub-lease the Unit to other persons without the obtain the Lessor's prior
consent.
6.3 In case of emergency or if the Lessor delays in making any repairs for more than 2 days after notice from the
Tenant, the Tenant may submit a quotation for the repair if no response is received from the Lessor. The
Tenant may have repairs made and the Lessor shall immediately reimburse the Tenant for the reasonable
cost of the same. Repairs due to faulty or incomplete workmanship of original construction are the
responsibility of the Lessor.
6.4 If the Tenant is an individual and passes away during the Rental Term, the Lessor shall:
a. allow the Tenant's legitimate heirs to continue to Rental and use the Unit for the remaining period of the
Rental Term, if the heirs notify the Lessor of their intention to assume the Tenant's rights and obligations
under this Agreement;
b. enter a new agreement for the Rental of the Unit with the Tenant's heirs, with the same terms as
contained in this Agreement, but only for the remaining period of the Rental Term; and

7. Tenant’s Convent
The Tenant undertakes as follows:
7.1 to use the Unit for residential purposes only, and not to use the Unit as a place for engaging in business
activities or any activities that are immoral or likely to cause nuisance or annoyance to other residents in the
condominium project;
7.2 to not make any structural alteration to the Unit without the Lessor's prior consent;
7.3 to strictly comply with the rules and regulations of the condominium juristic person, and to rectify any violation
by the Tenant, her or his family members, sub-lease, residents, or visitors;
7.4 to carry out major and minor repair of the Unit, and maintain the Unit at the Tenant's own cost;
7.5 to pay all charges for electricity, water, telephone, telecommunication, and other utilities consumed and
utilized at the Unit during the Rental Term; and
7.6 to permit the Lessor or the Lessor's representative to, at reasonable times and upon prior appointment with
the Tenant, enter the Unit for inspection.
8. Termination
8.1 Unless specified otherwise in this Agreement, if a Party fails to perform his or her obligation under this
Agreement (the "Defaulting Party"), the other Party (the "Non-Defaulting Party") shall be entitled to
notify the Defaulting Party in writing to rectify such breach within 30 days. If the Defaulting Party fails to
rectify this breach within the given period, the Non-Defaulting Party will be entitled to terminate this
Agreement immediately by giving written notice to the Defaulting Party. In such case, the following terms
shall apply as compensation:
a. If the Defaulting Party is the Lessor, the Lessor shall return the Security Deposit to the Tenant in full and
pay an additional amount equivalent to the Security Deposit as a penalty.
b. If the Defaulting Party is the Tenant, the Lessor shall be entitled to keep the Security Deposit.
8.2 If any of the following events occurs during the Rental Term without the Lessor's fault, this Agreement shall
automatically terminate, and the Lessor shall not be required to refund any proportion of the rent to the
Tenant:
a. the Unit or the condominium project being destroyed, damaged beyond repair, or permanently rendered
unfit for normal use; or
b. expropriation of the Unit or the condominium project by the competent authorities.

9. Return of the Unit
9.1 Upon the Rental Term expires or the termination of this Agreement, the Tenant must:
a. remove all the Tenant's mobile articles, property, and belongings in the Unit, and vacate and arrange
for all the Tenant's dependents to vacate from the Unit; and
b. reinstate and clean up the Unit as reasonably practical to the state that existed as of the commencement
of the Rental Term, fair wear and tear excepted, and return the Unit to Lessor on the Rental Term's
expiry date or, in the case of termination, within [30] (thirty) days from the termination date.
9.2 If the Tenant has notified the Lessor of the intention to renew the Rental pursuant to Clause 2.2, the Tenant
will not need to perform the obligations under Clause 8.1, until the expiry or termination of the renewed
Rental term.
10. Confidentiality
The Parties shall keep this Agreement, the discussions or negotiations contemplated under this Agreement, and all
documents and information received from each other confidential, unless required otherwise by the laws, regulations,
or orders of any governmental authority to which any Party is subject, or for the Rental registration with the competent
land registry office. The Parties can only disclose confidential information to their agents, employees, professional
consultants, or advisors on a need-to-know basis, and these persons must be subject to confidentiality obligations
(whether written or implied), and the Party so disclosing the confidential information must ensure that the recipient
complies with those confidentiality obligations.
11. Miscellaneous
11.1 This Agreement contains the entire agreement between the Parties as to their subject matter and supersedes
any previous negotiations or agreements, whether in any form, between the Parties relating to their subject
matter.
11.2 If any provision of this Agreement is or becomes invalid or illegal, it shall be deemed to be severed from this
Agreement, but the validity, legality, and enforceability of the remaining provisions of this Agreement shall not
be affected or impaired by the invalid or illegal provision.
11.3 This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and
which together shall constitute one and the same agreement.
11.4 This Agreement shall be governed by and construed in accordance with the laws of Thailand.
Execution
This Agreement is made in three counterparts. The Parties, having read this Agreement and understood its purpose
thoroughly, have hereunto set their hands in the presence of witnesses on the day, month, and year first written above.
