This has reference to your resignation letter, We wish to state that your resignation is accepted and
you are relieved on 15-July-2023.
Please find attached your Full and final settlement vide Cheque No. 014267 The calculation for your F
& F settlement is attached along with.
1. You shall not engage in conduct, or make statements or representations, that disparage or
otherwise tend to impair the reputation, goodwillor interests of the Company or the Employees
except as necessary to uphold regulations and the law;
2. You shall not be employed by or employ or enter into partnership with any person, who had been
associated with the company for the last one year from the date of your release from the
Company;
3. You shall not, either on your own account or in conjunction with or on behalf of any person, firm
or company solicit or endeavor to entice away from the Company any of its employee or
consultant whether or not such person would commit abreach of contract by reason of leaving
service or office;

5. Youshallnot in any manner provide or divulge any IPR or any information in any manner and form
whatsoever for the purpose of and/or relating to the rendering, seling, supplying, marketing or
distributing of products or services constituting part of the business of the Company including
rendering any assistance for the purpose of improving, modifying, upgrading or making any
betterment to any existing process, know-how, software methodology or technology whatsoever
for the purpose of and/or relating to the manufacturin8, selling, supplying, marketing or
distributing of the same whether or not the same is patented or proprietary or otherwise;
6. You shall not by any means and at any time use any information, whatsoever concerning the
business or the affairs of the Company which you may have got possess during the course of your
assignment with the Company in any manner which may cause loss or injury to the Company and
should you have come into possession of any confidential information, trade secrets or
7. Business methods you undertake irrevocably and unconditionally not to disclose these to any
other party at any time. The restrictions contained in this Paragraph shall not apply:
to any disckosure or use authorized by the Company or required by law or any regulatory
and/or licensing authority;
toany trade secrets, business methods or information which may lawfully have come into
the publicdomain; or
any disclosure required by an order issued by a court of competent jurisdiction.

You will not at any time after your termination present yourself to be held out or
presented as being
in any way connected with or interested in the business of the Company or directly or índirecty make,
publish or otherwise communicate any derogatory or defamatory statements whether in writing or
otherwise concerning the Company or any of its or their agents, consultants, directors, employees,
officers, shareholders or workers. While the restrictions set out above are considered to be reasonable
in all the circumstances it is agreed that if any one or more of such restrictions either taken by itself
or themselves together, are adjudged to go beyond what is reasonable in all the circumstances for the
protection of the legitimate interests of the Company but would be adjudged reasonable if any
particular restriction or restrictions were deleted or if any part or parts of its or their wording were
deleted, restricted or limited in a particular manner then the restrictions set out above will apply with
such deletions, restrictions or limitations as the case may be
This Release agreement shall be governed by and construed in accordance with the laws of Republic
of India and will be under exclusive jurisdiction of Courts ín Mumbai.
The Company has agreed to release the dues to the employee above in consideration of which the
Employees have agreed to sign this Release Agreement.
