LETTER OF APPOINTMENT

Dear Ms. Newshi,

This has reference to your application and subsequent interview you had with us, we are pleased to
welcome you in IMC family on the following below terms & conditions governing your employment with
us.

1-Rank:-
 You have been appointed with the company on January 05, 2022.
 You are currently appointed as Officer in Sales & E-commerce department. Your annual CTC is
Rs. 1.80 Lakhs (Rupees One Lakh Eighty Thousand Only) including all applicable allowances.
 Kindly refer to the Annexure-I as provided with offer letter for detail of the remuneration as
mutually agreed.
 Income tax and other taxes as applicable will be deducted from your salary.

2-Probation Period:-
 You will be initially on probation period for six months from the date of your joining in our
company. Management may at its sole discretion, extend the probation period or terminate
your services during the probation period. After completion of your probation period, your
services can be annulled by giving 30 days notice by either party.
 Unless an order in writing, confirming you on a post is passed expressly, you will not be deemed
to have been confirmed even though your training and/or probation period may have expired.
 You will be entitled to privilege Leave as per the leave rules in force.
 You shall be superannuated on attaining the age of 60 years.

3-Medical Fitness:-
 You will be required, at any time during your service, to appear before a medical officer
specified by the company.

4-Verification Report:-
 This appointment will subject to receipt of satisfactory verification of the particulars given by
you in your application form.
5-Duties and Responsibilities:-
 During your service period you will be required to submit every month / or as and when
required as per the instruction of your superior, a report reviewing your work, in which you may
also have to mention your suggestions/observations .
 You shall obey and carry out the orders and instructions of your superiors and /or the
authorized persons.

6-Obligations:-
 The company will expect you to work, in any department/section in which you are placed, with a
high standard of initiative, efficiency and economy.
 You will not seek membership of any local and public body whatsoever.
 You will be responsible for the company property, which may be in your use or in your custody.
While leaving the company, you shall handover such items to the company, failing which value
of such items will be deducted from your dues.
 You shall not during the continuance of your employment or thereafter without prior written
consent of the company, divulge, disclose, disseminate, publish or use any confidential
information which you may come across during your employment with us.

7-Secrecy:-
 You shall never take any paper books, drawing, files, photographs, instruments, apparatus,
documents or any other property of the company out of the work premises expect with the
written permission of the management nor shall you in any way pass or cause to be passed,
disclose or caused to be disclosed or make public any particulars or information regarding the
affairs of the company, its associates or its dealers / customers such as manufacturing process,
technical, know how, administration, organizational setup, operations, plans, security
arrangements and the intellectual property of the company etc. that you may come to know
/have in possession by virtue of your being associated with the company and you shall take all
reasonable precautions to keep such information secret either during your association with
company or thereafter, to any unauthorized person or outsider or to an employee under
suspension without the written permission of the management.

8-You shall immediately inform the management in writing about:-


 Any change in your Address & Phone Numbers (local or permanent)
 Any legal proceeding initiated by / against you /your family members in any court of law.
9-Posting / Transfer:-
 Your services are liable to be transferred/posted to any unit/branch and /or office whether at
existing or which may be set up forth in future at any time and at any place of India or abroad. In
such case, transfer shall not terminate or modify this agreement and you will continue to be
liable to comply with your obligations arising herein.
10-Other rules and regulations:-
 In all matters, not specifically provided herein, you will be subject to rules and regulations as laid
down in the standing orders of the company as may be in force from time to time at the place
where you may be working.
 In existing company rules & regulations, any amendment, modification, alteration and/or
addition will be binding on you.
 You agree to indemnify and keep indemnified the Company against all losses, damages, costs,
charges and expenses which the company may incur, suffer or sustain in the event of
committing a breach of any of the provision of this appointment letter.

11-Misconduct:-
 In case you are charged for any misconduct whatsoever, during your probation and /or service
period, you will be liable to be suspended without emoluments for such period as the
Management may deem fit. If the charges are proved against you, you will be liable for dismissal
for notwithstanding any clause of this appointment letter. If the company suffers any loss or
damage whatsoever due to your negligence, dishonest act, commission or omission by you or on
account of misappropriation or loss of any property, then you shall be liable to indemnify the
company.

12-Termination:-
 Notwithstanding any of the clauses of this letter of appointment, the management reserves the
right in its sole discretion of terminating this appointment without assessing any reason and
without notice during your probation period.
 During the probationary period or any extension thereof and /or service period, you can leave
the organization only by giving 30 days’ notice or one month’s basic salary in lieu thereof.
 In case of termination/resignation from your permanent services, both the parties can get
separated only by giving notice for one month or on payment of an amount equal to one month
of current basic pay.
 The company reserves the right to accept your resignation with effect from such date as it may
deem fit even before the expiry of the period of notice given by you.
 Notwithstanding anything contained herein above, the company shall have a right to terminate
your services, without notice or any compensation in lieu of,
i. breach of the terms and conditions of the organization,
ii. violation of any rules and regulations of falsification/suppression of any information
provided by you for the purpose of seeking employment with us.
iii. are guilty of conduct tending to bring yourself or the organization into disrepute; are
convicted of a criminal offence etc.
iv. are guilty to disclose or cause to be disclosed or make public any particulars or
information regarding the affairs of the company, its associates or its dealers/customers
such as business processes, technical know-how, administration, organizational setup,
operations, plans, security arrangements and the intellectual property of the company
etc.
v. are absent for a continuous period of 08 business days which has not been duly
authorized or approved by the organization.
vi. On termination/resignation of your employment, the company may deduct from any
sums then owing from it to you by way of salary or otherwise any sums owing from you
to the company.

 If at any time during the course of your employment with the company it is found that you have
made a false or an incomplete declaration regarding your qualifications/experience and any
other details provided by yourself to the organization will be treated as void ab initio and you
shall cease to be on the rolls of the organization with immediate effect. For the avoidance of
doubt, in such circumstances you shall not be entitled to any notice period of payment in lieu
thereof.
 In case you avail leave during the notice period, the notice period may be extended to that
extent at the discretion of the management.
 In the event you submit the letter of resignation, the same cannot be withdrawn unless so
permitted by the approving authority.

13-Interpretation:-
 On the question of interpretation of any provisions contained in present standing order and /or
in rules and regulations of the company made from time to time, the decision of the company in
this regard shall be final and binding upon you.

14- Jurisdiction:-
 This appointment agreement shall be governed in accordance with the laws of India and the
courts of Ludhiana shall have exclusive jurisdiction over any disputes between the executing
parties.

If you accept the above terms and conditions, you are requested to return the duplicate copy of this
letter of appointment duly signed by you as token of your acceptance.

This agreement comes into force from the date of your joining in the company.
