3. Party A’s divisions must show Party B’s technicians garment markers
and have their approvals before cutting.
6. One legal representative from Party B shall inspect goods during the
production process and before the delivery.
7. Party A’s divisions shall notify Party B and their technicians in order
to reinspect 2 days prior to the shipment; in case garments are
rejected after inspecting, their divisions shall have enough time to
repair and ensure the delivery date.
8. After the shipment has been completed, Party A’s divisions shall send
2 samples (in small size) for each type of product to Party B as
delivery samples.
9. According to agreements in the contract, in case Party A damages
the fabric provided by Party B's inspector or produces products that
do not comply with acceptable quality standards, Party A must pay for
expenses and ancillary materials that have the same value as the
invoice; quality standards are based upon the agreement; the design
is confirmed by Party B or inspectors (in this case, technicians shall
provide technical instructions).
D. Delivery
1. Delivery duration for each type of goods shall be determined within
30 to 45 days (depending on the quality of each item or processed
order) after Party A's divisions receive all raw materials or ancillary
accessories.
2. Party A shall notify Party B of the anticipated deadline to complete
the product. The completed products shall be ready for delivery 7
days before the anticipated duration.
3. For appointed Air Forwarder Schenker.
4. All original transport documents, including the original airway bill,
original certificate of origin, original commercial invoice, and packing
slip must be sent to Schenker at the time of the commencement of
the delivery.
E. Payment
All the payments shall be carried out by irrevocable L/C at sight. L/C must
be made 30 days before delivery.
F. Arbitration
Two parties shall settle all disputes arising in the time of fulfilment of
contractual liability by conciliation. If disputes and disagreements cannot be
settled by conciliation, they shall be solved by regulations of the
International Court of Arbitration (ICA) in a third country agreed by two
parties.
