Party B: Ellen LLC.

Hereinafter referred to as “Party B”.
A. The Contract
1. Party A shall be responsible for manufacturing garment products
specified in the contract or its annexes, which have been mutually
signed by both parties according to prevailing terms and conditions,
including the stated delivery time in this contract or its annexes.
2. Party A shall take responsibility for the time of delivery, given that all
raw materials shall be supplied by Party B to Hai Phong port at the
appropriate time prior to the commencement of new items’
production.
3. All production workshops in accordance with the order of Party A
must be approved by the inspection technicians from Steilman.

B. Raw Materials Source


1. Party B and Steilman’s inspectors shall take responsibility for
supplying all raw materials (textile/ pocket liner) and other garment
accessories in time for the commencement of production
accompanied by these auxiliary materials below:
- Textile materials 2%
- Zippers, shoulder pads, special labels 1.0%
- Buttons, collar pads
- Size tags, hangtags, thread 5.0%
- Other yet-to-be-listed auxiliary materials and wastage shall be
determined afterwards.
All textile materials and accessories as well as wastage
aforementioned shall be utilized as a replacement in case there is a
malfunction of products. The workshop shall keep superfluous fabrics
after all completed orders.
2. Party B shall take responsibility for sending import documents three
days prior to the arrival of the cargo ship/freighter as specified in
article A3 of this contract regarding its estimated time of arrival (ETA):
as soon as the materials are docked, Party A shall take responsibility
for the inquiry of import permit: tax exemption license, as well as
mobilizing goods from Customs to the factory within 10 days time.
3. Party A’s workshops shall inform Party B after all materials arrive,
both parties then shall coordinate to inspect goods inside the cartons
and bales within one week and prepare a delivery inspection report
signed by both parties, which is immediately forwarded to Party B.
4. Party A shall take responsibility for fabrics and accessories from the
receipt-receiving date to the delivery date and shall compensate
Party B for the exact value of the receipt if there is any loss or
damage. (except for majeure cases)

C. Guidelines for garment processing and quality standards

1. Party B shall supply prototypes, drafts, as well as detailed instructions


for sewing and paper patterns for Party A’s division/production plant,
from 5 to 7 days before Party B starts to produce each item or
purchase orders for the division to make garment samples.

2. Party A’s divisions have the responsibility to sew 3 samples following


exactly the instructions and the supplied garment sample, then send
them to Party B’s technicians for their evaluation.

3. Party A’s divisions must show Party B’s technicians garment markers
and have their approvals before cutting.

4. In advance of using more or less raw materials or lining fabrics and


accessories, technicians’ written consent before the cutting procedure
is a must; if not, Party B shall pay compensation when there is no
technician’s written consent aforesaid.

5. Any issues affecting samples and garment processes should be


announced to Party B’s technicians immediately before conducting
production stages.

6. One legal representative from Party B shall inspect goods during the
production process and before the delivery.

7. Party A’s divisions shall notify Party B and their technicians in order
to reinspect 2 days prior to the shipment; in case garments are
rejected after inspecting, their divisions shall have enough time to
repair and ensure the delivery date.

8. After the shipment has been completed, Party A’s divisions shall send
2 samples (in small size) for each type of product to Party B as
delivery samples.
9. According to agreements in the contract, in case Party A damages
the fabric provided by Party B's inspector or produces products that
do not comply with acceptable quality standards, Party A must pay for
expenses and ancillary materials that have the same value as the
invoice; quality standards are based upon the agreement; the design
is confirmed by Party B or inspectors (in this case, technicians shall
provide technical instructions).

D. Delivery
1. Delivery duration for each type of goods shall be determined within
30 to 45 days (depending on the quality of each item or processed
order) after Party A's divisions receive all raw materials or ancillary
accessories.
2. Party A shall notify Party B of the anticipated deadline to complete
the product. The completed products shall be ready for delivery 7
days before the anticipated duration.
3. For appointed Air Forwarder Schenker.
4. All original transport documents, including the original airway bill,
original certificate of origin, original commercial invoice, and packing
slip must be sent to Schenker at the time of the commencement of
the delivery.
E. Payment

All the payments shall be carried out by irrevocable L/C at sight. L/C must
be made 30 days before delivery.

F. Arbitration

Two parties shall settle all disputes arising in the time of fulfilment of
contractual liability by conciliation. If disputes and disagreements cannot be
settled by conciliation, they shall be solved by regulations of the
International Court of Arbitration (ICA) in a third country agreed by two
parties.

2. The arbitrator’s decision shall be the final jurisdiction.

Terms and conditions based on C.M.P shall be composed in English and


made into 6 copies. Each party keeps 3 copies with the same value and
takes effect from the signing date; Party A needs to send one copy for their
workshop for consideration.

This contract was made in Hanoi on August 15th.
