EXPORT AGREEMENT

This Export Agreement is entered into on 10/03/2023 by and between Sunmint

Electronics LLp, a company organized under the laws of India and having its
principal place of business at B-38,Sector-H,Aliganj, Lucknow,Uttar Pradesh-226024
referred to as "Exporter", and Duncan Taylor VN Co. Ltd., a company organized
under the laws of Vietnam and having its principal place of business at 74A2 Hai Ba
Trung,Ben Nghe Ward, District 1, Ho Chi Minh City, Vietnam referred to as
"Importer".

RECITALS

WHEREAS, Exporter is engaged in the manufacture and sale of dispensers and

desires to export such dispensers to Importer; and

WHEREAS, Importers desire to purchase dispensers from Exporters for import into
Vietnam.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth
below, Exporter and Importer agree as follows:

1. Products. Exporter agrees to sell and deliver to Importer, and Importer

agrees to purchase and accept from Exporter, the following products (the
"Products"):
● Smart cask with Electronics fitting
● Cartridge
● Smart stand with accessories Box
2. Price. The price of the Products shall be 60.93 USD per unit, FOB
Tughlakabad (TKD) Port,Delhi, India. Payment shall be made in United
States dollars.
3. Delivery. Exporter shall deliver the Products to the carrier at the port of
export, and Importer shall be responsible for arranging for the
transportation of the Products from the port of export to the port of import
in Vietnam.
4. Payment. Payment for the Products shall be made as follows: Payment
against delivery Delivered duty unpaid to the port importer specified[Insert
payment terms, such as 30% advance payment and 70% payment upon
delivery].
5. Inspection. Importers shall have the right to inspect the Products prior to
shipment, and may reject any Products that do not meet the agreed-upon
specifications.
6. Title and Risk of Loss. Title to the Products shall pass to the Importer upon
delivery to the carrier at the port of export. Risk of loss shall pass to
Importer upon delivery to the carrier at the port of export.
7. Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of India.
8. Entire Agreement. This Agreement constitutes the entire agreement
between Exporter and Importer and supersedes all prior negotiations,
understandings, and agreements between the parties.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date
first above written.
