DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE (the “Deed”), made and entered into this day ____ day of
__________ 2022 by and between:

AIR LIQUIDE PIPELINE UTILITIES SERVICES (ALPLUS), INC., a

corporation organized and existing under the laws of the Philippines,
with principal office address at Lot 15 & 16, Block 2, Calamba Premiere
International Park, Brgy Batino, Calamba, Laguna, represented in this
act by MR. SON THANH NGUYEN, in his capacity as President and
CEO, hereinafter referred to as “VENDOR”;

AIR LIQUIDE PHILS. INC., a corporation organized and existing under

the laws of the Philippines, with principal office address at 12 Floor,
Ecotower Building, 32nd Street corner 9th Ave., Bonifacio Global City,
Taguig City, represented in this act by MS. ABIGAIL M. KARGANILLA,
in her capacity as Head of Finance, hereinafter referred to as
“VENDEE”;

WITNESSETH: That –

PESOS ONLY (Php 20,000.00), Philippine Currency, (VAT inclusive), receipt whereof in
full is hereby acknowledged to VENDOR’s entire and complete satisfaction, VENDOR
has sold, transferred, ceded and conveyed as it hereby sells, transfers, cedes and
conveys the aforementioned equipment in favor of the VENDEE, his heirs, administrator,
executors, successors and assigns.
 IN WITNESS WHEREOF, the parties hereto, through their duly authorized
