DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

I, SUSANA T. IPAPO, widow, of legal age, Filipino and residing at 0133


Banlic, Cabuyao, Laguna, hereinafter called the Seller

-and-
YIHUA PHILIPPINES GROUP INC., a corporation established and
existing under the laws of the Republic of the Philippines, with business address
at 8th Floor, IMET BPO, Metropolitan Park, Roxas Blvd., Pasay City, represented
herein by its President, Wang Liduan, hereinafter called the “BUYER”;

WITNESSETH: THAT --

WHEREAS, the SELLER is the owner in fee simple of a parcel of land,


which parcel of land is briefly described as follows, to wit:

Corresponding full and complete technical descriptions of the lot subject


matter of sale is attached herein as Annex “A”, and, made an integral part
hereof;

WHEREAS, the SELLER has offered to sell and the BUYER has agreed
to buy the above-mentioned lot amounting to FOUR MILLION PESOS
(P4,000,000.00) PESOS, Philippine currency.

NOW, THEREFORE, for and in consideration of the sum of FOUR


MILLION PESOS (P4,000,000.00), Philippine currency, the SELLER hereby
SELLS, TRANSFERS and CONVEYS unto the BUYER by way of
ABSOLUTE SALE, the above-mentioned lot, as well as any and all rights
and interests appertaining thereto.

MOREOVER, the above-mentioned property is my own exclusive


paraphernal property, hence, the signature of my Husband is not needed nor
required pursuant to Articles 109; 110 & 111 of the Family Code of The
Philippines. As proof of acquisition and ownership of the lot, being
paraphernal in nature, attached herein as Annex “B” and made an integral
part hereof is a copy of my AFFIDAVIT;

That I hereby warrant my title over the parcel of land above-described,


with full right to dispose of the same, free from all liens and encumbrances.
