Grupo Avante (indistinctively “Landlord or Avante”) is pleased to present you an INDICATIVE Lease
Proposal for your client EuropTec (indistinctively “Tenant or EuropTec”).

All additional Tenant improvements regardless the


party appointed by tenant for construction shall be
approved and reviewed by Landlord.

Lease Contract This lease contract shall be signed under


arbitration which follows rules of court procedure.

Renewal Options (2) Two (5) Five Years Extension-Renewal Options


with a (6) Six month previous written notice to
Landlord.

Rent Escalation Annual Rent Escalation will be as per US-CPI with a


minimum of 3.5% Rent Escalation for Renewal
period.

Guaranty of the Lease Corporate Guaranty accepted by Landlord or Letter


of Credit.

Security Deposit TBD once we analyze last three years audited


financial statements. The Security Deposit shall be
adjusted on a yearly basis according to the above
included “Rent Escalation “clause”.

Advanced Rent (1) One month to be deposited at Lease execution


date

Holdover If at the end of the Lease Term Tenant decides not


to continue leasing the property, Tenant shall
inform Landlord in a written form within a 180 (one
hundred and eighty) day prior notice before the
end of the lease term. If Tenant does not vacate the
Premises thirty (30) days after the end of the lease
term, a Holdover penalty (“Penalty”) of 200% will
be applied until delivery of the space by Tenant to
Landlord. Tenant permanence in the Premises in
no case shall be interpreted as a contract renewal
or Landlord’s acceptance of any change to lease
conditions.

Brokerage Tenant has appointed Roberto Odriozola as its


only broker involved on this transaction and

Landlord acknowledge such representation.


Roberto Odriozola and Landlord shall sign a
brokerage Commission Agreement as part of this
transaction.

Insurance Landlord shall insure the main Building and collect


primes from Tenant. Tenant is responsible for the
insurance of all Tenant’s and Landlord’s
equipment, loss of future rents, general liability
(minimum amount to be indicated by Landlord).

Right to Assign of Sublease Tenant shall have the right to assign or sublet all or
any portion of the premises during the initial term
and any renewal terms with Landlord’s prior
consent and only if Tenant remains liable for
Tenant’s obligations after such assignment or
sublet and if the activities on the premises are
those approved by Landlord, and the Letter of
credit remain fully in force. Landlord will not be
entitled to profit participation or recapture.

Permitted Use Premises may legally be used by Tenant for


general warehousing and light manufacturing
activities.

Structural and Latent Defects Landlord shall be responsible, at its cost to repair
any structural and/or latent defects in the building
over the primary term of the lease and any renewal
term(s). If the latent defect has been caused by
tenant, tenant shall be responsible for payment of
all required repairs and/or maintenances.

Roofing Tenant shall be responsible for the maintenance of


roofing system during the term of the lease and its
renewal terms. Landlord is responsible of any
structural defect related to roofing. If no alterations,
modifications and/or repairs to Roofing System
have been caused by Tenant, then any leaks shall
be at Landlord’s sole cost and expense.

Floor Slab Tenant is responsible for the maintenance and


replacement of the floor in case of deterioration
during the term of the lease and its renewal terms.
Landlord is responsible of any structural defect
related to Floor, unless those defects were
consequence of tenant’s inappropriate or non-

authorized use of the facilities and or Flor Slab


according with the Lease Agreement.

Landlord Responsibility Structural components: foundation, floor,


structure, exterior walls unless those defects were
consequence of tenant’s inappropriate or non-
authorized use of the facilities or lack of
maintenance.

Tenant Responsibility All other interior and exterior routine and


preventative maintenance and repairs as specified
in the “periodic maintenance program”, including
but not limited to landscape, building, paving,
water and sewer pipes etc.

Warranties In addition to Landlord’s Responsibility, Landlord


shall transfer to Tenant all warrants received by
contractors and vendors related to equipment,
mechanical and other building features requested
by Tenant and others installed by Landlord, being
understood that Tenant shall be responsible to
provide the maintenance programs requested by
contractors and vendors.

Surrender of Current Premises / At the end of the term, Tenant may restore the
Restoration building in the same conditions as it had on the
Substantial Completion Date, including
Environmental Conditions, except for the regular
and reasonable wear and tear. At the end of the
lease Tenant shall provide Landlord a Phase I or
Phase II (if required) environmental study
performed by a mutually agreed consultant.

Signage Rights Tenant shall provide a proposal for Landlord


authorization, which shall not be withheld if it is
according to the Construction and Operations
Regulations of the Industrial Park.

Default Notice & Cure Provision Tenant may have a fifteen (15) natural day cure
period in case of tenant’s default after receiving a
written notice.

Utilities
Is Tenant’s responsibility the initial connection, all consumptions and hookup fees.

Electricity: 1,500 KVAs available to sublease to EuropTec. To be contracted by Tenant with CFE,
special works required by CFE also will be carried by Tenant.
Water and Sewer: Available at property line. Landlord shall connect the water pipe and drainage
inside the property for domestic consumption in bathrooms, cafeteria, and drinking fountains
(water shall be provided by Landlord). Drainage must be contracted by Tenant directly with
Servicios de Agua y Drenaje de Monterrey.
Gas: Available at property line.
Telecommunications: To be contracted by Tenant directly with carrier. Avante shall provide
support to Tenant in coordination with carrier to ensure connection availability.

Quotation Disclaimer

Due to the economic volatility of construction costs and supplies such as labor, steel, cement,
concrete and others, plus the uncertainty of general economic conditions, this is an indicative
economic proposal. This quotation will expire on January 23rd, 2024.

All the dates and times referred on this proposal are based under normal conditions, however, as a result of the COVID-19
pandemic and other pandemic, if the constructions permits and execution of the relating works have been cancelled or
suspended by the Federal, State and/or Local authorities until new notice, Avante does not assume any liability or responsibility
of any kind regarding the execution and delivery times of the premises including but not limited to improvements, facilities, or
any other referred in this document.

Building Specifications

Dimensions Area w/o exterior rooms: 7,729.06 square meters


(83,194.91 Sq.Ft.).

Foundations All structural concrete elements are built with a fˈc=250


kg/cm2 (3,555 psi) resistance.

Building Structure Steel structure made of rigid frames and joist beams
with structural steel A-36 and A-50.
Design loads per local codes.
Single Slope Roof, made with KR-18 (SSR) metal sheet
gauge 24, 5.01% one-way slope, insulated with a 6.0” fiber
glass R-19.

8 mm polycarbonate skylights on a 5% roof area


(average) is considered. Includes catwalks and lifelines.
Minimum free height is 32ˈ (9.76 m).
Lightning rod system.
Preparations for crane or other items are not included on
building structure.

Building Walls 13 cm (5.11”) solid pre-cast walls; fˈc=250 kg/cm2 (3,555 psi)
reinforced with electro welded wire mesh.

Floor Slab 15 cm (6.0”) thick floor; MR= 45 kg/cm2 reinforced with


polypropylene fiber FF=35 and FL=30 flatness.

Docks and Vehicular Ramp (1) One vehicular ramp, 4.058 m width and 18.00 m long.
Equipped with a 12´x14´ manual operation roll up door.

(6) Six 9ˈx10ˈ docks equipped with a mechanical


operation leveling ramp with dimensions of 6ˈx8ˈ with a
30,000 lbs. capability Kelley or Poweramp brand;
manually operated sectional insulated door Amarr
brand or similar.

Complementary dock equipment, (1 set per dock):

• Dock fan and arm light.

Pavements Asphalt pavement for light traffic, 5.00 cm thick.


Asphalt pavement for heavy traffic, 7.50 cm thick.
Concrete pads (dock area), 22 cm thick floor; MR= 42
kg/cm2 reinforced with electro welded wire mesh 66-
1010, stripe finished.

Perimeter Fencing Galvanized steel fence (DeAcero fence), 2.50 m height in


back and lateral sides of the premises.

Bus Drop 7cm thick asphalt paving for bus parking according to
area shown in drawing.

Exterior Rooms (Electrical, waste and 6” concrete pad, concrete f´c 250 kg/cm2, metallic single
pump room) sheet roof gauge 24, free height 14´, 8” CMU walls, 1
metallic louver (1.20 m x 1.50 m) and manual louver gate
in the front. Measures according to layout.
Electrical rooms include a dedicated grounding system.

Guard House (1) One guard house, 10.20 m2 area, made by CMU walls
concrete roof, LED lighting, electrical outlets, voice and

Tenant Improvement

Ventilation System A 4 Changes Per Hour ventilation system provided by


wall extractors and louvers, electrical feeding and testing
is included.

Lighting Manufacturing area Lighting: 30 ftcndl (average,


mounting height: 9m).
Exterior Lighting: 1.5 ftcndl (average) provided by
wallpacks and poles.
All lighting is proposed by LED type provided according
to lighting survey and final layout.

Offices 200 sqm for Offices, ground floor area, made by gypsum
board interior walls insulated with 2.5” glass fiber, 2´x 2´
modular false ceiling, 50 fc average LED lighting,
electrical outlets, voice and data conduits (does not
include IT wiring) national ceramic tile on floor and
restrooms walls, enamel painted partitions, exhausting
system (does not include HVAC in restrooms) and
metallic / semi solid wood doors. Includes: perimeter wall
fabricated by CMU. HVAC by package or minisplit units
according to HVAC survey, Midea brand.

* Additional equipment for Cafeteria as kitchenette, cold


rooms preparations, food server accessories or any other
item non-mentioned is not included.

Transformers (1) One 1,500 KVA transformer Continental brand, 480


volts, 3 phase electrical service with main switchgear and
accessories.

Fire Protection System (Hoses) A dedicated Fire Protection System based on hoses
according to Protección Civil del Estado de Nuevo León
criteria is included and as the following items:

Basic hose system for whole building area:

Real Estate Administration Fee (CAM Fee) Fee shall be paid by Tenant after the Beneficial
Occupancy.
Regular Property Maintenance:
Tenant is responsible for the maintenance of the property according to Avante’s Standards and
operating procedures.
