LETTER OF INTENT

With reference to the matter, RICHEESE FACTORY MALAYSIA SDN. BHD. (“RFM”) hereby
express our intention to rent the Demised Premises above, on the following terms and
conditions:

attached herewith (subject to final measurement of RFM).

Supporting Facilities and : TPN 200 Amp (100 Amp/Unit)


Utilities
Proposed Use Fast Food restaurant (Fried Chicken Category) under the
trade name of “Richeese Factory” and/or other trade
names under RFM and/or its affiliation.

Terms of Tenancy : 3 years from Rent Commencement Date (“Fixed Term”).

Option to Renew : a. Two (2) term of Three (3) years each, subject to the
receipt of a written request from RFM, made not less
than Six (6) months before the expiration of the current
Term.
b. Renewal Rate of Rent At the prevailing market rate but
not more than ten percent (10%) of the last preceding
rental.
c. The Land Lord grants RFM the option and priority right
to renew the Tenancy Agreement.

Monthly Rental : RM 7,000/month (RM 3,500/Unit)

Government Tax : The Monthly Rent is inclusive of any tax levies (including but
not limited to land and building Tax) payable by the Landlord
at the prevailing rates that may be imposed by the
Government of Malaysia or any relevant authority from time
to time.

Hand Over Date : Delivery of vacant possession shall be on 1st February 2024
.
Fit-out/renovation Period : 2 Months from Hand Over Date

During the Fit-Out/renovation Period, no rent shall be


payable by RFM.

Business Commencement : No later than seven (7) days after renovation is completed

through a mutual negotiation

Rent Commencement : Same as Business Commencement Date


Date

Signage and Advertising : a. The Landlord shall grant RFM space for signs,
Media nameplates, promotion devices, and other advertising
devices inside and outside of the building.

b. RFM to adhere at its own cost the requirement of
relevant authorities and responsible for safety of other
tenant and the public.

Warranties : a. The Landlord warrants that the Demised Premises is not


in the possession of another party, and there is no claim,
lawsuit, demands, actions, proceedings, prosecutions,
fines, penalties that can cause any loss and/or damage
to RFM.

b. The Landlord shall hold harmless and indemnify RFM


fully from and against all claims, demands, actions,
proceedings, prosecutions, fines, penalties, costs,
expenses, liabilities, damages and losses whatsoever
arising out of the breach by the Landlord of this contract.

c. Notwithstanding the provisions in point b, Landlord shall


be liable for all RFM claims, liabilities, fines, damages,
penalties, suits, compensation and expenses of all kinds
or nature, including reasonable attorneys’ fees and
disbursements (“Losses”) arising from:
(i) any activity done, permitted or suffered by Tenant
or about the Demised Premises thru the actions,
fault or negligence of the Landlord;
(ii) any act, neglect, fault, wilful misconduct or omission
of Landlord’s or from any breach or default in the
terms of this tenancy by Landlord;
(iii) any action taken to termination of the Tenancy by
Landlord’s involving Tenant’s cost related with the
tenancy; and
(iv) any action or proceeding brought on account of any
matter in items (i), (ii) or (iii).

Termination : a. The tenancy will terminate automatically upon expiration


of the terms of tenancy or upon early termination.

b. RFM shall surrender the Demised Premises to the


Landlord as its original condition at the latest at thirty
(30) days of the expiry of the tenancy Period or in the
event of early termination.

c. During this Period, RFM has been exempt from the Rent
and shall only obliged to pay the Utility Charges based
on the usage.

d. for the avoidance of doubt, the original condition shall


be the condition at the time of hand over at the
beginning of the rental, or any other condition as agreed
by both parties.

Confidentiality : a. Both Parties and/or its agents, servants, invitees,


licensees and contractors shall keep with complete

secrecy all information relating to the terms and
conditions of this Letter of Intent in respect of the
Tenancy Agreement and/or any variation thereof and/or
information whatsoever concerning the rate of monthly
rental and shall not reveal or disclose to any person
persons or company any such information.

b. This restriction shall continue to apply after the


termination of the tenancy without limit in point in time
but shall cease apply to information or knowledge which
may come into public domain.

Insurance : during tenancy period, the landlord must guarantee the


availability of insurance on the Demised Premises (including
but not limited to building insurance against fire).

Tenancy Agreement : RFM shall prepare the Tenancy Agreement, a draft will be
forwarded to the Landlord. Each party shall bear its own
solicitor’s cost (if any), but the stamp duty shall be borne by
the Tenant.

Upon the draft received by the Landlord, the Landlord must


execute the Tenancy Agreement within 30 calendar days at
the latest.

Payment Transfer Details : All Payments, conducted by the RFM shall be paid to:

Special Condition : a. The Landlord shall provide:


1) Sale and purchase agreement
2) if the landlord is a company:
 Super form
 SSM form 9 (If under company name)
 First company secretary appointment form;
 section - 78 - share of allotment;
 Copy IC of Director
3) Copy IC of the landlord (If the Landlord is a personal)
4) Latest Quit Rent of Premise that has been Paid
5) Latest assessment receipt pf the Premise that has
been paid

b. The Landlord agrees for the Tenant to move the toilet


without having to return original condition.

c. No Relocation during the Terms of Tenancy and its


renewal.

d. Advance Rental and Deposits

Advance Rental : RM 3,500.00
Security Deposit : RM 10,500.00
Utility Deposit : RM 1,500.00
Renovation Deposit : RM 7,000.00.
Total : RM 22,500.00

1) RFM shall pay the 50% of the Deposit, upon the


Landlord’s acceptant of this Letter of Intent.
2) RFM shall pay the 50% of the Deposit, upon the
execution of Tenancy Agreement.
3) The Landlord shall, within thirty (30) days of
completion of the renovation, return the Renovation
Deposit to the RFM, without interest.

If the Landlord is agreeable to the Terms and Conditions stated above, the Landlord shall
indicate acceptance by executing the Acceptance Page of this Letter of Intent and returning
the duly executed Letter of Intent to RFM.
