The terms and conditions of the Anaplan SaaS Subscription


Agreement ("SSA") are specifically tailored to describe our unique Connected Planning cloud-based platform. We have
taken care to draft the SSA with complete, fair, and balanced terms - with the goal of making them acceptable as-is so that
we can provision your services quickly, helping you to meet your business objectives. This summary is intended to be used
as a guide in understanding how the nature of our service informs our position on some of the more important terms and
conditions found in the SSA.

What is the Anaplan Service and Anaplan’s business model?


Anaplan offers a business planning enterprise platform, which is a SaaS-based service offered on a one-to-many basis. As such,
please take note of the following:

• The Anaplan Service, Availability SLA, Support and Data Security policies are standardized so that we can comply with
our obligations, mitigate risk, facilitate automation and drive efficiency. As such, these operational business practices
are not customizable for individual client subscribers.
• Because we operate on a subscription basis, our business model does not allow for your mid-term reduction of
subscriptions, cancellations, or early termination, except in the case of our uncured material breach.
• If we perform professional services, it is for consulting purposes only and not performed as work-for-hire. Specifically,
Anaplan does not create any deliverables for customers that are subject to IP ownership transfer unless otherwise
agreed in an applicable Statement of Work.
• Because the Anaplan Service is a SaaS offering, we cannot accommodate requests for "acceptance testing." Before
subscribing, please determine if the Anaplan Service meets your business needs.
• Order Schedules are governed by the SSA and may have usage limits (number of users, amounts of storage, applicable
Edition of the Anaplan Service, etc.) depending on how you purchase and consume the Anaplan Service. The length of
your subscription term and the number of licenses you purchase are commercial terms that impact your quoted price.
• The scope of indemnities and the limitations of liabilities we provide reflect our one-to-many business model and
anticipate your acceptance of our standard SSA terms. Any requests to alter those allocations of risk may impact your
quoted price.
• Limited warranties, together with adequate remedies in the event of a breach, are provided to customers on a “sole and
exclusive” basis. The remedies and relief available to customers are appropriate and aligned with industry practice.
• Choice of governing law is strictly limited to those applicable laws/jurisdictions as set out in the SSA. Such restriction is
based upon our key business markets and risk mitigation strategy.
• Payment terms are net 30 days with all customers globally. Only in exceptional circumstances shall we deviate from this
standard.

Who has access to my data?


Each customer is provisioned with their own workspace, over which they are granted administrative control. This means you
control to whom you grant user names and passwords. Unless you grant log-in credentials, third parties do not have access to
your data. This includes Anaplan itself. We do not have access to your data unless you grant it to us.

The platform does collect and aggregate data for purposes of operating, monitoring performance of, and improving the
Anaplan Service (measuring lag times, for example). All such data is anonymized and does not reveal any client’s specific data,
confidential information, or personal information of users.

We take data security very seriously and will process your data in accordance with your instructions and in compliance with the
GDPR where applicable. We will enter in to our Data Processing Addendum (DPA) upon request. As the Data Processor, we
must have DPA terms that are consistent with our one-to-many model, and we cannot accommodate potentially conflicting
terms from individual client subscribers’ forms of DPA.

Please note that our service is generally not designed to accept highly sensitive data, (such as government-issued ID numbers,
consumer financial account information, personal health information, or other “sensitive information” as defined under
applicable law).

At the end of your subscription term, you will be responsible for retrieving and/or deleting your own data (it is a self-service
process). Since we do not have access to your data, we cannot assist you with its retrieval; the export process is very simple
and involves a drop-down menu item in the user interface of the Anaplan Service. Your data will be available in the standard
export formats as supported by the Anaplan Service (which essentially are the same as those that Anaplan uploads support).
