NOW, THIS DEED WITNESSETH as follows:

1. NAME OF THE FIRM: The partners hereto agree to carry on the business of real estate broking
under the name and style of "Property Search."

2. NATURE OF BUSINESS: The business of the rm shall include real estate broking
encompassing retail, mandate, and construction.

3. CAPITAL CONTRIBUTION: Party of the Second Part shall contribute an amount of INR
50,00,000 (Fifty Lakhs) towards the initial capital for the commencement of the business. This
amount is intended to cover the approximate expenses for the rst six months. Upon the
realization of pro ts, Party of the Second Part reserves the right to withdraw their contributed
amount.

4. TRANSFER OF EXISTING BUSINESS: All existing businesses related to real estate currently
held by Party of the First Part or Party of the Second Part shall automatically be transferred to the
partnership rm "Property Search" e ective from January 15.

5. SALARY WITHDRAWAL: Party of the First Part shall be entitled to withdraw a monthly salary
of INR 2,00,000 (Two Lakhs) from the rm.

6. PROFIT AND LOSS SHARING: Pro ts generated by the business after deducting all
operational expenses shall be shared equally between the partners. In the event of losses
occurring within the rst six months, Party of the Second Part shall bear the losses, and
thereafter, pro ts and losses shall be shared equally.

7. BUSINESS CONDUCT: Both parties agree not to engage in any real estate broking business
outside of the partnership. In the case of misconduct by either party, the other party reserves the
right to dissolve the partnership.

8. BUSINESS STRATEGY:
a. Retail: The rm shall establish tie-ups with major builders in Mumbai and Navi Mumbai for
new business opportunities.
b. Mandate: Both parties commit to providing 100% support for acquiring new projects in the
mandate business.
c. Construction: Prospective construction projects shall be discussed jointly, and if either party
is uninterested, a No Objection Certi cate (NOC) shall be given for pursuing other options in the
market.

IN WITNESS WHEREOF, the parties hereto have executed this Partnership Deed on the day and
