P-Card Cardholder User Agreement

You are being entrusted with a Chipotle Mexican Grill Purchasing Credit Card (P-Card), issued by Citibank.
The Card is provided to you based on your need to purchase materials or travel related to business for
Chipotle Mexican Grill. It is not an entitlement nor is it reflective of title or position. The Card may be
revoked at any time without your permission. Your signature below indicates that you have read and will
comply with the terms of this Agreement.

1. I understand that I will be making financial commitments on behalf of Chipotle Mexican Grill and will
strive to obtain the best value for Chipotle Mexican Grill.

2. Failure to comply with this Agreement may result in either revocation of my use privileges or other
corrective action, up to and including termination.

3. I understand that under no circumstances will I use the P-Card to make personal purchases, either
for myself or for others. Using the P-Card for personal charges could be considered
misappropriation of Chipotle Mexican Grill funds and could result in corrective action, up to and
including termination of employment.

4. I agree that should I violate the terms of this Agreement and use the P-Card for personal use or gain,
I will reimburse Chipotle Mexican Grill for all incurred charges and any fees related to the collection
of those charges.

5. I understand that if I have any out of pocket expenses submitted for reimbursement and used the P-Card
for personal use or gain, the out of pocket expenses will offset the amount I owe Chipotle Mexican Grill
and I will not be reimbursed that amount.

6. The P-Card is issued in my name. I will not allow any other person to use the P-Card. I am
considered responsible for any and all charges against the P-Card.

7. The P-Card is company property. As such, I understand that I may be periodically required to comply
with internal control procedures designed to protect Chipotle Mexican Grill assets. This may include
being asked to produce the P-Card to validate its existence and account number.

8. If the P-Card is lost or stolen, I will immediately notify Citibank by telephone at (800) 248-4553 (US
Cardholders) or (888) 834-2484 (Canada Cardholders) and the P-Card Coordinator at
travelexpense@chipotle.com.

9. I will receive a monthly statement, which will report all purchasing activity during the statement
period. Because I am responsible for all charges (but not for payments) on the card, I will reconcile
the statement and resolve any discrepancies by either contacting Citibank or the P-Card Processor.

10. I agree to surrender the P-Card immediately upon termination of employment, whether termination
is voluntary or involuntary.

11. I have received and read the expense report policy and agree to its terms.
