This agreement is made on 17thMay 2021 at Vadodara.

BETWEEN
M/s. Patel Infrastructure Ltd having its Office at “Patel House” ,Beside Prakruti Resort, Chhani
Road, Chhani, Vadodara - 391740, which will be represented by its hereinafter called “The
Company”, which expression shall mean and include its representative's successors, assignees on
ONE PART.
AND
M/s. Ashal Ramjibhai Tejrambhai having Registered Office Brahman Vas, At-Khardol, Po.
Asara, Tal. Vav, Dist. Banaskantha-385575 represented by herein called “The Contractor” which
expression means and include his heirs, executors, administrators and assignees of the OTHER
PART .
The Company and The Contractor are hereinafter individually referred to as “Party" and
collectively as "the Parties".
WHEREAS, the Company is engaged in business of established construction, development and
maintenance service company mainly involved in the business framework of construction of
roads and highways, bridges, irrigation and mining projects, construction of commercial
buildings, and other ancillary services like toll collection, operation and maintenance of
highways.
AND, WHEREAS, the Contractor has the expertise of providing Industrial Catering services and
has approached for providing such services to the Company for its project location at DVE-30
i.e. Delhi - Vadodara Expressway, Package - 30 project and the Company has accepted the offer
as per terms and conditions here in below.
NOW THIS DEED WITNESSETH AS UNDER

1. That, the agreement between the parties is and shall be purely contractual for a fixed period.
It is further agreed and understood that this agreement is on principal-to-principal basis and
neither is nor shall project itself to be an agent of the other. As a corollary, the Company
shall not enter into any verbal or written commitment with any third party.
2. That, this contract is valid from 1st June 2021 to 31st May, 2022.
3. That, the contract period can be further extended/renewed for such period and on such terms
and conditions as may be mutually agreed to at the time of renewal by both the parties.
4. That, Company has agreed to pay for the services on monthly basis once the Contractor
raises the invoice and Payment to be made within 10-15 days of raising invoice. The
payment to be made as per the agreed price Rs. 85/- Per Head (Break Fast Rs. 17/-, Lunch
Rs. 34/- & Dinner Rs. 34/-) mentioned in Annexure 1 (Copy enclosed). The details of
Contractor of PAN and GST are PAN. No AMYPA2349G and GST.No.
24AMYPA2349G1Z0.
5. The payment should be made through RTGS system. AIC no: 049705016986 IFSC Code :
ICIC0000497 Bank : ICICI BANK.
6. The Contractor will provide the following services to the Company:
a) Scope of Work and other Condition: Preparing of food to the Company’s employees and
guests, and utility services related to crockery/cutlery/equipment.
b) The Ashal Ramjibhai Tejrambhai Contractor staff shall be allowed to stay at the Company
Campus / Kitchen for preparing and serving the food (Breakfast/Lunch/Dinner) for
Company Employees.
c) The Contractor shall be solely responsible for overall control and supervision of the
manpower deployed by him in the premises of the company.
d) The Contractor shall decide the menu in consultation with the company representative and
the items in the menu will be decided keeping in mind the cost, availability and preferences.
e) The food is to be prepared and distributed by persons being medically fit without any
ailment whereby no disease is spread during preparation or serving the food.
f) If number of people falls ill due to consumption of food, all medical expenses including
hospitalization and treatment thereof would be responsibility of the Contractor.
g) The contractor will maintain cleanliness of area of company utilized after distribution of
food.
h) The rates arrived at during the contract would be final and no change of rates will be
initiated, regardless of escalation in commodity prices.
i) The contractor will submit registration certificate, GST No, and other legal documents
necessary for the running the food services.
j) All provisions of legal/statutory compliance towards payment of staff ie, PF, ESIC, will be
complied by the contractor.

k) The Company will provide the following services to the Contractor:
- Electricity, Kitchen or Pantry area along with drainage
- Drinking and Washing water
- Storage Facility
l) Plate Count: There is no minimum plate count. it would be as per actual consumption at the
Camp. A representative from Patel Infrastructure Ltd to inform Ashal Ramjibhai
Tejrambhai, on an estimated plate count in advance for Ashal Ramjibhai Tejrambhai
Contractor to be better prepared. However, the payment will be considered as per the actual
plate count.
7. The contractor solely responsible for discharging all statutory obligations arising out of this
contract including insurance, PF, Health and such other benefits as are mandatory under
labour enactments including due payments to the persons engaged by contractor. Contractor
shall also be responsible for safety of its workers. In the event of any failure of the
contractor as regard any of the statutory or legal compliances, the contractor shall indemnify
and hold the Company harmless against and from the consequences of any such failure.
8. Required crockery/cutlery/equipment’s/Bain-Marie to serve the food shall be in the scope of
Contractor
9. This contract can be terminated by either party by giving one month notice in writing to the
other without assigning any reason. However, the Company can terminate this contract
forthwith without any notice if the contractor violates any of the terms of this contract or if
his job is not found to be satisfactory by the company whose decision in this respect will be
binding on the contractor.
10. Applicable taxes will be deducted from each Bill of the contractor.
11. The Contractor agrees not to transfer or assign their rights under this agreement or
subcontract to any other party without prior written permission of the Company.
12. The Contractor agrees not to affix without previous written consent of the Company any
bills, hoarding, notices, placards, advertisements either inside or outside the Company
premises.
13. The Contractor shall alone be liable for payment of any compensation of his employees
suffered due to accident, fire, litigation, or any such other causes. The Contractor shall take
appropriate Insurance Policy. The Company shall on no count be liable for payment of
compensation. In the event the Company is made liable, the contractor shall indemnify the
Company against all such payments.
14. This Agreement is subjected Indian Laws and Vadodara (Gujarat) jurisdiction.
15. In case of any dispute or differences, the case will be referred to the Project Head and Site
In-charge - HR & Admin for amicable settlement/resolution of the dispute at first stage.
16. In the event of failure of amicable settlement of dispute as above, either party of this
contract may refer the matter of dispute to arbitration as per the provisions of Arbitration &

Conciliation Act, 1996.
17. The Venue of Canteen shall be at company premises situated at Delhi-Vadodara
Expressway, Package -30 project near Vadodara.

Both the parties have carefully read and considered all provisions of this Agreement and agrees
to the same.
