COMMISSION AGREEMENT

The parties

Beşiktaş Jimnastik Kulübü

Vişnezade Mh. Kadırgalar Cd. No:1 34357 Beşiktaş / İstanbul,
TURKEY, represented by the president Mr. Ahmet Nur Cebi.
(hereafter: the Club)

and

CONTINENTAL MANAGEMENT SH.P.K, resident at 9th floor,

Kompleksi Mërtiri (Mërtiri Tower), rruga Jakov Xoxa, Fier,
Albania, represented by Mr. Kristjan Mita in his capacity as
Chief Executive Officer. (hereafter: the Agent)

have agreed to conclude a player's agent contract under the Player's

Agent's Regulations of FIFA ("the regulations") as follows:

1|Duration

This contract will be valid for the definite loan transfer of TIAGO
DIAS to the Club for the 2022/23 football season. It will take effect
on 01 July 2022 and will terminate on fulfillment of the
remuneration obligation under clause 2) at the due date.

Remuneration

For having supplied information leading to the conclusion of a

player's contract with TIAGO DIAS ("Player's Contract") the Agent
(having acted through the FIFA agent Kristjan Mita) shall receive a
commission in the amount of net Euro 750,000.00 (seven hundred
and fifty thousand Euros) plus VAT, if applicable, payable on day of
signature after fulfilling the condition 4 of this agreement, and after
receiving the invoice from the Agent.
The payment shall be rendered to the Agent free of any tax and
charge to the following bank account:

Mandatory legislation, Choice of Law

The parties agree to adhere to the public law provisions governing

job placement and other mandatory national legal provisions in
force in Turkey as well as in international law and applicable
treaties. This contract shall be governed by Turkish Law and
applicable FIFA and UEFA Regulations shall be applicable resolving
any disputes. Parties are entitled to apply to FIFA and Court of
Arbitration for Sports ("CAS") as second instance.

Condition

This contract shall only come into force upon TIAGO DIAS
successfully passing the medical examination that will be conducted
in Istanbul by the Club doctors and entering into a binding Player's
Contract and signing all necessary documents required for obtaining
license in Turkey.

This contract shall only come into force after the Club signing
agreement with TIAGO DIAS's respective federative rights holding
club AC Milan.
